Lewis C. Brewster, age 43—Mr. Brewster has been with the Company since 1999 and has held positions of various levels of responsibility throughout his tenure with Conexant, including Executive Vice President and General Manager of Broadband Media Processing (since February 2007), Executive Vice President, Chief Operating Officer and General Manager of Broadband Media Processing (August 2006 to February 2007), Executive Vice President and Chief Operating Officer (June 2003 to February 2004 and November 2004 to August 2006), Executive Vice President, Sales, Operations and Quality (February 2004 to November 2004) and Senior Vice President, Worldwide Sales (1999 to June 2003).

Bernd Lienhard joined Conexant in September 2006 as senior vice president and general manager of the company's Universal Access business. He was previously with Qimonda AG, a spin-out from Infineon Technologies, where he served as vice president of Sales and Marketing. Prior to that, he spent eight years with Infineon in a variety of positions, including vice president and general manager of Advanced Sensors, Automotive and Industrial Business Group. Previously, he spent 10 years with Siemens Semiconductor and Siemens Defense Electronics. He holds a bachelor's degree in electrical engineering from Munich's University of Applied Science in Germany.

Chee Kwan, 45, has been with Conexant since 1992. Most recently, he was vice president of marketing for the Wireless and Networking Components Products business. Before that, he was vice president of Broadband Access Products for the pre-merger Conexant. Prior to Conexant, Kwan held a series of engineering positions at Lear Siegler Telecommunications, Memorex-Telex Lexar, Computer Communications and Hamilton Avnet Electronics, working primarily in the areas of telecommunications and networking technologies. Kwan earned his bachelor’s degrees in electrical engineering from Harvey Mudd College and in economics from Pomona College.

Christian Scherp was appointed president of Conexant in April 2008. He joined the company in June 2005 and previously served as the company’s senior vice president of Worldwide Sales. Prior to joining the company, he was vice president and general manager of the Wireless/Wireline Communications Group for Infineon Technologies North America. Scherp also served as their vice president of Wireline Communications products marketing, and vice president and general manager of the Communications Group's wide area networking business. Before the spin-off of Infineon from Siemens AG, he held positions in engineering, marketing, and business planning. Scherp holds a master's degree in electrical and electronics engineering, and a master's degree in business administration from the Technical University of Munich, Germany.

Jean Hu was appointed chief financial officer and senior vice president of Business Development in December 2008. She joined Conexant in 1999, and most recently served as senior vice president of Strategy and Business Development, with a broad range of responsibilities and activities that included strategic planning, financial analysis, the development of product and market strategies, investments and alliances, divestitures, and mergers and acquisitions. Prior to joining Conexant, Hu held positions of increasing responsibility in corporate financial planning and development with Rockwell International. Before that, she worked as a consultant providing valuation, litigation advisory, and M&A services to a wide range of clients. Hu earned a doctorate in economics from Claremont Graduate School and holds a bachelor’s degree in chemical engineering from Beijing Chemical Engineering University.

Michael Vishny joined Conexant in January 2002 as senior vice president of Human Resources. Previously he served as human resources vice president and chief human resources officer for U.S. Robotics Corporation, and as vice president of human resources and internal communications for Gateway Computer Corporation's business division. He also served as the Asia-Pacific regional director of human resources for S.C. Johnson, Inc. , and spent six years in various senior management positions with Dun & Bradstreet Corporation/The A.C. Nielsen Company. Vishny earned a master's degree in labor and industrial relations, and a bachelor's degree in business administration, both from the University of Illinois at Urbana-Champaign.

Scott Allen was appointed senior vice president of Communications in June 2003, and assumed responsibility for the company’s Investor Relations efforts in August 2008. He joined Conexant as executive director of public relations in February 2000 and became vice president of Communications in February 2001. Prior to joining Conexant, he was employed by Advanced Micro Devices (AMD). During his 16 years with AMD, he held positions of increasing responsibility culminating in his most recent assignment as director of worldwide public relations. Allen earned his bachelor's degree in journalism from San Jose State University.

Larry Ciaccia is President of AuthenTec and oversees the company's worldwide marketing and sales operations. Mr. Ciaccia has 25-years experience in the semiconductor and wireless industry. Prior to joining AuthenTec, he was vice president and general manager of the Wireless Data and Networking Component Products unit at Conexant, the former PRISM WLAN business unit of Intersil. While at Intersil, he spearheaded the development and ramp up of the companies. PRISM 802.11 Wi-Fi initiative, and led the total business as general manager as it grew rapidly from a $20 million operation to a $200 million and 300 person business. In his role as vice president and general manager, Mr. Ciaccia also was instrumental in Intersil.s highly successful initial public offering and sale of the wireless business to GlobespanVirata, which subsequently merged with Conexant. Mr. Ciaccia began his career in 1980 with Harris Semiconductor . which later became Intersil -- and held numerous technical and management positions of increasing responsibility. Mr. Ciaccia earned a BSEE degree from Clarkson University in New York and an MBA from the Florida Institute of Technology in Melbourne.

Mark Duvall, 49, joined Conexant in 1996, and has served as vice president, Americas Sales, for the past four years. Before that, he spent three years as vice president of marketing for the company’s Personal Computing Division, which included Conexant’s Universal Access analog modem business. Previously, he was the executive director of strategic sales for Rockwell. Duvall also held executive management positions at VLSI Technology, and engineering positions at Companion Systems and Time Mark Corporation. He also served in the United States Marine Corps. Duvall holds a bachelor’s degree in computer and information science from Western International University.

Bob Kulakowski has a proven track record in engineering management, product development & building highly motivated startup engineering teams. His areas of expertise include embedded systems, networking TCP/IP, telecommunications, system design, OEM marketing, software licensing, and IP protection. As Chief Technical Officer of Verimatrix, he developed system architecture, co-wrote with Ross Cooper the company's patents, managed development of Windows and Linux software for digital media content protection and security, managed development of embedded software for Windows CE, VX-Works and Linux based set-top box software, and managed development of the audio content protection system. His previous professional positions include Director of Engineering at Conexant Systems, Inc., CTO of Internet Magic, and President of Thought Works, Inc.

D. Scott Mercer was appointed chief executive officer of Conexant in April 2008, and was named chairman of the board of directors in August 2008. He currently serves on the boards of Palm, Inc., and Polycom, Inc. In 2005, Mercer was named interim chief executive officer at Adaptec. Before that, he spent a total of eight years at Western Digital Corporation in positions that included executive vice president, chief financial and administrative officer, and senior vice president and advisor to the CEO. He also spent a year at TeraLogic, Inc. as chief financial officer, five years at Dell, Inc. in a variety of operational and financial-management positions, and seven years at LSI Logic Corporation, where he was promoted to chief financial officer. After graduating with a bachelor’s degree in Accounting from California Polytechnic University at Pomona, Mercer spent seven years with Price Waterhouse in San Jose, Calif.

Balakrishnan S. Iyer, age 50 —Mr. Iyer has been a director of Conexant since 2002. He served as senior vice president and chief financial officer of the Company from January 1999 to June 2003. He has served as a consultant to Mindspeed Technologies, Inc. (networking infrastructure semiconductors) from June 2003 through December 2004. Mr. Iyer is currently a director of IHS, Inc., Invitrogen Corporation, Power Integrations, QLogic Corporation and Skyworks Solutions, Inc.

Chairman Emeritus, Rockwell. Mr. Beall has been a director of our company since June 2001 and served as non-executive Chairman of the Board from June 2001 to June 2002. He is the Chairman of the Executive Committee and a member of the Technology Committee. Mr. Beall is the retired Chairman and CEO of Rockwell and was a director of Rockwell from 1978 to February 2001. He served as Chairman/CEO of Rockwell from 1988 to February 1998 and President from 1979 to 1988. Mr. Beall serves on the board of CT Realty. He is a former director of Conexant Systems, Jazz Semiconductor, Mindspeed Technologies, Skyworks Solutions, Procter & Gamble, Times Mirror, Amoco and ArvinMeritor. He is a member of various University of California - Irvine supporting organizations, an Overseer of the Hoover Institute at Stanford and a former trustee of California Institute of Technology. He is also a member of the Business Executives for National Security; on the Presidents’ Circle of National Academies of Science, Engineering & Medicine; and member of numerous Young Presidents Organization Alumni groups. He is a Fellow of the American Institute of Aeronautics and Astronautics. He is an advisor to the San Jose State University School of Engineering; and a trustee and President’s Circle member of the Naval Postgraduate School Foundation. He is an investor, director and/or advisor with several private companies and investment partnerships.

Jerre L. Stead joined the Brightpoint, Inc. Board of Directors on June 1, 2000 and currently serves as the Company’s Lead Independent Director. He is also a member of the Company’s Corporate Governance and Nominating Committee and Compensation and Human Resources Committee. From 1996 until his June 1, 2000 retirement, Mr. Stead was Chairman and Chief Executive Officer of Ingram Micro Inc., a leading distributor of computers and peripherals. Mr. Stead has also held the position of Chief Executive Officer at Square D Co., AT&T Global Information Solutions (NCR Corporation) and Legent Corporation. Since 2006, Mr. Stead has served as Chairman of the Board and CEO for IHS, one of the leading global providers of critical technical information, decision-support tools, and related services to customers in the energy, defense, aerospace, construction, electronics, and automotive industries. Mr. Stead is currently a Director of Armstrong Holdings, Inc., Conexant Systems, Mobility Electronics, Inc. and TBG Group. In addition, he held numerous positions during a 21-year career at Honeywell. He is also Chairman of the Board for the Center of Ethics and Values at Garret Seminary at Northwestern University in Evanston, Illinois.

"Steven J. Bilodeau served as President and Chief Executive Officer of SMSC from 1999 until October 2008. He currently serves as Chairman of the Board. Prior to SMSC, Mr. Bilodeau spent thirteen years with RVSI where he was, most recently, President of the Semiconductor Equipment Group. Mr. Bilodeau holds BS & MS engineering degrees from Massachusetts Institute of Technology and an MBA from the Harvard Business School. "
