The term Cooper refers to the registrant, Cooper Industries, Ltd., which was incorporated under the laws of Bermuda on May 22, 2001, and became the successor-registrant to Cooper Industries, Inc. on May 22, 2002. Cooper operates in two business segments: Electrical Products and Tools. Cooper manufactures, markets and sells its products and provides services throughout the world. Cooper has manufacturing facilities in 23 countries and currently employs approximately 31,200 people. Operations in the United States are conducted by wholly-owned subsidiaries of Cooper, organized by the two business segments. Activities outside the United States contribute significantly to the revenues and operating earnings of both segments of Cooper. These activities are conducted in major commercial countries by wholly-owned subsidiaries and jointly-owned companies, the management of which is structured through Coopers two business segments. As a result of operations outside the United States, sales and distribution networks are maintained throughout most of the industrialized world. Cooper generally believes that there are no substantial differences in the business risks associated with operations outside the United States compared with United States activities, although Cooper is subject to certain political and economic uncertainties encountered in activities outside the United States, including trade barriers and restrictions on the exchange and fluctuations of currency. ...

Linda Hill is the Wallace Brett Donham Professor of Business Administration in the organizational behavior area at the Harvard Business School. She is unit chair of organizational behavior, faculty chair of the Leadership Initiative, and she has chaired numerous HBS executive education programs including the Young Presidents' Organization, Presidents' Seminar, and the High Potentials Program. She was course head during the development of the new Leadership and Organizational Behavior MBA required course. She is the author of Power and Influence Customized Course Module, and Becoming a Manager: How New Managers Master the Challenges of Leadership (2nd edition). She is also author of two e-College course modules: Managing Your Career and Managing Teams, and of award-winning multimedia management development programs High Performance Management, Coaching, and Managing for Performance. Professor Hill's consulting and executive education activities have been in the areas of managing change, managing cross-organizational relationships, globalization, career management, and leadership development. Hill is currently working on two projects: leading in emerging markets and leadership as collective genius in which she explores the relationship between leadership, creativity, and diversity. Organizations with which professor Hill has worked include Cabot Corporation, General Electric, Home Depot, IBM, Molex, the National Bank of Kuwait, Morgan Stanley, and the Royal Bank of Scotland. Professor Hill is currently a member of the Boards of Directors of State Street Corporation and Cooper Industries; the Boards of Trustees of Bryn Mawr College, and The Children's Museum, Boston. She is a former member of the Board of Trustees of The Rockefeller Foundation. She is also on the Advisory Board of the Getty Leadership Institute for Museum Management and the Advisory Board of the Aspen Institute Business and Society Program. She is a Trustee of The Bridgespan Group. Dr. Hill did a post-doctoral research fellowship at the Harvard Business School and earned a PhD in behavioral sciences at the University of Chicago.
