Barry Davis is President and Chief Executive Officer of the Crosstex Energy companies, Crosstex Energy, Inc. (NASDAQ: XTXI) and Crosstex Energy L.P. (NASDAQ: XTEX). He has more than 20 years of energy-industry experience and is a well-known business leader and results-oriented entrepreneur. Mr. Davis was instrumental in founding Crosstex in 1996. Under his leadership, Crosstex has evolved into a significant service provider in the energy industry's midstream business sector focused on growth. Crosstex's throughput is approximately three billion cubic feet of natural gas a day, or approximately six percent of marketed U.S. daily production. In 1992, Mr. Davis founded Ventana Natural Gas Company, a predecessor of Crosstex. Two years later, Comstock Natural Gas, a subsidiary of Comstock Resources, Inc., was formed through the acquisition of the assets and operations of Ventana to market the gas of its parent company and to continue to provide midstream natural gas services to independent oil and gas producers and energy consumers. Mr. Davis engineered a management-led buyout of Comstock Natural Gas, Inc. in 1996 and formed Crosstex Energy Services. Prior to establishing Ventana, Mr. Davis served as vice president of marketing and project development for Endevco, Inc. and worked in the marketing group at Enserch Exploration. Mr. Davis, who is a native of Frisco, Texas, earned a bachelor of business administration degree in finance from Texas Christian University.

Robert S. Purgason (Bob) is Executive Vice President and Chief Operating Officer of the Crosstex Energy companies, Crosstex Energy, Inc. (NASDAQ: XTXI) and Crosstex Energy L.P. (NASDAQ: XTEX). He has more than 28 years of energy-industry experience. In 2004, Mr. Purgason joined Crosstex Energy Services as Senior Vice President to lead the Treating Division. He was promoted to Executive Vice President and Chief Operating Officer in November 2006. Mr. Purgason began his career with Perry Gas Companies in Odessa working in all facets of Perry’s Treating Business. He spent 19 years with Williams Companies in various Senior Business Development & Operation roles. Mr. Purgason is a member of the Board of Visitors for the College of Engineering and a member of OkChE -The Advisory Board for the School of Chemical, Biological and Materials Engineering for the University of Oklahoma. Mr. Purgason received a Bachelor of Science Chemical Degree with honors from the University of Oklahoma.

William W. Davis is Executive Vice President and Chief Financial Officer of the Crosstex Energy companies, Crosstex Energy, Inc. (NASDAQ: XTXI) and Crosstex Energy L.P. (NASDAQ: XTEX). He has 30 years of financial and accounting experience and is a well-known business leader in the energy industry. As a key member of the Crosstex senior management team, Mr. Davis has been instrumental in Crosstex’s evolution into a significant service provider in the energy industry’s midstream business sector. He has played a vital role in developing Crosstex’s everyday business strategy that is focused on growth. Crosstex’s throughput is approximately four billion cubic feet of natural gas a day, or approximately eight percent of marketed U.S. daily production. Mr. Davis joined Crosstex in September 2001. Previously, he was Executive Vice President, Chief Financial Officer and Chief Operating Officer of Sunshine Mining and Refining Company. At Sunshine, he also held the positions of Vice President - Financial Analysis and Senior Vice President and Chief Accounting Officer. Mr. Davis began his career in public accounting at Arthur Young & Company. Mr. Davis graduated magna cum laude from Texas A&M University with a B.B.A. in Accounting and is a Certified Public Accountant.

Mr. Lawrence joined our predecessor as a director in May 2000. Mr. Lawrence is a founder and senior manager of Yorktown Partners LLC, the manager of the Yorktown group of investment partnerships, which make investments in companies engaged in the energy industry. The Yorktown partnerships were formerly affiliated with the investment firm of Dillon, Read & Co. Inc., where Mr. Lawrence had been employed since 1966, serving as a Managing Director until the merger of Dillon Read with SBC Warburg in September 1997. Mr. Lawrence also serves as a director of Carbon Energy Corporation, D&K Healthcare Resources, Inc., Hallador Petroleum Company, TransMontaigne Inc., and Vintage Petroleum, Inc. (each a United States publicly traded company) and Cavell Energy Corp. (a Canadian publicly traded company) and certain non-public companies in the energy industry in which Yorktown partnerships hold equity interests including PetroSantander Inc., Savoy Energy, L.P., Athanor Resources Inc., Camden Resources, Inc., ESI Energy Services Inc., Ellora Energy Inc., and Dernick Resources Inc. Mr. Lawrence has a bachelor's degree from Hamilton College and an M.B.A. from Columbia University.

Mr. Martin has been an independent commercial real estate developer since 1991. From 1973 to 1991, he served as Chairman of a public accounting firm in Richmond, Virginia. Mr. Martin holds a B.B.A. degree from Old Dominion University and is a Certified Public Accountant. Mr. Martin has served as a director of Comstock since October 1989. Comstock is the indirect parent of Comstock Offshore, which is our majority stockholder.

Mr. Vann began his career with Exxon Corporation in 1969. After ten years at Exxon, he joined Koch Industries and served in various leadership capacities, including senior vice president from 1995 to 2000. In 2001, he then took on the role of CEO with Entergy-Koch, LP (EKLP), a profitable energy trading and transportation company, which was sold in 2004. Currently, Mr. Vann, who is retired, continues to consult with Entergy and Texon, L.P. He also serves on the boards of Texon, L.P. and Legacy Reserves, LLC. Mr. Vann graduated from the University of Kansas with a Bachelor of Science degree in chemical engineering. He is a member of the Board of Advisors for the University of Kansas School of Engineering. Mr. Vann also serves on the board of various charitable organizations.

Leldon E. Echols, 53. Director since 2007. Member of the Audit Committee and the Human Resources Committee. He served as Executive Vice President and Chief Financial Officer of Centex Corporation (“Centex”) from 2000 — 2006 when he retired. Prior to joining Centex, he spent 22 years with Arthur Andersen LLP and served as Managing Partner, Audit Practice for the North Texas, Colorado, and Oklahoma Region from 1997 — 2000. Mr. Echols is a certified public accountant and a member of the American Institute of Certified Public Accountants and the Texas Society of CPAs. Mr. Echols has been engaged in private investments since 2006. He is a member of the Board of Directors and Chairman of the Audit Committee of Crosstex Energy, L.P., an energy company engaged in the gathering, transmission, treating, processing and marketing of natural gas and natural gas liquids and Crosstex Energy, Inc., a company holding partnership interests of Crosstex Energy, L.P. He is also a member of the Board of Directors of Holly Corporation, an independent petroleum refiner; Roofing Supply Group Holdings, Inc., a company engaged in the distribution of roofing and related construction materials; and Colemont Corporation, a company engaged in insurance and reinsurance brokerage and related services.
