Brian Hadfield was appointed as a Director of the Company on May 30, 2007 and President and Chief Executive Officer on February 27, 2008. Mr. Hadfield held progressively more senior positions at Unisys for 21 years, culminating in a five-year assignment as managing director for the U.K., Middle East, Africa and India. In this role, he oversaw a work force that grew from 3,000 to 9,000 employees, managed the transformation from a technology to a services-based company and grew the company's revenue by more than 23 per cent to over $1 billion, most of which was annuity based. Earlier in his career, Mr. Hadfield served as vice president for operations at the Bank of Boston. He holds non-executive directorships at various well-known organizations. Stephen Taylor joined Cryptologic on August 8, 2005 and brings more than two decades of experience in financial and business management, public markets, and mergers and acquisitions. Mr. Taylor is a Chartered Accountant, having qualified in the top one percent in Canada. He spent the first 11 years of his career at PricewaterhouseCoopers (formerly Coopers & Lybrand) auditing multinational clients in the manufacturing, mining and financial services sectors. Mr. Taylor's subsequent posts included senior financial and corporate roles at Derlan Industries, a TSX listed aerospace company; President and COO of Spellcaster Telecommunications, an early-stage private software company; and Vice President of Mergers and Acquisitions with Ernst & Young's corporate finance practice.

Justin Thouin is the Vice President of Product Management and Business Development at Cryptologic Inc., and has been with the company since July 21, 2003. Mr. Thouin leads the strategic direction of Cryptologic's Internet casino and poker product suites to ensure that the company continues to lead the market in innovation. He is responsible for player research to drive game development and for developing strategic partnerships with such top brands as Marvel, Bejeweled and Cubis. He is also responsible for forging new relationships with leading online gaming sites and adding these to CryptoLogic's roster of blue-chip licensees. Prior to his tenure at CryptoLogic, Justin worked at Maple Leaf Foods, Canada's largest food company, in a variety of roles including consumer marketing, sales, and finance. Justin has a Commerce (Honours) degree from Queen's University in Kingston Ontario, a leading Canadian business school.

Appointed to the Board in May 2003, Mr. Freedhoff has been a self-employed consultant since 1999, and brings over 30 years of accounting experience as a partner with a national accounting firm. Mr. Freedhoff is also Chairman of CryptoLogic's Audit Committee.

Named Chairman of the Board in June 2009, Mr. Gavagan, a Fellow of the Institute of Chartered Accountants in Ireland, joined Cryptologic's board as an independent non-executive director in June 2008. Mr. Gavagan has more than 29 years' boardroom experience at many public and private companies. He was the co-founder and managing partner of a private equity fund.

As Director, Enza Ricco, is committed to helping her clients drive important decisions to fuel business growth. She is passionate about supporting her clients with their business challenges by providing clear insights and actionable recommendations. Prior to joining SW+A in 2001, Enza spent several years in Canadian Tire in Strategic Planning, Research and Marketing. Enza has a Bachelor of Commerce from the University of Toronto. Since joining SW+A, Enza has had the pleasure of working on a variety of clients including; Minute Maid, AOL, Zellers, Hbc, and Cryptologic. Enza calls SW+A her second family made up of talented, fun, and caring people. Her interests outside of work include working out, painting, and studying Spanish. Enza also volunteers and sits on the Board of Directors for a non profit organization for Immigrant services.

Appointed as a director of the Company on May 30, 2007, Mr. Byrne is a chartered accountant and was a partner of a global accounting firm before joining Davy Stockbrokers, Ireland's largest brokerage house, in 1987. He was Head of Corporate Finance at Davy Stockbrokers until he set up his own corporate advisory company, Abaris Corporate Advisors Limited, in 2001. He serves as a non-executive director of a number of companies, both public and private, and is actively involved in advising early stage companies in Ireland.

Appointed as a director of the company in June 2009, Mr. Walllace, a Fellow of he Institute of Chartered Accountants in England and Wales, has extensive experience as a public company director. He is currently chairman of Scapa Group plc, the senior independent non-executive director and audit committee chairman of NCC Group plc, and a non-executive director of the Manchester Airport Group.

Mr. Stikeman has been a Director since 2002. He provided strong leadership serving as Chairman of the Board from May 2003 to June 2009. Mr. Stikeman helped pioneer the Internet gaming industry and has played a key role in guiding Cryptologic's legal and compliance strategies since 1996. Mr. Stikeman is a partner in Stikeman, Graham, Keeley & Spiegel LLP, a law firm he was instrumental in establishing.
