Cytec Industries Inc.

Mr. Fleming, is President of Cytec Specialty Chemicals, consisting of the company's Water and Industrial Process Chemicals and Performance Products business segments. He was appointed to this position in May 2003. Mr. Fleming began his career in 1983 as a technical service engineer for American Cyanamid's mineral processing chemicals business in Salt Lake City, Utah. Over the next 10 years, he had assignments as a Sales Engineer and Regional Metallurgist and in sales management positions. With the formation of Cytec Industries in 1993, he was appointed General Manager of Cytec Australia to guide the start-up of this operation. In 1998, he was named Vice President Asia Pacific to lead Cytec's rapidly expanding chemical operations in Asia and the South Pacific. He was assigned to lead the Phosphine Chemicals business in August 2000 and added responsibility for Mining Chemicals in 2002, while also serving as President, Cytec Asia Pacific. He holds a BS in Fuels Engineering from the University of Utah, Salt Lake City.

Mr. Speak is President of Cytec Engineered Materials. Mr. Speak joined Cytec in 1993 when the company acquired the structural materials business of BASF. Throughout his career within the aerospace industry, he has held a series of progressively more responsible positions in Research and Development, Product and Market Management, Global Sales & Marketing Management as well as Operations and General Management. Prior to assuming the role of President in January of 2002, Mr. Speak was Vice President and General Manager of CEM's America's and Pacific Rim unit where he was responsible for all aspects of the business. Mr. Speak received a B.S. in Chemistry in 1979 from Weber State College and an M.B.A. from Utah State University in 1984.

Mr. Drillock began his career with American Cyanamid Company in 1978 where he held a number of progressively more responsible financial positions. In 1986 he was appointed Controller of Applied Solar Energy Corporation, a publicly held company seventy percent owned by Cyanamid. He became Chief Financial Officer for the Applied Solar Energy Corporation in 1988 and served in that capacity until he returned to Cyanamid in 1990. Upon the spin-off in 1993 of Cytec as a separate independent company, Mr. Drillock was appointed Controller and in 2002 was named Vice President, Controller and Investor Relations. Mr. Drillock attended Rutgers University where he received a B. S. degree in accounting. He is certified in management accounting and financial management.

Barry Johnson, age 65, has been a director of IDEXX since March 2006. Dr. Johnson served as Dean, College of Engineering, Villanova University, from August 2002 until his retirement in May 2006. He served as Chief Technology Officer of Honeywell International, Inc., a diversified technology and manufacturing company, from July 2000 to April 2002. Prior to that, Dr. Johnson served as Corporate Vice President of Motorola, Inc., a global communications company, and Chief Technology Officer for that company’s Semiconductor Product Sector. Dr. Johnson also serves as a director of Rockwell Automation, Inc., a global automation solutions company, and Cytec Industries, Inc., a global specialty chemicals and materials company.

Donald R. Beall Chairman Emeritus, Rockwell. Mr. Beall has been a director of our company since June 2001 and served as non-executive Chairman of the Board from June 2001 to June 2002. He is the Chairman of the Executive Committee and a member of the Technology Committee. Mr. Beall is the retired Chairman and CEO of Rockwell and was a director of Rockwell from 1978 to February 2001. He served as Chairman/CEO of Rockwell from 1988 to February 1998 and President from 1979 to 1988. Mr. Beall serves on the board of CT Realty. He is a former director of Conexant Systems, Jazz Semiconductor, Mindspeed Technologies, Skyworks Solutions, Procter & Gamble, Times Mirror, Amoco and ArvinMeritor. He is a member of various University of California - Irvine supporting organizations, an Overseer of the Hoover Institute at Stanford and a former trustee of California Institute of Technology. He is also a member of the Business Executives for National Security; on the Presidents’ Circle of National Academies of Science, Engineering & Medicine; and member of numerous Young Presidents Organization Alumni groups. He is a Fellow of the American Institute of Aeronautics and Astronautics. He is an advisor to the San Jose State University School of Engineering; and a trustee and President’s Circle member of the Naval Postgraduate School Foundation. He is an investor, director and/or advisor with several private companies and investment partnerships. Anthony J. Carbone Retired Vice Chairman of the Board and Senior Consultant, The Dow Chemical Company. Mr. Carbone has been a director of our company since June 2001. He is the Chairman of the Compensation Committee and a member of the Executive Committee. Mr. Carbone served as Vice Chairman of the Board of Directors of The Dow Chemical Company (chemical, plastic and agricultural products) from February 2000 to October 2005 and Senior Consultant of Dow from November 2000 to October 2005. He served as Executive Vice President of Dow from November 1996 to November 2000. He is a former director of Dow. He is a member of the American Chemical Society and former board member and Chairman of the American Plastics Council and the Society of Plastics Industries. Mr. Carbone has served on the Advisory Council of the Heritage Foundation. Chris A. Davis General Partner, Forstmann Little & Co. Ms. Davis has been a director of our company since February 2002 and is the Chairman of the Audit Committee. She became a General Partner with Forstmann Little & Co. (private equity firm) in October 2005 after having served them as a Special Limited Partner since August 2001. She served as Chairman of McLeodUSA Incorporated (telecommunications) from August 2005 to January 2006, Chairman and Chief Executive Officer of McLeodUSA from April 2002 to August 2005 and Chief Operating and Financial Officer of McLeodUSA from August 2001 to April 2002. She served as Executive Vice President, Chief Financial and Administrative Officer of ONI Systems (telecommunications) from May 2000 to August 2001. She served as Executive Vice President, Chief Financial and Administrative Officer and director of Gulfstream Aerospace Corporation (business aircraft) from July 1993 to April 2000. She is a member of the board of directors of Cytec Industries, Inc., IMG Worldwide, 24 Hour Fitness Worldwide and ENK International, and is a former director of Aviall, Inc. and Wolverine Tube, Inc.

Tom Rabaut became President and Chief Executive Officer of United Defense January 28, 1994. United Defense is a public company trading on the New York Stock Exchange with sales in excess of $2 billion. It has strong market positions in armored combat vehicles, weapons delivery systems, components for military vehicles, ship overhaul and conversion, training systems, and logistics support services. Mr. Rabaut joined FMC in 1977 and worked in a variety of manufacturing management positions in the Power Transmission Group. In 1982, he became Operations Manager of FMC's Fluid Control Division serving the petroleum equipment industry. In 1986, Mr. Rabaut entered FMC's defense business as General Manager of the company's Steel Products Division. In 1989, Mr. Rabaut became the Operations Director of FMC's Ground Systems Division, and in April 1990, he was appointed Vice President and General Manager of Ground Systems Division. In 1993, Mr. Rabaut assumed the position of General Manager of FMC's Defense Systems Group, overseeing operations in the U.S., Turkey and Sweden, serving U.S. and allied armies, navies, and marines. In 1994, he was elected a Vice President of FMC Corporation. In January 1994, the FMC Defense Systems Group was combined with HARSCO's defense group to form United Defense. Mr. Rabaut graduated, with a Bachelor of Science degree, from the U.S. Military Academy at West Point and a Masters in Business Administration from the Harvard Business School. During his five years as an Army officer, he served in company- and battalion-level positions with the 1st and 4th Armored Divisions and the 66th Military Intelligence Group. Mr. Rabaut is a Trustee of Stevens Institute of Technology, Chairman of Bofors Defence, board member United Defense Industries, board member FNSS. Mr. Rabaut is a member of Aerospace Industries Association and the Association of the Industrial College of the Armed Forces. He serves as a member of the AUSA Council of Trustees and the National Infantry Board. Mr. Rabaut served as a member of the Defense Policy Advisory Committee on Trade (DPACT). He is a representative of The Middle East Institute and a member of the Association of the United States Army, the Navy League of the United States, National Guard Association of the United States, U.S. Army Ordnance Corps Association, National Infantryman's Association, and the Naval Surface Warfare Association. Mr. Rabaut served as Chairman of the Board of Directors of the National Defense Industrial Association and co-chairman of the Industrial Committee of Tank and Automotive Producers. Tom and his wife, Sheila, have three children and live in Great Falls, Virginia.
