Dakota Growers Pasta Company Inc.

Timothy J. Dodd. Mr. Dodd is the President and Chief Executive Officer of the Company. Prior to joining the Company in December 1991, he had been the Vice President of Manufacturing for American Italian Pasta Company since 1988. Previously, Mr. Dodd participated in the construction and management of two other grain processing facilities, one in Texas and one in Cando, North Dakota. Mr. Dodd serves on the board of directors of Country Bank USA, Cando, North Dakota.

Antonio Cecconi, Executive Corporate Chef brings nearly four decades of authentic Italian cooking experience to the table. He has been providing Dakota Growers and our customers with tailored recipes and innovative menu applications that further differentiate each plate of Dakota Grower's pasta. Born and raised on Sardinia-that lovely, mountainous island west of Italy-Antonio learned to cook in his mother's kitchen, where most good chefs begin. He also served a youthful apprenticeship in his uncle's butcher shop and deli before coming to America. He managed an Italian restaurant in Philadelphia, before being recruited by Pillsbury to be part of their new products development team in Minneapolis from 1979 to 1985. Mr. Cecconi developed many new menu creations for the Olive Garden between 1994 - 1996 when they switched from using fresh pasta to dry pasta in their chain operations. Antonio's culinary creations also appear in a series of Betty Crocker Italian Cooking cookbooks, with a third to be published in the summer of 2000. Today, Antonio is known throughout the Minneapolis area and beyond as The Italian Gourmet. He owns a corporate catering business and teaches cooking classes in the Minneapolis area in Italian cuisine. He is a member of the International Association of Culinary Professionals.

Curtis R. Trulson. Mr. Trulson has been a director of the Company since 1991. He previously served on the boards of directors of the National Association of Wheat Growers and the North Dakota Grain Growers Association, including service as its President. He has been a farmer in Mountrail County, North Dakota, since 1975.

John S. Dalrymple III . Mr. Dalrymple has been Chairman of the Board of Directors of the Company since 1991. He became Lieutenant Governor of North Dakota in 2000. Mr. Dalrymple had been a state representative since 1984 and served as Chairman of the House Appropriations Committee and of the Budget Section of the North Dakota House of Representatives. He previously served on the board of directors of the U.S. Durum Growers Association. He has been a farmer in the Casselton, North Dakota area since 1971.

Bill Ongstad of Harvey, ND is a self-employed farmer. He raises pinto beans, durum, barley, wheat, sunflowers and canola. Bill is also a member of the Durum Education Research and Marketing committee of the Dakota Growers Pasta Company, and a member of the Prairie Partners Marketing Club. Bill was elected to the Farm Credit Board in 2000 and currently holds the position of First Vice Chairman.

Eugene J. Nicholas. Mr. Nicholas, age 61, has been a director of the Company since 1991. Mr. Nicholas was a state representative from 1974 through 2006. Mr. Nicholas also serves on the board of directors of Country Bank USA, Cando, North Dakota, and the board of governors of Golden Plains Frozen Foods LLC. Mr. Nicholas previously served on the board of directors of the U.S. Durum Growers Association.

Mr. Tokarz currently serves as Chairman and Portfolio Manager of the Fund and as Manager of The Tokarz Group Advisers LLC ("TTGA"), the investment adviser to the Fund (the "Adviser"). Mr. Tokarz also is Chairman of The Tokarz Group, a private merchant bank, since 2002. Prior to this, Mr. Tokarz was a senior General Partner and Administrative Partner at Kohlberg Kravis Roberts & Co., a private equity firm specializing in management buyouts. He also currently serves on the corporate boards of Conseco, Inc., Walter Industries, Inc. (Chairman of the board), Mueller Water Products, Inc., IDEX Corporation, Stonewater Control Systems, Lomonosov, Athleta, Inc. and Apertio Ltd. Mr. Tokarz is an active member of the endowment committee and Board of Trustees of YMCA in Westchester County. He is also a member of the Board of the Warwick Business School in England. He is Chairman elect and is a member of the Board of the University of Illinois Foundation, and serves on its executive committee, investment policy committee and is Chairman of the budget and finance committee; he is also a member of the Venture Capital Subcommittee and serves as a member of the Board of Managers for Illinois Ventures, LLC. Mr. Tokarz also serves as the Chairman of the Illinois Emerging Technology Fund LLC. Mr. Tokarz serves as a director for the following portfolio companies of the Fund: Baltic Motors Corporation, Dakota Growers Pasta Company, Ohio Medical Corporation, Timberland Machines & Irrigation, Inc., Harmony Pharmacy & Health Centers, Inc., and previously served on the Board of Vestal Manufacturing Enterprises, Inc. from April 2004 until July 2005.
