Datawatch transforms the massive amounts of data and documents generated inside or outside a company into actionable business intelligence, without any changes needed to existing systems. Datawatch customers benefit from the right information, in the right context, at the right time. Founded in 1985, Datawatch is based in Chelmsford, Massachusetts with offices in London, Sydney and Manila. The Company offers its enterprise products through both the sale of perpetual licenses as well as through a subscription pricing model that allows customers to begin using the Company's products at a lower initial cost of software acquisition. Subscription terms typically run 12 months or 24 months and automatically renew unless terminated with 90 days notice following the first year of the subscription term. The subscription arrangement includes software, maintenance and unspecified future upgrades including major version upgrades.

KENNETH P. BERO, President, Chief Executive Officer and Director. Mr. Bero was appointed President and Chief Executive Officer of the Company effective January 1, 2008. As CMO and senior vice president, John Kitchen is responsible for worldwide marketing operations, managing the Company's strategic product direction and identifying new vertical market opportunities across the entire product line. John brings more than 20 years of marketing and management expertise to Datawatch. In March of 1998, John joined the Company as the director of marketing and was promoted to vice president of marketing in March of 1999. In July 2001, he was appointed senior vice president of Desktop and Server Solutions with responsibility for the worldwide marketing and sales of the Company's desktop product lines and OEM technology . As corporate controller and vice president, Daniel Incropera is responsible for worldwide corporate financial reporting, compliance and controls. Dan has more than 15 years of finance and accounting experience in both public and private sector companies. He joined Datawatch in October 2006. In September of 2007, Dan was promoted to vice president. Prior to Datawatch, Dan served as controller for Pennichuck Corporation. During this time, he was responsible for the implementation of Sarbanes-Oxley Section 404 compliance; a successful $17 million common stock offering, and was a key participant in the refinancing of five short-term note agreements with beneficial terms to the Company. Since January 1998, Dr. Potter has been the President of Venture Solutions and Development, Inc., which provides consulting services to high technology start-up companies, spin-outs, and Fortune 100 companies. Prior to 1992, Dr. Potter was a worldwide director of New Ventures for Digital Equipment Corporation.
