We have developed a proprietary thin film deposition technology for solar photovoltaic (PV) products. We utilize a proprietary one-step sputter deposition process and have manufactured a commercial scale deposition tool to apply high-efficiency copper indium gallium diselenide (CIGS) material over large area glass substrates in a continuous fashion. We intend to integrate this tool with commercially available thin film manufacturing equipment, which will provide us with a critically differentiated manufacturing process to produce low-cost monolithically integrated, CIGS-on-glass modules that address the grid-tied, ground-based PV market. We believe this proprietary deposition process, when operated at an annual capacity of approximately 100 megawatts, will enable us to achieve a total module manufacturing cost of less than $1.00 per watt. This cost would be competitive with the lowest in the solar PV industry. Using this approach, we have achieved greater than 14% cell efficiencies over large areas on CIGS PV devices, and we believe that this approach will enable us to reach module efficiencies greater than 13%. Dr. Aldrich was appointed Chairman of the Board in September 2008 and Chief Executive Officer in May 2009. He joined us as a director in October 2003. Since 1995, Dr. Aldrich has provided executive and consulting assistance to identify and develop business opportunities arising from globalization, technology, environmental quality, and energy deregulation. From September 2000 to 2005, he served as Chief Executive Officer of Dirigo Energy, Inc., an energy-related risk management company. Other assignments during this period included serving as a director and interim President of TTI Technologies, Inc., a developer of solid waste fluidized bed combustion systems; Chairman of Burstpower, Inc., a developer of ultracapacitor energy storage products; President, Commercial Operations, Solo Energy Corporation, a catalytic microturbine developer; and resident executive, leadership and management training, for the Onshore Oil Company of Abu Dhabi, UAE. Dr. Aldrich served from 1992 to 1995 as Group Vice President, Electric Power Research Institute (ERPI). Mr. Ratson Morad brings over 20 years in building and leading startup companies and global organizations in the high tech sector, mainly in PV solar and semiconductor equipment. Prior to joining DayStar, Mr. Morad was part of the founding team of Solyndra, Inc. and served as Vice President of Engineering and Technology since July 2005. While at Solyndra, Mr. Morad was responsible for the development of new solar panels and the architecture and build of the production systems. From December 2002 to July 2005, Mr. Morad served as President and Chief Executive Officer at Blue29, a wafer processing startup Company in semiconductor capital equipment industry that was successfully acquired by KLA-Tencor in late 2004. From 1995 to 2002 Mr. Morad held several executive positions at Applied Materials including Vice President and General Manager of a business division where he led the development and commercialization of new 300mm wafer processing systems. Between 1989 and 1995 Mr. Morad was responsible for the development of new MRI systems at Elscint Medical Imaging in Israel. Mr. Morad’s prior experience includes serving as Director of Engineering at ECL in Oxford England, where he developed new superconductive magnets for MRI. Mr. Steckel was appointed as Daystar’s Chief Financial Officer in June 2008. He brings nearly 20 years of management experience at both public and private companies, ranging in size from $30 million to more than a billion dollars in annual revenues. He has extensive experience in running large manufacturing organizations, in financial planning and restructuring, in raising significant amounts of capital and in operations of both electronics and biotechnology companies worldwide. From April 2006 until June 2008, Mr. Steckel was Chief Financial Officer, Senior Vice President and Treasurer at Norwood Promotional Products, a the leading supplier of imprinted promotional products. Before Norwood, he was with Lambda Power (a division of Invensys plc), a global manufacturer of power supplies, power filtering and power protection equipment, where he was President from 2003 to 2005 and CFO from 2001 to 2002. Earlier in his career, Mr. Steckel served in various financial and general management roles at medical device, microelectronic and electronic components companies. Mr. Weiss has served as our Chief Technology Officer since May 2007. He initially joined us in January 2006 as Director of the Equipment Development Group and served as our Vice President of Advanced Technologies from March 2006 to May 2007. From September 2005 to January 2006, he served as a consultant to us. From 1992 to 2005, he was with Intevac, Inc., a supplier of thin film deposition manufacturing equipment, most recently serving as Chief Technology Officer, where he led hardware and process development teams in commercializing tools used in the production of plasma and polysilicon displays, hard disks, and low light cameras. Prior to joining DayStar Technologies in January of 2006, Mr. McCaffrey served as Vice President of Manufacturing and Engineering at Evergreen Solar, Inc., where he was instrumental in implementing their new PV manufacturing technology. He was responsible for process, productivity, product and machinery design and fabrication, and materials procurement, as well as the hiring and development of a staff of 250 operating personnel. His efforts helped Evergreen Solar transition from its pre-IPO origins to a successfully publicly-traded pure-play solar company, achieve production capacity growth from 250kW to 13 MW, and increase revenues from $400k to nearly $40 million in just over five years time. He most recently managed the international factory and start-up for a 30 MW solar cell plant for EverQ, a joint venture between Evergreen Solar and Q-cells, a German supplier of silicon-based solar cells. Prior to his service at Evergreen, Mr. McCaffrey enjoyed a 20-year career at various manufacturing and engineering positions at Polaroid Corporation, including his role as the Director of Worldwide Manufacturing for Polaroid's Holographic Products Division. Mr. McCaffrey is a distinguished graduate of the United States Naval Academy with a B.S. in Chemistry and General Engineering.

Mr. Adams has over 20 years experience in technology related sales, marketing and product development. He joined Daystar in April 2008 from Solyndra, Inc. where he was responsible for market development of new solar module technologies. Prior to his entry in the solar photovoltaic space in 2006, Mr. Adams spent several years at major semiconductor equipment suppliers in marketing leadership positions for the industry’s most successful companies and products. At Varian Semiconductor (2003-2006) and Applied Materials (1991-2003) he held various positions in product management, corporate marketing, market research and strategic planning. Michael Rogol, Managing Director of PHOTON Consulting and author of the Solar Annual 2006 Report, reports that based on the supply limitations of raw silicon, the industry will only be able to produce up to 8.4 GW of silicon-based solar cells. The remaining 2 GW will be supplied by a variety of emerging thin-film PV products. Solar cells and solar modules made from thin-films require far less raw material to create than a wafer-Si cell. Thin-film solar cells and modules, however, require a structural substrate to support them, such as glass, plastic or metal sheets or foils. Alternative modules based upon thin-film semiconductors have been under development for approximately 20 years and are now being commercialized. The three primary thin-film semiconductor materials currently being commercialized are amorphous silicon, cadmium telluride, and copper indium gallium diselinide or CIGS. The CIGS technology presently under development by DayStar and others has demonstrated over 19% conversion efficiency in the laboratory, the highest among all thin-film technologies. Modules made from the CIGS technology have more than 15 years of field history and became commercially viable in part due to the research efforts of the U.S. Department of Energy s National Renewable Energy Laboratory. Most thin-film manufacturers produce modules that are monolithically integrated solar cell circuits deposited directly on module sized substrates. The deposition results in the final module form factor (usually on glass plates). These films are then packaged into the final modules. Daystar s unique focus is on producing discrete solar cells similar in size and shape to wafer-Si cells, externally interconnected and then packaged into the final modules. This product approach could enable modules made from Daystar cells to compete with other thin-film module manufacturers on the open market, but also enable an alternative source of solar cells into the existing silicon module manufacturing infrastructure, presently in demand of more solar cells than supply allows. DayStar s solar cells have not been extensively field tested in the packaged module form, although prototype cells have previously been tested by the United States Air Force Research Laboratory and Dutch Space B.V. for performance, reliability, radiation hardness, and related issues pertaining to possible future use in satellite or lighter than air vehicle power applications. In conjunction with our customers and module manufacturing partners, we are planning to initiate a comprehensive solar cell and module testing program to further qualify our products for existing and new markets.

Mr. Forkin was appointed as DayStar’s Vice President – Corporate Development in September 2008. Mr. Forkin, brings over 25 years of senior level experience in equity research, corporate finance, mergers and acquisitions and strategic planning.
