Bevis Longstreth is a retired partner of Debevoise & Plimpton and a member of the board of trustees of New School University and the College Retirement Equities Fund. He served as a U.S. Securities and Exchange Commissioner, a member of the Board of Governors of the American Stock Exchange, and adjunct professor at Columbia University School of Law.

Colby Smith is a litigation partner with Debevoise whose practice focuses primarily on securities class action and derivative litigation and Securities and Exchange Commission enforcement matters. Mr. Smith has experience representing public company audit committees in the context of independent investigations, including those prompted by information brought to light by their auditors, or current or former employees. Mr. Smith also has represented a number of the firm's clients in a wide range of other litigation matters, most often involving allegations brought by class action plaintiffs. Mr. Smith is recognized as a leading lawyer in Legal 500 US (2008). Mr. Smith is a member of the Litigation Section of the American Bar Association, where he participates in the Class Action and Appellate Practice Committees. He is a member of the New York and District of Columbia bars and admitted to practice before the US Supreme Court, US Courts of Appeals for the Second, Third, Ninth, Tenth and District of Columbia Circuits, and the US District Courts for the Southern District of New York, Eastern District of New York and District of Columbia. Mr. Smith co-authored "Managing Marketers: Supervisory Responsibilities of Broker-Dealers and Investment Advisers" (CCH, 2000). Mr. Smith joined the New York office of Debevoise in 1988 and became a partner in 1996. He transferred to the firm's Washington office in 1998. He received B.S. degrees magna cum laude in Philosophy and Political Science from the University of Utah in 1979 and 1980. He received his M.A. in Philosophy from Columbia University in 1984, where he was a President's Fellow. He earned his J.D. from the Columbia University School of Law in 1987, where he was a Senior Editor of the Law Review and a Stone Scholar.

Darius Tencza is a member of the firm's Finance Group. He regularly represents banks and other large financial institutions in their lending and other investment activities. He also spends a significant amount of time on tax-exempt bond financings and on project and equipment finance matters. Recently, he has begun to work on investment strategies for hedge funds.

David Hickok is a partner at Debevoise, resident in the London office, and a member of the firm's Mergers & Acquisitions and Private Equity Groups. Mr. Hickok has participated in numerous cross-border acquisitions on behalf of private equity houses and other clients. He also has extensive experience in structuring and implementing complex cross-border financings, including such recent transactions as the $2.9 billion equivalent amount multi-borrower international credit facility for the acquisition of The Hertz Corporation by Clayton, Dubilier & Rice, The Carlyle Group and Merrill Lynch Private Equity.

Elizabeth Pagel Serebransky is a member of both the firm's Executive Compensation & Employee Benefits and Securities Groups. She concentrates on the design, negotiation and implementation of employment agreements and equity-based incentive and other compensation plans and programs for public and private companies, financial sponsors, management groups and individual executives. Ms. Pagel Serebransky also advises clients on general corporate and securities law matters, including analyzing and complying with applicable SEC registration, reporting and disclosure requirements.

Geoffrey Burgess is a partner in the firm's Corporate Department in London with a broad international practice that ranges from private equity and cross-border mergers & acquisitions to joint ventures and intricate financing transactions. Mr. Burgess also has significant experience in Russian/CIS matters. Mr. Burgess joined Debevoise in 1997 and has been resident in the London office since 1999. He recently served on a UN/WTO committee for the preparation of a model joint venture agreement. Mr. Burgess has been a member of the board of advisors of the Survey of East European Law, Columbia University School of Law since 1993. Mr. Burgess is the author of various articles in trade publications on European private equity and Russian transactional issues. Mr. Burgess graduated from the University of North Carolina at Chapel Hill B.Sc., with honors, in Applied Mathematics, Phi Beta Kappa; and in 1993 received his J.D. from Columbia, where he was a Stone Scholar, received a Parker School Certificate in International Law and served on the Journal of Transnational Law as Head Notes Editor, Parker School Journal of East European Law as founding Managing Editor and Survey of East European Law as Managing Editor. He was a Ford Foundation Fellow, Institute of State and Law (Moscow) in 1994. Mr. Burgess is a volunteer at the Hackney Law Centre.

Jeffrey Rosen is one of the leading M&A lawyers in New York and has advised major corporations and private equity firms on significant acquisitions and divestitures for decades. Mr. Rosen is Co?Chair of the Mergers & Acquisitions Group, a member of the firm's Management Committee, and serves as Deputy Presiding Partner of the firm. Mr. Rosen is also a member of the Private Equity Group and the Securities Practice Group. In addition to mergers and acquisitions, his practice has focused on complex joint ventures, restructurings and securities offerings, and corporate governance matters. Mr. Rosen was named Dealmaker of the Year by The American Lawyer in 2007 for his representation of International Paper in its $6.1 billion divestiture of timberlands, and in 2004 for his representation of General Electric and NBC in their $14 billion acquisition of Vivendi Universal Entertainment. John Vasily, a member of the firm's Mergers & Acquisitions Group, focuses his practice on mergers and acquisitions, with an emphasis on cross-border transactions in the insurance and financial services sector. Chambers USA (2008) ranks Mr. Vasily as a leading lawyer for Financial Institutions M&A. He is also recognized by IFLR 1000 (2007) as a leading lawyer for mergers and acquisitions. According to Legal 500 United States (2007), clients praise Mr. Vasily for his "reasoned and practical approach" and note that "he is a creative lawyer who fully understands the needs of his clients."

John Curry is Chair of the Aircraft Finance Group and a member of the Securities Group. He has played a leading role in ground-breaking transactions that have transformed financings in the airline industry. Mr. Curry estimates that he has participated in the leasing, financing or refinancing of many hundreds of commercial jet aircraft over the years. Many of those transactions have involved structured variations or innovative features that have since become standard in the industry. In addition, he co-led the firm's work for Delta Air Lines in its aircraft financing restructuring program in 2004 and for American Airlines in its program in 2003, each of which involved coordinating a team of approximately 50 lawyers. These two transactions represent the only two restructuring programs for major US airlines that have been successfully completed out of bankruptcy without a government guaranty.

Jonathan Levitsky is a member of the firm's Corporate Department whose practice focuses primarily on public and private mergers and acquisitions and joint ventures. Prior to joining Debevoise in 2001, Mr. Levitsky served as Counselor to Ambassador Richard C. Holbrooke at the US Mission to the United Nations, and as a Member of the State Department's Policy Planning Staff. Mr. Levitsky became a partner of the firm in 2007. Mr. Levitsky received his A.B. magna cum laude from Brown University in 1990, an M.Phil. in Politics from Oxford University in 1992, where he was a Marshall Scholar, and his J.D. from Yale Law School in 1995, where he was a member of the Yale Law Journal. Lawrence Cagney is Chair of the firm's Executive Compensation & Employee Benefits Group. He designs compensation plans and programs for public and private companies and assists them with related SEC reporting requirements and tax issues. Mr. Cagney also represents companies and individuals in structuring employment terms for senior executives as well as the unwind of such arrangements. In addition, Mr. Cagney advises financial services clients and investment funds on the fiduciary responsibility provisions of ERISA with respect to the investment of pension plan assets, including VCOC, REDC and other plan assets issues. Chambers USA (2007) ranks Mr. Cagney as a leader in employee benefits and executive compensation law.

Marcia MacHarg, a partner in the Washington, DC office of Debevoise, relocated to the firm's Frankfurt office in 2001. Her practice encompasses securities laws and investment fund formation and regulation. She represents buyers and sellers in mergers and acquisitions, principally in the investment management and financial services industries. Ms. MacHarg advises US and international clients in organizing funds for public or private sale domestically and in offshore jurisdictions. Margaret Andrews Davenport ("Peggy"), Co-Chair of the firm's Private Equity Group, is widely recognized as a leader in the field of private equity M&A. Ms. Davenport has a broad-based transactional practice advising private equity firms and other corporate clients in structuring and negotiating acquisition and finance transactions.

Matthew Golden is a corporate partner and a member of the firm's Real Estate Group. Michael Harrell is widely recognized as a leader in the field of private equity fund formation. As Co?Chair of the firm's Private Equity Funds Group, Mr. Harrell focuses on advising sponsors of leveraged buyout, distressed debt, telecommunications, international private equity, mezzanine and other private investment funds. Mr. Harrell's clients range from newly formed firms to a number of the leading firms in the private equity industry, including the buyout firm Clayton, Dubilier & Rice, telecommunications and media firm Providence Equity Partners and distressed debt private investment firm Oaktree Capital Management. Mr. Harrell recently was credited with the continued development of a "jewel of a practice" in Chambers USA, one of the many publications that ranks Mr. Harrell as a leading practitioner in his field.

Michael Blair, the Chair of the firm's Corporate Department, has served as lead counsel in a host of major M&A transactions, advised senior executives and boards of directors on governance matters and handled securities transactions for issuers and underwriters alike. Mr. Blair is recommended by Legal 500 US (2008), which notes that he has worked with "some major clients including Phelps Dodge", the supervisory board of ABN Amro and AXA Financial. Paul Lee is Chair of the firm's Banking Group and a member of our Financial Institutions Group. He has extensive experience in the banking industry as a corporate lawyer, both as a general counsel and in private practice, as well as experience in the public sector with leading bank supervisory agencies. Mr. Lee has been recognized by Chambers USA as a leader in the field of regulatory compliance in financial services, with clients applauding his "fantastic range of skills in the regulatory banking and insurance fields (2006)," his "practical and really enormously helpful" approach (2007), and his "crisp, cogent and analytically sound" opinions (2008). Prior to joining Debevoise, Mr. Lee was Executive Senior Vice President and General Counsel of HSBC USA Inc., where he served as the senior legal officer in the United States advising senior management in the United States and London on legal, regulatory and compliance matters. In 1994, Mr. Lee joined a client, Republic New York Corporation, as General Counsel. (Republic New York was acquired by HSBC in 1999 and became HSBC USA Inc.) Mr. Lee has been a Lecturer in Law at Columbia Law School since 2002 and was a Lecturer in Law at the University of Pennsylvania Law School from 1983 to 1986. Mr. Lee received his B.A. summa cum laude from Georgetown University in 1969. He received his J.D. magna cum laude from the University of Michigan Law School in 1972, where he was the Editor-in-Chief of the Michigan Law Review. He served as Law Clerk to the Honorable Walter R. Mansfield, US Court of Appeals for the Second Circuit, from 1973 to 1974.

Peter Schuur is a member of the Tax Department with experience structuring a broad array of transactions including international acquisitions and dispositions, spin-offs, financings and restructurings and partnership transactions. With a strong focus in the private equity field he has advised on numerous European private equity buy-outs and on the formation of award winning private equity funds. Chambers Global (2008), Chambers UK (2008) and Legal 500 US (2008) recommend Mr. Schuur as a leading tax lawyer.

Pierre Clermontel is the co-managing partner of the firm's Paris office. His practice focuses on corporate finance, capital markets transactions and mergers & acquisitions. He frequently advises issuers and lead managers in connection with IPOs and global offerings. He is also regularly involved in French and cross-border mergers & acquisitions and in acquisition finance transactions. Since joining from Linklaters in 2000 to develop Debevoise's capital markets practice, Pierre Clermontel has not ceased to impress his clients and peers. Sean Hecker is a member of the firm's Litigation Department, with a practice focusing on white collar criminal defense and internal investigations. Prior to joining Debevoise, Mr. Hecker was a trial lawyer with the Federal Defenders of New York from 2003 to June 2006. During that time, he defended individuals charged in the Southern District of New York with a wide range of federal offenses, including securities fraud, computer crimes, and money laundering, and handled numerous trials and hearings. Mr. Hecker was a litigation associate with Covington & Burling in New York from 1999 to 2003. He clerked for the Hon. John M. Thomas Schurrle is a partner with Debevoise, resident in the Frankfurt office. He is a member of the Mergers & Acquisitions, Finance and Private Equity Groups, and frequently works on cross-border transactions.

Alicia C. McCarthy is Counsel with Debevoise & Plimpton LLP and a member of the firm's Executive Compensation and Employee Benefits Practice Group. Her principal focus is on ERISA's fiduciary rules and the investment of plan assets. She provides ERISA advice to private equity, distressed debt, mezzanine, real estate and hedge funds. Ms. McCarthy has represented numerous sponsors including American International Group, J.F. Lehman & Company, JP Morgan Investment Management, Kelso & Company, Morgan Stanley, Oaktree Capital Management, Prudential and Providence Equity Partners. On the investor side, she counsels fiduciaries to pension trusts including the DaimlerChrysler Corporation Master Retirement Trust and General Electric Pension Trust with respect to investments and investment management arrangements. Ms. McCarthy also advises clients with respect to employee benefit matters involving mergers and acquisitions, bankruptcy reorganizations, bank financings, litigation as well as plan compliance. Prior to joining Debevoise in 1999, Ms. McCarthy worked at Dewey Ballantine from 1987-98 and Baer, Marks & Upham from 1984-87. Ms. McCarthy received her B.A. in 1981 from Georgetown where she majored in Government, and her J.D. in 1984 from Brooklyn, cum laude, where she worked on the Journal of International Law. Ms. McCarthy is the author of Case Digest, "Gibbons v. Udaras na Gaeltachta", 10 Brooklyn J. Int'l L. 255 (1984). She was admitted to the bar in New York 1985.

Mr. Sommer is Senior Vice President, Systems and Technology at GCG. In addition to being the architect of GCG's technology-based solutions to settlement administration, his experience involves system design and integration at a variety of levels, including requirement definition, detailed design specification, and coding and implementation. Mr. Sommer's experience encompasses legal, financial, telecommunications, personnel, manufacturing, and quality control applications. In sum, he has over 20 years of experience in developing state-of-the-art systems to deal with the needs of class action and bankruptcy administrations. This experience is unparalleled in our industry. Among Mr. Sommer's many accomplishments is the creation of production software to interpret document images and to develop highly accurate data which can then be further changed and managed. Over the years he has been responsible for leading the development of GCG's CLASS software from its beginnings as a mainframe application, to its current implementations as a distributed system. Mr. Sommer was part of the team responsible for collecting claim information from the Kuwaiti people for the United Nations' class action against Iraq following the Gulf War. Using imaging technology, he helped develop a collection system for close to 200,000 claims, amassing more than one and a half million images. GCG's ability to administer complex, high-volume cases is attributed in part to Mr. Sommer's technical innovations. A graduate of Queens College, Mr. Sommer also earned a certificate in Computer Technologies from New York University.

Barbara Lin is an associate in the firm's Shanghai office. She has experience in mergers and acquisitions as well as corporate finance. Prior to joining Debevoise in 2009, Ms. Lin was an associate at a leading international law firm in New York. Ms. Lin received her B.A. in Public Health from The Johns Hopkins University in 2004 and her J.D. from Columbia University in 2007.

Barton Legum is Counsel in the Paris office of Debevoise & Plimpton LLP and a member of the firm's Litigation Department. His practice focuses on international arbitration and litigation. He has argued cases before numerous international arbitration tribunals, the International Court of Justice and state and federal trial and appeals courts in the United States. Mr. Legum joined Debevoise in 1987 and became Counsel in the firm's New York office in 1998. Earlier in his career he was a law clerk to the Hon. Carolyn Dineen King, now Chief Judge of the United States Court of Appeals for the Fifth Circuit. From 2000 to 2004, Mr. Legum served as Chief of the NAFTA Arbitration Division in the Office of the Legal Adviser, United States Department of State. In that capacity, he acted as lead counsel for the United States Government in defending over $2 billion in claims submitted to arbitration under the investment chapter of the North American Free Trade Agreement. The United States won every case decided under Mr. Legum's tenure. Mr. Legum is a member of the Council of the American Bar Association's Section of International Law. He is the Council Committee Liaison who oversees the Section's Committees on International Commercial Dispute Resolution, International Litigation, International Courts and International Criminal Law. He served as a Co-Chair of the Section's International Litigation Committee from 1999 to 2003. Mr. Legum received his D.E.A. in public international law from the Universite de Droit, d'Economie et de Sciences Sociales de Paris in 1987, his J.D. magna cum laude from the University of Georgia School of Law in 1985 and his B.A. from Rice University in 1982. He is a member of the bars of New York and Georgia.

Carolyn Schindel is a member of the firm's Trust & Estates Department where she focuses her practice on estate planning including federal income, estate and gift taxation and retirement planning. Ms. Schindel joined Debevoise in 1995. She was admitted to the bar in New York in 1993. Ms. Schindel received her B.A. in Political Science from New York University cum laude in 1989, her J.D. in 1992, Annual Survey of American Law and her LL.M. in Taxation in 1994. Prior to joining Debevoise, Ms. Schindel was an associate at Winston & Strawn from 1992-1995.

Catherine M. Doll is an associate in the firm's Litigation Department whose practice focuses on general commercial litigation, international arbitration, and bankruptcy litigation. Her assignments have included work for airlines, financial institutions and major corporations. She was a member of the litigation team in the Chapter 11 case of Delta Air Lines. Ms. Doll joined the firm in 2004. Ms. Doll received a J.D. degree from Cornell Law School in 2004 where she was a managing editor of the International Law Journal. She received a J.D. degree with honors from Saint-Petersburg Law School in 1998, and an undergraduate degree with honors from the Academy of State Service in 1996. Prior to coming to the firm, Ms. Doll worked as an assistant attorney to the Inter-Parliamentary Assembly of the Commonwealth of Independent States. Ms. Doll currently serves as a Vice-Chair of the International Commercial Dispute Resolution Committee of the ABA Section of International Law. Ms. Doll is a member of the Bar(s) of New York and Russia. She is a member of the American Bar Association and the Association of the Bar of the City of New York. She is fluent in Russian.

Chi Jiang is an associate based in the firm's New York office, currently on secondment in the Shanghai office. Mr. Jiang is in the Corporate Department. He has experience in general corporate, project finance, and private equity fund formation. Deals he worked on include a $450 million debt financing as part of an expansion of a major copper mine in Peru, an acquisition of part of the Asian operation of an U.S.-based multi-national company, and a $500 million first time Delaware real estate fund investing through REITs. Prior to joining the firm in 2004, Mr. Jiang worked as a China law consultant with the Shanghai Office of a major Chicago-based international law firm, working on projects related to foreign direct investment in China. Mr. Jiang received a J.D. degree from Washington University in St. Louis in 2004. He received an M.A. degree in Simultaneous Interpretation from Xiamen University in China in 1999, and a B.A. degree in American and English Literature from Xiamen University in 1996. Mr. Jiang is a member of the Bar of the State of New York. He is also qualified, although not currently licensed, to practice in the People's Republic of China since 1997. He is fluent in English, Mandarin, and Shanghai dialect.

Danielle de Zorzi is an associate based in the Hong Kong office, and a member of the firm's Securities, Mergers & Acquisitions and Private Equity Groups. Her practice focuses on international M&A and capital markets transactions as well as private equity financings. Ms. de Zorzi joined the firm in 2008. She received her B.A. from Columbia University and her J.D. cum laude from the University of Miami School of Law. She is admitted to the Bar in New York and Massachusetts.

David Grosgold is an associate based in the New York Office. Mr. Grosgold is in the Corporate Department. He focuses on insurance. Mr. Grosgold joined the firm in 2005. He received a J.D. degree from the Benjamin N. Cardozo School of Law in 2005, summa cum laude. Order of the Coif. Law Review (Submissions Editor). He received a B.A. from the Hebrew University of Jerusalem in 2001. Mr. Grosgold is admitted to the New York bar. He is fluent in Spanish and Hebrew.

Eliza M. Sporn is an associate based in the New York office. Ms. Sporn is in the Litigation Department. She focuses on internal corporate investigations, securities litigation, intellectual property litigation, including trademark and false advertising matters, and general commercial litigation. Ms. Sporn joined the firm in 2002. From 2001 to 2002 she clerked for the Hon. Lawrence M. McKenna, U.S. District Judge, Southern District of New York. Ms. Sporn received a J.D. degree from New York University School of Law with honors in 2001. Ms. Sporn was Articles Editor of the New York University Law Review and was named a Pomeroy Scholar and a Florence Allen Scholar. She received a B.A. degree, magna cum laude, from Brown University in 1995. Prior to coming to the firm Ms. Sporn worked as a senior publicist for Penguin Putnam Inc. Elliot Adler is an associate based in the Hong Kong Office. Mr. Adler received his B.A. in Chemistry from Reed College in Oregon, Ph.D. in Chemistry from Harvard University and J.D. from Harvard Law School. Mr. Adler is a member of the bar of New York and the United States Patent and Trademark Office.

Emilie Hsu is a member of the Corporate Department and focuses her practice on derivatives and structured finance transactions. She has extensive experience in the structuring, documentation and negotiation of various derivatives and other structured financial products, with an emphasis on equity derivatives and fund-linked structured products. Ms. Hsu first joined the firm in 1998. From 2001 to 2002, she was an associate in the Equity Derivatives Department of Morgan Stanley. In 2004, she was on secondment at Ramius Capital Group. Ms. Hsu graduated in 1997 with a J.D. and a Parker School Certificate in International Law with honors from Columbia Law School, where she was a Stone Scholar and the Managing Editor of the Columbia Journal of Asian Law. Ms. Hsu received her B.A. in Philosophy and Religion from Columbia College in 1994 summa cum laude where she was elected to Phi Beta Kappa and was class salutatorian. Prior to joining the firm, Ms. Hsu worked as an associate at Winthrop, Stimson, Putnam & Roberts. Ms. Hsu is listed in Who's Who in America and is a member of the Bar of New York and the New York State Bar Association. She is fluent in French and Chinese.

Gail Steiner is an associate based in the London office. Ms. Steiner is in the Corporate department. She focuses on Mergers and Acquisitions. Ms. Steiner joined the firm in 2004. Ms. Steiner received a J.D. degree from Columbia Law School in 2004. She was a Harlan Fiske Stone Scholar. She received an M.B.A. from Columbia Business School in 2004, and a B.A. from Stanford University in 1998. Prior to coming to the firm Ms. Steiner worked as an analyst at Merrill Lynch. Ms. Steiner is a member of the Bar of New York. She is also a member of the Association of the Bar of the City of New York.
