Colby Smith is a litigation partner with Debevoise whose practice focuses primarily on securities class action and derivative litigation and Securities and Exchange Commission enforcement matters. Mr. Smith has experience representing public company audit committees in the context of independent investigations, including those prompted by information brought to light by their auditors, or current or former employees. Mr. Smith also has represented a number of the firm's clients in a wide range of other litigation matters, most often involving allegations brought by class action plaintiffs. Mr. Smith is recognized as a leading lawyer in Legal 500 US (2008). Mr. Smith is a member of the Litigation Section of the American Bar Association, where he participates in the Class Action and Appellate Practice Committees. He is a member of the New York and District of Columbia bars and admitted to practice before the US Supreme Court, US Courts of Appeals for the Second, Third, Ninth, Tenth and District of Columbia Circuits, and the US District Courts for the Southern District of New York, Eastern District of New York and District of Columbia. Mr. Smith co-authored "Managing Marketers: Supervisory Responsibilities of Broker-Dealers and Investment Advisers" (CCH, 2000). Mr. Smith joined the New York office of Debevoise in 1988 and became a partner in 1996. He transferred to the firm's Washington office in 1998. He received B.S. degrees magna cum laude in Philosophy and Political Science from the University of Utah in 1979 and 1980. He received his M.A. in Philosophy from Columbia University in 1984, where he was a President's Fellow. He earned his J.D. from the Columbia University School of Law in 1987, where he was a Senior Editor of the Law Review and a Stone Scholar.
Darius Tencza is a member of the firm's Finance Group. He regularly represents banks and other large financial institutions in their lending and other investment activities. He also spends a significant amount of time on tax-exempt bond financings and on project and equipment finance matters. Recently, he has begun to work on investment strategies for hedge funds.

Geoffrey Burgess is a partner in the firm's Corporate Department in London with a broad international practice that ranges from private equity and cross-border mergers & acquisitions to joint ventures and intricate financing transactions. Jeffrey Rosen is one of the leading M&A lawyers in New York and has advised major corporations and private equity firms on significant acquisitions and divestitures for decades. Mr. Rosen is Co?Chair of the Mergers & Acquisitions Group, a member of the firm's Management Committee, and serves as Deputy Presiding Partner of the firm. John Curry is Chair of the Aircraft Finance Group and a member of the Securities Group. He has played a leading role in ground-breaking transactions that have transformed financings in the airline industry. Mr. Curry estimates that he has participated in the leasing, financing or refinancing of many hundreds of commercial jet aircraft over the years. Many of those transactions have involved structured variations or innovative features that have since become standard in the industry. In addition, he co-led the firm's work for Delta Air Lines in its aircraft financing restructuring program in 2004 and for American Airlines in its program in 2003, each of which involved coordinating a team of approximately 50 lawyers. These two transactions represent the only two restructuring programs for major US airlines that have been successfully completed out of bankruptcy without a government guaranty.
Jonathan Levitsky is a member of the firm's Corporate Department whose practice focuses primarily on public and private mergers and acquisitions and joint ventures. Prior to joining Debevoise in 2001, Mr. Levitsky served as Counselor to Ambassador Richard C. Holbrooke at the US Mission to the United Nations, and as a Member of the State Department's Policy Planning Staff. Mr. Levitsky became a partner of the firm in 2007. Mr. Levitsky received his A.B. magna cum laude from Brown University in 1990, an M.Phil. in Politics from Oxford University in 1992, where he was a Marshall Scholar, and his J.D. from Yale Law School in 1995, where he was a member of the Yale Law Journal. Lawrence Cagney is Chair of the firm's Executive Compensation & Employee Benefits Group. He designs compensation plans and programs for public and private companies and assists them with related SEC reporting requirements and tax issues. Marcia MacHarg, a partner in the Washington, DC office of Debevoise, relocated to the firm's Frankfurt office in 2001. Her practice encompasses securities laws and investment fund formation and regulation. She represents buyers and sellers in mergers and acquisitions, principally in the investment management and financial services industries. Ms. MacHarg advises US and international clients in organizing funds for public or private sale domestically and in offshore jurisdictions. Margaret Andrews Davenport ("Peggy"), Co-Chair of the firm's Private Equity Group, is widely recognized as a leader in the field of private equity M&A. Ms. Davenport has a broad-based transactional practice advising private equity firms and other corporate clients in structuring and negotiating acquisition and finance transactions.
Matthew Golden is a corporate partner and a member of the firm's Real Estate Group. Mr. Golden regularly advises pension funds, investment funds, foreign investors and individuals in real estate acquisitions, dispositions, joint ventures, financings and net lease transactions. He has also worked on a significant number of transactions advising sponsors of real estate investment funds. Chambers USA (2007) notes that clients find Mr. Golden to be "a delight to work with or against." Mr. Golden has also been praised by clients to be an "unflappable problem solver." Mr. Golden joined Debevoise as an associate in 1992 and became a partner in 2000. Michael Harrell is widely recognized as a leader in the field of private equity fund formation. As Co?Chair of the firm's Private Equity Funds Group, Mr. Harrell focuses on advising sponsors of leveraged buyout, distressed debt, telecommunications, international private equity, mezzanine and other private investment funds. Mr. Harrell's clients range from newly formed firms to a number of the leading firms in the private equity industry, including the buyout firm Clayton, Dubilier & Rice, telecommunications and media firm Providence Equity Partners and distressed debt private investment firm Oaktree Capital Management. Mr. Harrell recently was credited with the continued development of a "jewel of a practice" in Chambers USA, one of the many publications that ranks Mr. Harrell as a leading practitioner in his field.
Michael Blair, the Chair of the firm's Corporate Department, has served as lead counsel in a host of major M&A transactions, advised senior executives and boards of directors on governance matters and handled securities transactions for issuers and underwriters alike. Mr. Blair is recommended by Legal 500 US (2008), which notes that he has worked with "some major clients including Phelps Dodge", the supervisory board of ABN Amro and AXA Financial. Mr. Blair joined Debevoise in 1981 and became a partner in 1989. He received his B.A. from Yale University in 1977 and his J.D. from the University of Chicago in 1981. Mr. Blair is a member of the Association of the Bar of the City of New York, the American Bar Association and the International Bar Association.
Nicole Levin Mesard is a corporate partner and a member of the firm's Real Estate Group. She is experienced in all aspects of real estate law, including sophisticated financings, joint ventures, acquisitions and sales of retail and commercial properties, and restructurings of commercial real estate loans, including in bankruptcy.
Paul Lee is Chair of the firm's Banking Group and a member of our Financial Institutions Group. He has extensive experience in the banking industry as a corporate lawyer, both as a general counsel and in private practice, as well as experience in the public sector with leading bank supervisory agencies. Mr. Lee has been recognized by Chambers USA as a leader in the field of regulatory compliance in financial services, with clients applauding his "fantastic range of skills in the regulatory banking and insurance fields (2006)," his "practical and really enormously helpful" approach (2007), and his "crisp, cogent and analytically sound" opinions (2008). Prior to joining Debevoise, Mr. Lee was Executive Senior Vice President and General Counsel of HSBC USA Inc., where he served as the senior legal officer in the United States advising senior management in the United States and London on legal, regulatory and compliance matters. He was a member of HSBC USA's Senior Management Committee and Risk Management Committee. Mr. Lee began his career as a corporate associate at Debevoise from 1974 to 1977, followed by two years at the U.S. Department of the Treasury, where he served as Executive Assistant to the Deputy Secretary of the Treasury and Special Assistant to the General Counsel of the Treasury. Mr. Lee served as Deputy Superintendent and Counsel of the New York State Banking Department from 1980 to 1981 when he joined a major, international law firm as a partner. During his 12 years at that firm, Mr. Lee concentrated on banking transactions and regulations, mergers and acquisitions, and acting as underwriters' counsel on offerings by banks and other global financial institutions. In 1994, Mr. Lee joined a client, Republic New York Corporation, as General Counsel. (Republic New York was acquired by HSBC in 1999 and became HSBC USA Inc.) Mr. Lee has been a Lecturer in Law at Columbia Law School since 2002 and was a Lecturer in Law at the University of Pennsylvania Law School from 1983 to 1986. He speaks frequently on the banking industry and has written extensively on issues relating to banking and international finance. His recent publications include "Risk Management and the Role of the Board of Directors: Regulatory Expectations and Shareholder Actions," 125 Banking Law Journal 679 (2008), "The USA PATRIOT Act Requirements for Foreign Banks," 1 Regulation of Foreign Banks (4th ed., 2007), "The USA PATRIOT Act and Due Diligence Requirements for Foreign Correspondent and Private Banking Accounts" Part I, 2 Journal of Payment Systems Law 87 and Part II, 2 Journal of Payment Systems Law 187 (2006); "The USA PATRIOT ACT and Anti-Money Laundering Program Requirements for the Insurance Industry," 1 Journal of Payment Systems Law 763 (2006). Mr. Lee received his B.A. summa cum laude from Georgetown University in 1969. He received his J.D. magna cum laude from the University of Michigan Law School in 1972, where he was the Editor-in-Chief of the Michigan Law Review. He served as Law Clerk to the Honorable Walter R. Mansfield, US Court of Appeals for the Second Circuit, from 1973 to 1974.

Pierre Clermontel is the co-managing partner of the firm's Paris office. His practice focuses on corporate finance, capital markets transactions and mergers & acquisitions. Alicia C. McCarthy is Counsel with Debevoise & Plimpton LLP and a member of the firm's Executive Compensation and Employee Benefits Practice Group. Her principal focus is on ERISA's fiduciary rules and the investment of plan assets. She provides ERISA advice to private equity, distressed debt, mezzanine, real estate and hedge funds. Ms. McCarthy has represented numerous sponsors including American International Group, J.F. Lehman & Company, JP Morgan Investment Management, Kelso & Company, Morgan Stanley, Oaktree Capital Management, Prudential and Providence Equity Partners. On the investor side, she counsels fiduciaries to pension trusts including the DaimlerChrysler Corporation Master Retirement Trust and General Electric Pension Trust with respect to investments and investment management arrangements. Ms. McCarthy also advises clients with respect to employee benefit matters involving mergers and acquisitions, bankruptcy reorganizations, bank financings, litigation as well as plan compliance. Prior to joining Debevoise in 1999, Ms. McCarthy worked at Dewey Ballantine from 1987-98 and Baer, Marks & Upham from 1984-87. Ms. McCarthy received her B.A. in 1981 from Georgetown where she majored in Government, and her J.D. in 1984 from Brooklyn, cum laude, where she worked on the Journal of International Law. Ms. McCarthy is the author of Case Digest, "Gibbons v. Udaras na Gaeltachta", 10 Brooklyn J. Int'l L. 255 (1984). She was admitted to the bar in New York 1985.

Mr. Sommer is Senior Vice President, Systems and Technology at GCG. In addition to being the architect of GCG's technology-based solutions to settlement administration, his experience involves system design and integration at a variety of levels, including requirement definition, detailed design specification, and coding and implementation. Mr. Sommer's experience encompasses legal, financial, telecommunications, personnel, manufacturing, and quality control applications. In sum, he has over 20 years of experience in developing state-of-the-art systems to deal with the needs of class action and bankruptcy administrations. This experience is unparalleled in our industry. Among Mr. Sommer's many accomplishments is the creation of production software to interpret document images and to develop highly accurate data which can then be further changed and managed. Over the years he has been responsible for leading the development of GCG's CLASS software from its beginnings as a mainframe application, to its current implementations as a distributed system. Mr. Sommer was part of the team responsible for collecting claim information from the Kuwaiti people for the United Nations' class action against Iraq following the Gulf War. Using imaging technology, he helped develop a collection system for close to 200,000 claims, amassing more than one and a half million images. GCG's ability to administer complex, high-volume cases is attributed in part to Mr. Sommer's technical innovations. A graduate of Queens College, Mr. Sommer also earned a certificate in Computer Technologies from New York University.

Barton Legum is Counsel in the Paris office of Debevoise & Plimpton LLP and a member of the firm's Litigation Department. His practice focuses on international arbitration and litigation. He has argued cases before numerous international arbitration tribunals, the International Court of Justice and state and federal trial and appeals courts in the United States. Mr. Legum joined Debevoise in 1987 and became Counsel in the firm's New York office in 1998. Earlier in his career he was a law clerk to the Hon. Carolyn Dineen King, now Chief Judge of the United States Court of Appeals for the Fifth Circuit. From 2000 to 2004, Mr. Legum served as Chief of the NAFTA Arbitration Division in the Office of the Legal Adviser, United States Department of State. In that capacity, he acted as lead counsel for the United States Government in defending over $2 billion in claims submitted to arbitration under the investment chapter of the North American Free Trade Agreement. The United States won every case decided under Mr. Legum's tenure. Mr. Legum is a member of the Council of the American Bar Association's Section of International Law. He is the Council Committee Liaison who oversees the Section's Committees on International Commercial Dispute Resolution, International Litigation, International Courts and International Criminal Law. He served as a Co-Chair of the Section's International Litigation Committee from 1999 to 2003. Mr. Legum received his D.E.A. in public international law from the Universite de Droit, d'Economie et de Sciences Sociales de Paris in 1987, his J.D. magna cum laude from the University of Georgia School of Law in 1985 and his B.A. from Rice University in 1982. He is a member of the bars of New York and Georgia.

Catherine M. Doll is an associate in the firm's Litigation Department whose practice focuses on general commercial litigation, international arbitration, and bankruptcy litigation. Chi Jiang is an associate based in the firm's New York office, currently on secondment in the Shanghai office. Mr. Jiang is in the Corporate Department. He has experience in general corporate, project finance, and private equity fund formation. Deals he worked on include a $450 million debt financing as part of an expansion of a major copper mine in Peru, an acquisition of part of the Asian operation of an U.S.-based multi-national company, and a $500 million first time Delaware real estate fund investing through REITs. Prior to joining the firm in 2004, Mr. Jiang worked as a China law consultant with the Shanghai Office of a major Chicago-based international law firm, working on projects related to foreign direct investment in China. Mr. Jiang received a J.D. degree from Washington University in St. Louis in 2004. He received an M.A. degree in Simultaneous Interpretation from Xiamen University in China in 1999, and a B.A. degree in American and English Literature from Xiamen University in 1996. Mr. Jiang is a member of the Bar of the State of New York. He is also qualified, although not currently licensed, to practice in the People's Republic of China since 1997. Matthew Getz is a New York qualified associate in the Litigation Department. Mr. Getz joined Debevoise in New York in October 2005, moving to the London office in January 2008. He graduated from Stanford University with a BA in 1994 and from Georgetown University Law Center with a JD, magna cum laude, in 2005. He was admitted to the New York Bar in 2006. Mr. Getz has represented large multinational companies in contractual litigation, intellectual property lawsuits, international arbitration and FCPA independent investigations. His pro bono work has included the representation of NGOs and international courts in international criminal law matters. Shortly after joining Debevoise, Mr. Getz was granted a leave of absence to work as a judicial intern for Theodore Meron, the then-president of the International Criminal Tribunal for the Former Yugoslavia.

Paul Epstein is an associate and a member of the firm's Finance Group. Severine Canarelli is Counsel with Debevoise & Plimpton LLP and a member of the firm's Mergers & Acquisitions Practice Group. For the past eight years, her practice has focused on mergers and acquisitions and strategic alliance transactions, particularly cross-border transactions. Ms. Canarelli joined Debevoise's Paris office in December 2004 from Linklaters' Paris office. She had worked at Linklaters' Paris office since 1997. Shannon Selden is a member of the firm's Litigation Department where her practice focuses on securities and white collar litigation and general commercial litigation. Ms. Selden joined the firm in 2001. From January 2003 to January 2004 she clerked for the Hon. Denise Cote, United States District Court for the Southern District of New York. Ms. Selden received a J.D. degree from Yale Law School in 2001. At Yale, she was the co-Editor-in-Chief of the Yale Journal of Law & the Humanities and a director of the Morris Tyler Moot Court Competition. She received a B.A., summa cum laude, from Amherst College in 1998. In 2004 and 2005, Ms. Selden was an Assistant Professor of Law at the University of Toledo, where she taught Constitutional Law, Civil Procedure, and Criminal Law. Her research focused on securities law, in particular, on interdisciplinary analysis of the adequacy of laws designed to prevent and prosecute malfeasance in the financial markets. She is the author of (Self-)Policing the Market: Congress's Flawed Approach to Securities Law Reform, 33 J. Legislation 57 (2006). Steve Vaccaro focuses his practice on products liability, bankruptcy and insurance coverage litigation with particular emphasis on mass torts. Among other assignments, Mr. Vaccaro has managed extensive mass tort litigation in key eastern seaboard jurisdictions. His practice also includes general commercial and civil rights litigation and arbitration. Cases illustrative of Mr. Vaccaro's practice include Lippe v. Bairnco, 249 F.Supp.2d 357 (S.D.N.Y. 2003), SIAMI v. Tolbert, 762 N.Y.S.2d 36 (App. Div. 2003), Hamilton v. Garlock, 115 F.Supp.2d 437 (S.D.N.Y. 2000) and Owens-Corning Fiberglas Corp. v. Sitz, 970 S.W.2d 103 (Tex. App. 1998). Mr. Vaccaro is admitted to the bar in New Jersey, New York and is admitted to appear before the US District Courts for the Southern District of New York, the Eastern District of New York and the District of New Jersey. Mr. Vaccaro is also a member of American Bar Association, and serves as co-chair of the Bankruptcy and Insolvency Subcommittee of the Association's Insurance Coverage Litigation Committee. Mr. Vaccaro received his B.A. from Wesleyan University in 1986. After a career as a union representative of musicians and doctors, he earned his J.D. summa cum laude from Rutgers University-Newark in 1996 and was admitted to the Order of the Coif.
Steven Michaels is a member of the firm's Litigation Department whose practice focuses on advising on matters relating to compliance with the U.S. Foreign Corrupt Practices Act and related statutes and regulations, and assisting in the conduct of internal investigations as a member of the firm's White Collar Litigation practice group. He has assisted in the provision of advice to, and on investigations for, more than a dozen major U.S. and non-U.S. corporations in these areas. In 2004-2005, he assisted the Hon. John S. Martin in his capacity as FCPA Independent Consultant to Schering-Plough Corporation. Mr. Michaels' practice areas also include international and construction arbitration, as well as complex civil and class action litigation, federal trial and appellate practice, product liability and general commercial litigation. His list of current and recent matters includes construction and related contract disputes concerning facilities/public works in the United States, Argentina, the Bahamas, Bolivia, Brazil, the Cayman Islands, Ghana and Venezuela. Before joining Debevoise in 1996, Mr. Michaels served for more than eleven years in various capacities, including First Deputy Attorney General and Solicitor General, in the Department of the Attorney General, State of Hawaii. In those capacities, he successfully briefed and argued Burdick v. Takushi, 504 US 428 (1992) and Sandin v. Conner, 515 US 472 (1995); he also participated in more than two dozen other cases in the US Supreme Court, briefed and/or argued more than fifty appeals in the state and federal appellate courts, and supervised or tried complex civil and criminal matters in the state and federal trial courts. From 1983 to 1984, Mr. Michaels served as a Law Clerk to the Honorable Edward Weinfeld, US District Court for the Southern District of New York. He was admitted to the bars of New York and Hawaii in 1985, and is admitted to appear before the US Supreme Court, the Courts of Appeals for the Second, Ninth and Tenth Circuits, and the US District Courts for the Eastern, Northern and Southern Districts of New York, the District of Hawaii and the Northern District of California. From 1979 to 1980, Mr. Michaels served as a member of the Minority Staff of the US Senate Governmental Affairs Subcommittee on Oversight of Government Management. Mr. Michaels received his J.D. cum laude from Harvard Law School in 1983, where he served as Supreme Court and Developments Editor of the Harvard Law Review. He obtained an A.B. in Public and International Affairs cum laude from Princeton University in 1979.

Yulia Andreeva is Associate in the New York office of Debevoise & Plimpton LLP and a member of the firm's litigation department. Her practice focuses on international arbitration and litigation. Ms. Andreeva joined Debevoise in 2004. From 2001 to 2003 she clerked for the Permanent Court of Arbitration in The Hague, The Netherlands, where she worked on large interstate disputes and international commercial arbitrations. In 2004, Yulia received a Master of Laws in International Legal Studies degree from New York University, where she was a Hauser Global Scholar. She also graduated with a Master of Laws in Public International Law from Leiden University, The Netherlands, in 2001. She received a Specialist in Law (equivalent of J.D.) degree cum laude from the Urals State Law Academy, Russia, in 2000. In 1999, Ms. Andreeva received the National Award of the President of the Russian Federation for exceptional academic and professional achievements in law. She is a Gold Medal winner of three All-Russian legal competitions in private and public international law and several regional competitions in legal studies.
