Adam is a London based corporate partner with the international law firm Dechert LLP. He specialises in private equity transactions, domestic and international acquisitions and disposals, joint ventures and corporate advisory work. Adam regularly advise private equity clients on transactional matters, including Platinum Equity, Crossroads Capital, New World Resources and Klesch. He was formerly a partner at Baker and Mackenzie, London and Church & Grace, Sydney qualified as a solicitor at Slaughter and May and joined Dechert in September 2005. Adam has a law degree from Kings College, London and is admitted to practice in England and Wales, qualifying in 1989 as well as in New South Wales, Australia, since 1991.

G. Daniel O'Donnell will serve as a director of the Bank. Mr. O'Donnell is a partner with the law firm Dechert, LLP and he is the chair of the firm's private equity group. He has overall responsibility for many of the firm's most active private equity clients. He serves on Dechert's Policy Committee. Mr. O'Donnell's practice focuses on mergers and acquisitions, corporate restructurings, and venture capital transactions. Mr. O'Donnell's firm acted as counsel to Roxborough Manayunk Bank in its sale to Citizens Financial Group.

Jason Rozes is a partner in the finance and real estate group of Dechert LLP, resident in the Philadelphia, Pennsylvania, office. His practice is focused in the areas of commercial real estate finance and commercial mortgage securitization. Mr. Rozes represents various U.S. and European institutional lenders and equity investors in a variety of transactions involving permanent and bridge loan origination, mezzanine and other subordinate debt financings, loan participations and other co-lender arrangements. He also represents a national rating agency, mortgage loan sellers and loan servicers in transactions involving CMBS securitizations. Mr. Rozes began his legal career in New York, New York, where he was an associate in the real estate department of both Cadwalader, Wickersham & Taft LLP and Kaye Scholer LLP. While at Kaye Scholer, Mr. Rozes assisted with the authorship of a November 2001 article published in The New York Law Journal entitled "Multi-Lender Loans Pose Challenges: Innovative Structures Raise Uncommon Issues in Common Alliances." Recently, Mr. Rozes presented "Building a Better or Just a More Complicated Loan" at the Mortgage Bankers Association's Asset Administration and Technology Conference held in Chicago, IL, May 4-6, 2005. He is a member of the New York and Pennsylvania Bars.

Jeffrey W. Brennan is a partner in Dechert's Antitrust/Competition Practice. Chambers USA ranks Dechert's antitrust team as one of the top practices in the country, and Mr. Brennan as a top antitrust attorney in Washington, D.C. Among the firm's and Mr. Brennan's most recent accomplishments was defeating the Federal Trade Commission's federal court action to block Dechert client Whole Foods Market, Inc.'s acquisition of rival Wild Oats Markets, Inc. Chambers USA describes Mr. Brennan's role as "instrumental" to that victory and recognizes him as an "extremely professional and excellent litigator." Mr. Brennan has specialized in antitrust law, mergers, litigation, government investigations, and counseling since he entered the legal profession in 1985. In addition to many years in private practice, from 2001-06 Mr. Brennan held senior positions with the Federal Trade Commission's Bureau of Competition ("FTC") as Assistant Director (head of Health Care Services and Products Division) and then as Associate Director. When he left the FTC for Dechert in 2006, FTC Chairman Deborah P. Majoras presented Mr. Brennan with the Commission's Award for Distinguished Service for his leadership in advancing the Agency's competition mission with particular recognition for his achievements in the health care sector and in mergers analysis. When Mr. Brennan was FTC Associate Director (2005-06), Chairman Majoras appointed him to be the agency's chief drafter of the joint FTC-Department of Justice ("DOJ") 2006 publication, Commentary on the Horizontal Merger Guidelines, which is the only comprehensive FTC-DOJ explication of U.S. merger analysis since the agencies issued the Horizontal Merger Guidelines in 1992. The Chairman presented Mr. Brennan with another distinction, the Award for Superior Service, in recognition of his work on the Commentary. During this period, he also oversaw and directed merger and non-merger investigations across the Bureau of Competition and the FTCs regional offices, as well as special projects involving health care competition policy. As head of the FTC's Health Care Services and Products Division (2001-04), Mr. Brennan led more than thirty attorneys and professional staff in antitrust investigations, litigation, and competition policy initiatives focused on health care markets especially in the pharmaceutical, hospital, and the medical profession sectors. He and his staff emphasized law enforcement in core antitrust areas including joint ventures, price-fixing arrangements, horizontal restraints, and merger analysis, as well as in emerging areas of antitrust law regarding patent settlement agreements between brand and generic drug manufacturers, abuse of government process in drug patent procurement and FDA procedures, sham litigation, and other exclusionary practices aimed at stifling rival entry and price competition. During the period that Mr. Brennan ran the Division, over thirty cases under his direction resulted in FTC consent orders. Prior to joining the FTC, Mr. Brennan was an antitrust partner in a large Washington, D.C. law firm, where, in addition to counseling, he represented some of the country's largest and leading companies in investigations before the FTC and DOJ and in federal court antitrust litigation. In the area of merger litigation in private practice and with the FTC combined Mr. Brennan has tried seven government federal court actions to enjoin proposed mergers between competitors including, at Dechert, the aforementioned 2007 FTC challenge to the Whole Foods/Wild Oats merger.

John Gordon is a partner in Dechert LLP's Financial Services Group. Mr. Gordon's securitisation and structured finance experience covers CDOs (both cash and synthetic), and a wide variety of securitisations, including hire purchase and lease receivables, distressed property loans, consumer receivables, as well as commercial and residential mortgages. Mr. Gordon joined Dechert as a partner in 2001. He previously worked on the business side of Nomura International plc's Principal Finance Group in London and prior to that he was a member of Clifford Chance's Securitisation Group.

Peter Draper is a partner in Dechert's Financial Services Group. Mr. Draper has more than 20 years of experience assisting Dechert clients in accomplishing their inward investment objectives throughout Europe, particularly in the areas of international mergers and acquisitions, financing and corporate structuring. The primary focus of his practice is on the corporate finance needs of clients in the financial services (particularly hedge fund) sector, particularly on acquisitions and disposals and related tax, corporate and fund restructuring, outsourcing and incentivisation issues. Mr. Draper was admitted as a solicitor in 1976.

Philip N. Yannella is a partner in the mass torts and product liability group. Mr. Yannella has defended clients in product liability, mass tort, and consumer fraud cases involving an array of consumer and prescription products. He has represented his clients in all aspects of litigation from successfully challenging class certification and consolidated issues trials through ultimate trial, arbitration, and appeal. He has served on trial teams in litigation involving latex gloves, motor oil, forklifts, blood products, tobacco, and multiple pharmaceutical products. In addition, Mr. Yannella has developed an extensive practice advising clients on e-discovery matters. He serves on Dechert's national discovery teams for a number of pharmaceutical and biotech companies in significant litigations. In this role, he advises clients on the implementation of litigation holds, protocols for management and coordination of national discovery, restoration of backup tapes, confidentiality and privilege disputes, vendor selection, and overall discovery strategy. He has represented clients in Rule 26(f) conferences and discovery hearings, and argued significant e-discovery motions in federal and state courts. Mr. Yannella has special expertise in discovery issues surrounding FDA regulatory submissions, clinical trial data, trade secrets, European privacy laws and blocking statutes, and the Stored Communications Act. He also writes and lectures on e-discovery and data privacy issues.

Sean P. Wajert is a partner at Dechert and a co-chair of the firm's mass torts and product liability practice group. He has represented companies such as Wyeth, Baxter Healthcare, Philip Morris, Amgen, West Pharmaceutical, Firmenich, and Rhodia Inc. in product liability and toxic tort actions throughout the country. For Wyeth, Mr. Wajert served as trial counsel in numerous diet drug trials. He served as lead counsel for Rhodia in litigation arising from the explosion and fire at a New England textile mill, and has represented Philip Morris at class action trials in multiple jurisdictions. Mr. Wajert represented Philip Morris at the first tobacco medical monitoring trial ever, a class action involving 250,000 smokers in the state of West Virginia. His team secured a defense jury verdict. He also served as lead counsel for West in toxic tort class action claims arising from the alleged release of chemicals from their North Carolina facility. His products experience has also included pharmaceuticals, forklifts, asbestos, PCBs, isocyanates, and other chemicals. Clients retain Mr. Wajert as a trusted advisor on complex product-related issues. A significant part of his practice involves advising clients in the mergers & acquisitions context on the potential litigation risks they may acquire with their purchase, and ways to mitigate those risks. Mr. Wajert also is frequently called upon by clients to monitor ongoing mass torts for them, such as that involving welding rods, as plaintiffs threaten to add new classes of defendants. Clients also frequently reach out to Mr. Wajert for advice and counsel regarding emerging tort issues, such as those involving the chemical BPA in food containers, or the potential liability issues related to a new technology for cord blood storage. Mr. Wajert has advised clients in the adhesives industry on formaldehyde exposure issues, emerging science, and the potential impact of events in In Re FEMA Trailer Formaldehyde Products Liability Litigation, MDL No. 1873 (E.D. La.). Steven Fogel is managing partner of Dechert, London . He has spent many years serving on the firm's worldwide policy committee and specialised in dealing with issues arising from legal practice in an international context , recruitment and lawyer career management and media strategy.. Steven has taken a keen and active interest in the real estate and retail sectors . He advises many well-known companies and institutions in this field. He is the co-author of several leading textbooks on UK real estate law. He is a past Chairman of the UK "Investment Property Forum" and currently a serving board member. Steven G. Bradbury is a litigation partner who focuses his practice on antitrust, securities litigation, and other commercial litigation and appellate matters. Mr. Bradbury joined Dechert LLP in July 2009 after serving as head of the Office of Legal Counsel of the U.S. Department of Justice, where he was Principal Deputy Assistant Attorney General from 2004 to 2009 and Acting Assistant Attorney General from 2005 to 2007. As head of OLC, Mr. Bradbury advised the President, the Attorney General, and the heads of the various executive departments of the federal government on some of the most significant questions of constitutional, statutory, and administrative law and treaty interpretation, and he testified numerous times before Congress. Prior to his government service, Mr. Bradbury was a partner with a leading international law firm in Washington, where he represented leading companies in the telecommunications, financial services, and airline industries in a variety of antitrust, securities, constitutional law, administrative law, and general litigation disputes, both at the trial and appellate levels. He has extensive experience as lead counsel. During his tenure in the Department of Justice, Mr. Bradbury received the Edmund J. He worked as an Attorney-Adviser in the Office of Legal Counsel in 1991-1992, and as an associate at Covington & Burling LLP from 1988 to 1990.

Stuart Martin, a partner with Dechert LLP's Financial Services Group, has more than 15 years of experience in advising on financial services, asset management and related corporate finance work. Mr. Martin advises on the establishment and structuring of asset management and financial services businesses, financial products and related corporate finance work. He advises on the establishment and structuring of retail and institutional funds established in the UK and internationally (including Europe, the United States and Asia) including emerging market funds, hedge funds, multi-manager funds, property funds and venture capital funds. Mr. Martin also regularly advises on fund mergers and re-organisation involving UCITS and non-UCITS funds and UK investment trusts. Thomas H. Lee II is a partner in the white collar and securities litigation group. Bernard J. Bonn III is of counsel at Dechert. His areas of practice include intellectual property, commercial, securities, antitrust, employment, and computer law litigation, as well as arbitration and alternative dispute resolution. Mr. Bonn's practice consists principally of counseling clients and of representing them in federal and state courts, before administrative agencies, and in alternative dispute resolution proceedings and processes, in matters involving primarily technology, intellectual property, securities, and complex business matters. Prior to Dechert, Mr. Bonn started the litigation department and was senior litigation partner at what became one of the most prominent venture capital and technology law firms in the U.S. and the largest law firm in Boston.

Cord Clayton clerked for the Honorable Joseph E. Irenas of the District of New Jersey before starting his career in private practice as a litigator in Philadelphia, first at Dechert and now at Bazelon Less & Feldman. Mr. Clayton has extensive trial and appellate experience in a wide range of litigation matters. Early in his career, he spent more than a year on trial in perhaps the largest product liability class action ever to proceed to a jury verdict. Other significant product liability matters he has been involved with include Fen-Phen, in which he and his co-counsel obtained a substantial settlement for a group of objecting health insurers, as well as lawsuits involving prescription drugs and cell phones. Mr. Clayton also represented numerous health insurers in antitrust lawsuits against a pharmaceutical company. In the intellectual property area, Mr. Clayton has handled litigation involving software licensing and copyright infringement as well as patent suits relating to laser and manufacturing technologies.
