QAD

Karl F. Lopker has served as Chief Executive Officer and a Director of the Company since joining QAD in 1981. Previously, he was President of Deckers Outdoor Corporation, a company that he founded in 1973. Mr. Lopker is certified in production and inventory management by the American Production and Inventory Control Society. He received a bachelor of science degree in electrical engineering from the University of California, Santa Barbara. Mr. Lopker is married to Pamela M. Lopker, Chairman of the Board and President of QAD.

Daniel Lender was reappointed Chief Financial Officer in October 2008. He served as QAD's CFO from July 2003 to September 2008. Prior to that, he was QAD's Vice President of Global Sales Operations and Vice President of Latin America. Lender initially joined QAD in 1998 as Treasurer, following a nine-year tenure with the former Republic National Bank of New York in various executive roles. He earned a master of business administration degree from the Wharton School of the University of Pennsylvania and a bachelor of science degree in applied economics and business management from Cornell University.

Kara Bellamy has served as Vice President, Corporate Controller and Chief Accounting Officer since January 2008. She joined QAD as Assistant Corporate Controller in July 2004 after working for Somera Communications, Inc. as its Corporate Controller. Ms. Bellamy began her career at the public accounting firm of Ernst & Young. She is a Certified Public Accountant and received a bachelor of arts degree in business economics with an accounting emphasis from the University of California, Santa Barbara.

Leif Petersen is vice president and chief information officer of QAD Inc. He oversees the company's business systems and provides guidance and direction to support QAD's information technology architecture. Petersen has served as chief technology officer of QAD Business Systems and as director of Global Technical Services within the company's research and development organization. He joined QAD in 1995 with responsibility for product development and the genesis of technical services that are now part of QAD Global Services capabilities. Before joining QAD, Petersen held posts in the telecommunications industry including director of information technology for Worldcom, where he supported expansion of the company's IT operations concurrent with Worldcom's growth from $200 million to $2.3 billion over five years. Petersen holds a Bachelor of Science degree in computer science from the University California, Santa Barbara.

Chris Hageman is vice president, Global Support for QAD Inc. Hageman oversees worldwide customer support operations including help desk and quality-related functions. His tenure at QAD includes roles as U.S. regional sales manager and vertical manager, Life Sciences in QAD Singapore. Earlier in his career, Hageman held sales leadership and accounting systems management positions at ISS Healthcare and Vanguard Securities, respectively. Hageman has a Bachelor of Science in management from St. Joseph's University, Philadelphia, Penn.

Tony Yip is managing director, QAD Asia. He is responsible for guiding the growth of QAD in the region. Yip has held a variety of pan-Asia management roles focused on strategic growth and operations for enterprise technology companies including Ariba, Deloitte Consulting and JD Edwards. Yip began his career in financial controls. Yip holds a Bachelor of Science degree in finance and a Master of Business Administration degree from Southern Illinois University.

Maxwell Miao Qing is country manager, QAD China. He oversees operations in China including QAD and partners' delivery of solutions and services, and manages local and multinational sales in the region. Miao brings experience from implementing QAD solutions, as well as from pre-sales and sales management roles for JD Edwards China, and as general manager of supply chain solution provider Infrontier China. Miao holds a Master of Science degree in mechanical engineering.

Barbara Escher is the owner and President of High-Tech Communications Consulting, Inc. (HTCC). Barbara has nearly 20 years' experience in achieving the marketing goals of large and small organizations. That experience includes marketing strategy, PR and marketing communications. Although HTCC has no "typical" client, Barbara's unique expertise in the marketing needs of high-tech companies has given HTCC the opportunity to serve enterprise vendors like SAP and QAD; automated data collection and bar code solution providers such as Eagle Consulting and Development; e-commerce exchanges such as iubeo.net; e-commerce developers such as E-Commerce Technology Florida and many more. Barbara is a Past President of the Tampa Bay Chapter of the National Association of Women Business Owners.

A.J. Bert Moyer has been a director of the Company since February 2004. Mr. Moyer, a business consultant and private investor, served as Executive Vice President and Chief Financial Officer of QAD Inc., a publicly held software company that is a provider of enterprise resource planning software applications, from March 1998 until February 2000, and he subsequently served as a consultant to QAD, assisting in the Sales Operations of the Americas Region. From February to July 2000, he served as president of the commercial division of Profit Recovery Group International, Inc. (now known as PRG-Schultz International, Inc.), a publicly held provider of recovery audit services. Prior to joining QAD in 1998, Mr. Moyer served as Chief Financial Officer of Allergan Inc., a specialty pharmaceutical company based in Irvine, California, from 1995 to 1998. Mr. Moyer also serves on the board of Collectors Universe, Inc., a company engaged in grading, auctioning and selling high-end collectibles, Virco Manufacturing Corporation, which designs and produces furniture for the commercial and education markets, and LaserCard Corporation, a manufacturer of optical data storage products.

Lee Roberts was appointed a director of QAD in January 2008. Mr. Roberts is the Vice President and General Manager, content management at IBM. He is the former Chairman and CEO of FileNet Corporation, a leading provider of business process and content management solutions, which was sold to IBM in 2006. Prior to joining FileNet, Mr. Roberts spent more than 20 years in a variety of sales, marketing and product management positions at IBM. He earned two bachelor's degrees from California State University, San Bernardino and a master's degree in business administration from the University of California, Riverside.

Scott J. Adelson has been a Director of QAD since April 2006. Mr. Adelson is a Senior Managing Director at Houlihan Lokey Howard & Zukin, a leading international investment bank. During his 18 years with the firm, Mr. Adelson has helped advise hundreds of companies on a diverse and in-depth variety of corporate finance issues, including mergers and acquisitions. Mr. Adelson has written extensively on a number of corporate finance and securities valuation subjects and is a frequent commentator on CNBC, CNN and in various business publications. He is an active board member of various middle market businesses as well as several recognized non-profit organizations such as the USC Entrepreneur Program. Mr. Adelson holds a bachelor degree from the University of Southern California and a master of business administration degree from the University of Chicago, Graduate School of Business.

Terry Cunningham was appointed a Director of QAD in December 2007. Mr. Cunningham is the Chief Executive Officer of Coral8, a leading provider of Complex Event Processing (CEP) software. Previously, he served as Chief Executive Officer of Infogenesis and President and Chief Operating Officer of Veritas Software Company and Seagate Software. In 1984, Mr. Cunningham founded Crystal Services, Inc., a leading worldwide reporting tool company which was sold to Seagate Technology in 1994. Mr. Cunningham earned his Bachelor of Science degree in mechanical engineering from the University of Waterloo in Ontario, Canada.
