Mark brings over 20 years of executive financial and operations management experience with high growth domestic and international technology companies. Prior to joining DemandTec, Mark served as Chief Financial Officer and Secretary at iManage, a leading provider of e–business content and collaboration software. Preceding his position at iManage, Mark served as Chief Financial Officer and Secretary for SciClone Pharmaceuticals, Inc., an international biopharmaceutical company. He also served at PricewaterhouseCoopers, where he managed numerous client accounts across a variety of high technology industries. Mark holds a B.A. in Business Administration from the University of South Dakota.
Bill has responsibility for managing the day-to-day delivery of DemandTec's solutions across the customer base. He has more than 20 years of leadership and professional services experience having run the services teams at some of the leading companies in the software industry. Most recently, Bill was VP of Professional Services at Ketera Technologies. Bill also led the services team at Kana Software and started the professional services group at CrossWorlds Software. He was a member of the Information Technology Group at Booz Allen Hamilton, where he specialized in supply chain technology consulting, and started his career at Accenture as a member of the Commercial Group. Bill graduated with a B.S. in Industrial Engineering from Stanford University.

James H. Dai. We entered into a letter agreement with Mr. Dai in February 2004. Mr. Dai’s salary and
variable compensation target were determined each year by our Compensation Committee. Under the agreement, if
we were to have terminated Mr. Dai’s employment without cause prior to March 19, 2008, he would be entitled to
the continuation of his base salary for three months at the rate in effect at the time of termination. In addition, he
would be entitled to reimbursement of his premiums for health insurance coverage under COBRA for three months
after the date of termination. On February 29, 2008, Mr. Dai’s employment with the company terminated. In
connection therewith, we entered into a severance agreement with Mr. Dai pursuant to which we paid him a lump
sum payment of $62,500 and his accrued but unpaid bonus for fiscal 2008, and agreed to reimburse his premiums
under COBRA for three months after the date of termination. In addition, we accelerated the vesting of
32,814 shares of our common stock that were outstanding upon Mr. Dai’s prior exercise of unvested options.
John C. Crouch. We entered into a letter agreement with Mr. Crouch in November 2003. Mr. Crouch’s salary
and variable compensation target were determined each year by our Compensation Committee. If we were to have
terminated Mr. Crouch’s employment without cause prior to November 17, 2007, he would have been entitled to the
continuation of his base salary for four months at the rate in effect at the time of termination. In addition, he would
have been entitled to reimbursement of his premiums for health insurance coverage under COBRA for four months
after the date of termination. On April 30, 2008, Mr. Crouch’s employment with the company terminated. In
connection therewith, we entered into a severance agreement with Mr. Crouch pursuant to which we agreed to
continue to pay him his base salary for four months and agreed to reimburse his premiums under COBRA for four
months after the date of termination. In addition, we accelerated the vesting of 15,000 PSUs held by Mr. Crouch and
extended the post-termination exercise period of his outstanding vested options from three months to six months.
Bromme joined DemandTec in September of 2004 as vice president of North American sales. He previously held retail technology sales executive positions at Retek (now Oracle retail), MicroStrategy and Tandem (now a part of Hewlett-Packard). Bromme also has specific price optimization experience at Spotlight Solutions (now Oracle) and IDeaS (now owned by SAS).

During his 32 years with P&G, Mr. Drayer held a number of distribution, logistics, customer service and Customer Business Development responsibilities. From 1997 to his retirement in 2003, Ron served as Senior Vice President of Logistics for Nestlé USA. He was responsible for Purchasing, Supply Chain, Distribution & Customer Service, Information Technology and was a member of Nestlé USA’s Executive Leadership Team. As Chairman of the North American Supply Chain Action Team for Zone Americas, Ron was responsible for Supply Chain improvement initiatives in Canada, Mexico and the United States. He also coordinated the activities of the Central and South American Supply Chain initiatives for Nestle SA. Ron began his Nestlé career in 1980 when he was named Vice President of Management Information Services for the Stouffer Corporation in Solon, Ohio. In 1983, he took on added financial responsibilities and was part of the acquisition team for Carnation, Hills Bros. and MJB. In 1985, Ron moved to Nestlé Foods in White Plains, New York as Vice President of Finance. He was named Executive Vice President of Finance and Administration in 1987, responsible for all financial functions, information technology, and office services. He also ran the MJB Rice Company and FIDCO, Nestlé’s food ingredient business in the USA. In 1991, Ron joined Nestlé in the United Kingdom in the role of Information Technology Director, and in 1993 took on the responsibilities of Chief Financial Officer. Ron holds a B.S. degree in Economics from Marquette University in Milwaukee, Wisconsin. Mr. Baker is a member of the Audit Committee and a member of the Compensation Committee.
