Carl A. Pelzel has served as a director of the Company since August 2007, when he was elected to the Board in conjunction with his appointment as the Company's President and Chief Executive Officer. Mr. Pelzel joined the Company in June 2005 as Vice President, Marketing and Commercial Development, and was promoted to Executive Vice President and Chief Operating Officer in September 2005. Before joining the Company, Mr. Pelzel served as Senior Vice President, Global Commercial Operations at Chiron Corporation from June 2003 to September 2004. Prior to joining Chiron, Mr. Pelzel was President and Chief Executive Officer of Invenux Inc., a privately-held biopharmaceutical company, from March 2001 to November 2002. Mr. Pelzel also spent 11 years with GlaxoSmithKline in senior-level sales, marketing and international operational positions, including Country Manager of Hong Kong and China. He spent 13 years with American Home Products, focused primarily on its antibiotics business. During his career, he directed the launch of five major pharmaceutical products, many on a global basis. Mr. Pelzel has a B.A. degree from Hartwick College of Oneonta, New York and a Masters degree in Natural Sciences from the University of Paris.

Mr. Vargas joined Depomed as vice president, Business Development in December 2002. Prior to this, he held the positions of vice president, Finance, at Worldres.com, Inc., director of Finance at Kosan Biosciences, Inc., and director of Business Development, Finance, and Information Technology at Anergen, Inc. Earlier in his career, Mr. Vargas was a member of Ernst & Young's biotech audit practice. Mr. Vargas received a B.A. degree in Business Economics from the University of California, Santa Barbara.

Mr. Rawn joined Depomed as vice president of sales and marketing in February 2008. Prior to Depomed, Mr. Rawn served as director of BioOncology Business Unit operations at Genentech, Inc. Prior to Genentech, he spent 18 years at GlaxoSmithKline in a variety of marketing and commercial operations positions, including general manager of Glaxo Wellcome Saudi Arabia, director of Strategic Planning and Lifecycle Management, group director of New Products Planning, and director of Marketing Planning and Development. Mr. Rawn also served in various sales and marketing positions at Bristol Myers and Eli Lilly. Mr. Rawn received B.S. degrees in Pharmacy and Zoology from the University of Wyoming.

Mr. Shell was named vice president of Operations in 1996, after having been with the company as director of Operations since its inception a year prior. From 1995 to November 2003, he served on the company’s Board of Directors. Prior to joining Depomed, Mr. Shell served as materials manager at Ebara International Corporation, a multi-national semiconductor equipment manufacturer, and ILC Technology, an electro-optics and electronics manufacturer. He also worked in the process and product engineering departments at ALZA. Mr. Shell received a B.A. degree from the University of California, Berkeley.

Ms. Alexander was named vice president, Administration and Human Resources in October 2007 after having served as senior director, Corporate Administration and Human Resources since March 2005, and after having been with the company since February 1997. Prior to joining Depomed, Ms. Alexander held various positions at ALZA Corporation, including manager, Shareholder Relations. Ms. Alexander received her Professional in Human Resources (PHR) certification in 2005.

Before joining Depomed in 2006, Mr. Gosling was a partner at Heller Ehrman LLP, where he served a nine-year tenure. At Heller Ehrman, he represented both public and private companies and provided legal counsel on general corporate matters, including SEC compliance and license and collaboration agreements, as well as many other business transactions. Mr. Gosling received his law degree from the University of Chicago and holds a B.A. from Trinity University, San Antonio.

Dr. Sweeney joined Depomed as vice president of Product Development in December 2007. Before joining Depomed, Dr. Sweeney was vice president of Medical Affairs at CV Therapeutics, where he built the Medical Affairs Department to enable the commercial preparation and successful launch of Ranexa® in 2006. Prior to CV Therapeutics, Dr. Sweeney spent 11 years at Pfizer Pharmaceuticals in New York and the U.K. where he held a variety of senior-level medical and marketing positions, including director of Marketing, Viagra Worldwide Team and Global Urology Medical Group Leader for Pfizer’s urological products Viagra, Cardura and Detrol. Prior to Pfizer, he served as a senior clinical pharmacologist and a medical advisor at Zeneca PLC. Dr. Sweeney received his M.D. degree from Manchester University in the U.K. together with post graduate diplomas in Pharmaceutical Medicine and Pharmacoepidemiology, the latter from the University of London. He also is a Fellow of the Royal College of Physicians of Edinburgh.

Tammy Cameron joined Depomed in July 2007 as controller and in October 2007 was named interim principal financial and accounting officer of the company. Prior to Depomed, Ms. Cameron has served as the controller at Adeza Biomedical Corporation, director of Finance and Administration at Timi3 Systems, director of Treasury and External Reporting at KeraVision, Inc., and was a member of Ernst & Young's audit practice. She is a Certified Public Accountant and holds a B.A. degree from California State University, East Bay.

G. Steven Burrill has been involved in the growth and prosperity of the biotechnology industry for over 40 years. An early pioneer, Mr. Burrill is one of the original architects of the industry and one of its most avid and sustained developers. He currently serves as Chairman of the Board of Pharmasset (NASDAQ: VRUS) and is a member of the Boards of Directors of Catalyst Biosciences, DepoMed (NASDAQ: DEPO), Intranasal, Phytomedics, Proteogenix, Proventys, Targacept (NASDAQ: TRGT) and XDx. Prior to founding Burrill & Company in 1994, he spent 28 years with Ernst & Young, directing and coordinating the firm's services to clients in the biotechnology/life sciences/high technology/manufacturing industries worldwide. In 2002, Mr. Burrill was recognized as the biotech investment visionary by the prestigious Scientific American magazine (The Scientific American 50). Mr. Burrill is a founder and currently serves as the Chairman of the Board of the Foundation for the National Medals of Science and Technology. Additionally, he serves as Chairman of the Board on Campaign for Medical Research as well as Chairman of the San Francisco Mayor?s Biotech Advisory Committee (MAYBAC). Other not-for-profit activities include serving on the Boards of Directors for the Bay Area Science Infrastructure Consortium, BayBio, California Healthcare Institute, The Exploratorium, Genetics Policy Institute, The Kellogg Center for Biotechnology, Kramden Institute, The National Health Museum, and Research!America. He also serves as an advisor on the MIT Center for Biomedical Innovation.

Gerald T. Proehl President, Chief Executive Officer and Director Gerald T. Proehl has served as our President and Chief Executive Officer and as a director since January 2002. From March 2000 through December 2001, Mr. Proehl was our President and Chief Operating Officer. From April 1999 to March 2000, Mr. Proehl was our Vice President, Marketing and Business Development. Prior to joining Santarus, Mr. Proehl was with Hoechst Marion Roussel, Inc., a global pharmaceutical company, for 14 years, where he served in various capacities in multiple therapeutic areas including gastrointestinal, cardiovascular, wound care and central nervous system, and from March 1997 to April 1999 served as Vice President of Global Marketing. While at Hoechst Marion Roussel, Mr. Proehl oversaw the co-promotion of the proton pump inhibitor Prilosec® by Hoechst Marion Roussel and Astra Merck Inc. and was responsible for the marketing of gastrointestinal products Carafate® and Pentasa®, among products in several other therapeutic areas. Mr. Proehl holds a B.S. in education from the State University of New York at Cortland, an M.A. in exercise physiology from Wake Forest University and an M.B.A. from Rockhurst College.

Julian Stern has been Secretary and General Counsel of ROXRO PHARMA since its incorporation. For the past thirty years, Mr. Stern has focused his practice on high-technology and health-related companies. Mr. Stern is a past Chair of Heller Ehrman and served on its executive committee for more than 20 years. Mr. Stern was the incorporator of ALZA Corporation, Affymax, Cetus, A.P. Pharma, Inc. and Maxygen, Inc. Mr. Stern is a graduate of New York University and has his law degree from Yale Law School.

Peter D. Staple has served as a director of Depomed since November 2003. Since March 2008, Mr. Staple has served as chief executive officer and director of Corium International, Inc., a privately held biopharmaceutical company. From 2002 to March 2008 he served as director, and from 2002 to November 2007 as chief executive officer of BioSeek, Inc., a privately held drug-discovery company. From 1994 to 2002, Mr. Staple was a member of the senior executive team at ALZA Corporation, where he was most recently acted as executive vice president, chief administrative officer and general counsel. Prior to joining ALZA, Mr. Staple held the position of executive vice president, chief administrative officer and general counsel for biopharmaceutical company Chiron Corporation. Mr. Staple previously served as vice president, associate general counsel for Cetus Corporation, a biotechnology company. Mr. Staple received a J.D. degree from Stanford Law School and a B.A. degree from Stanford University.

G. Steven Burrill has served as a director of the Company since August 1997. He founded and has been Chief Executive Officer of Burrill & Company, a life sciences merchant bank, since 1997. Mr. Burrill served in the same capacity at Burrill & Company's predecessor firm, Burrill & Craves, between 1994 and 1996. Prior to starting Burrill & Craves, Mr. Burrill spent 28 years with Ernst & Young LLP, as Partner and as International Chairman of the firm's Manufacturing/High Technology/Life Sciences Industry Practice. Mr. Burrill currently serves as Chairman of the Board of Pharmasset, Inc., and is a director of Targacept, Inc. and several private companies.
