John D. Kristoff was appointed vice president and chief communications officer for Diebold, Incorporated in August 2005. He is responsible for communicating Diebold’s business strategies and financial performance to the investment community, as well as serving as the primary contact for shareholders and analysts. In addition, he oversees the company’s advertising, public relations, internal communications and corporate marketing and brand functions. Kristoff also has direct responsibility for the strategic design group, including all product design; and the global documentation and language translation organization. Prior to his current position, Kristoff was vice president of investor relations. He joined Diebold in 1989 to assist in the company’s public relations efforts and has served in a variety of management positions within the communications and investor relations areas. Prior to joining Diebold, Kristoff served in the corporate communications division of B.F. Goodrich, Akron, Ohio. Kristoff is a native of North Canton, Ohio. He holds a bachelor’s degree in public relations from Kent State University in Kent, Ohio, and a master’s degree in business administration from Ashland University in Ashland, Ohio. Kristoff serves on the board of directors of Arts in Stark, a not-for-profit organization supporting the Arts in Stark County, Ohio, and also serves on the Advisory Board of the Dauch School of Business and Economics at Ashland University, Ashland, Ohio. He is also an active member of the National Investor Relations Institute.

Leslie A. Pierce was named vice president and interim chief financial officer for Diebold, Incorporated in March 2009. She is responsible for and oversees the company’s global financial systems and related processes, including the investor relations, corporate communications, taxes, global security and treasury divisions. In her previous position, Pierce served as vice president and corporate controller. Prior to that she served as vice president of accounting, compliance and external reporting. Since 1993, Pierce has held various leadership roles within the company’s finance and accounting organizations, including Central Division Controller within Diebold North America. She joined Diebold in 1990 as a senior accountant. Before joining Diebold, Pierce had four years of public accounting experience at KPMG in Cleveland, Ohio. Pierce is a native of Suffield, Ohio. She holds a bachelor’s degree in accounting from Kent State University in Kent, Ohio. Pierce is a certified public accountant (CPA), and has held membership in Ohio Society of CPAs. She was a member of the Committee for the Marlington Board of Education, and currently serves in the Marlington Booster Club and is a JAM teacher at The Chapel in Marlboro.

M. Scott Hunter was appointed vice president and chief tax officer for Diebold, Incorporated in February 2005. He is responsible for Diebold's global tax function, including U.S. domestic, U.S. international and local country direct and indirect taxes. Prior to his current position, Hunter served as corporate tax director and vice president of tax for Diebold. Before joining Diebold, Hunter was partner and managing director of KPMG’s international tax practice in Santiago, Chile. He also held a variety of other leadership positions in tax and operations at Itron Inc., and Beckman Coulter Corporation. He is a member of the American Institute of Certified Public Accountants (AICPA), Tax Executives Institute (TEI) and the Manufacturer’s Alliance (MAPI) Tax Council. Hunter is also a member of the Stark Development Board executive committee, and has held various leadership positions with Boys Scouts of America. Hunter is a native of Ojai, California. He holds bachelor’s degrees in accounting and Spanish translation and a master’s degree in accounting/tax from Brigham Young University in Provo, Utah.

Sean F. Forrester was appointed vice president and chief information officer for Diebold, Incorporated in September 2007. He is responsible for the management, implementation and usability of information and computer technologies. Prior to accepting his current position, Forrester served as the vice president of information technology at Diebold. In this position, Forrester was responsible for the management and oversight of enterprise application solutions and internal global IT and project management functions. Before joining Diebold, Forrester was vice president of information technology, test and measurement at SPX Corporation, in Detroit, Mich. Prior to this position, he served in a variety of information technology and manufacturing roles at Dana Corporation of Toledo, Ohio. Forrester is a certified chartered manager and project management professional. He is a member of the Board of Governors for Chief Information Officers (CIO) Ohio, CIO Leadership Network, Toastmasters International, Project Management Institute and a fellow with the Chartered Management Institute (UK). He is active in the community, including memberships with the Free and Accepted Masons of Ohio, Amateur Radio Relay League and Leave No Trace for Outdoor Ethics. Forrester also has two fellowships with the World Organization of Scouting and the Interamerican Scout Foundation. He is a Scouter with Boys Scouts of America, and has served on the Executive Board for the Erie Shores Council in Toledo, Ohio. Forrester is a native of Mississauga, Ontario. He received an honors bachelor’s degree in business administration from Wilfrid Laurier University in Waterloo, Ontario, a master’s degree in business administration from Bowling Green State University in Bowling Green, Ohio and a master’s of science degree in project management from the University of Wisconsin in Platteville, Wis.

Sheila Rutt was named vice president, chief human resources officer for Diebold, Incorporated in April 2005. Bringing a progressive blend of creative and operational strengths, Rutt is responsible for managing human resource initiatives across the company, providing leadership for domestic and international programs for Diebold’s more than 17,000 employees. She joined Diebold in October 2000 as director of organizational development and was subsequently promoted to vice president, human resources, for Diebold North America, and in 2002 to vice president, global human resources. Prior to joining Diebold, Rutt held various human resource positions, including director of human resources for LuK Inc., in Wooster, Ohio. She frequently serves as a guest lecturer at Akron and Walsh Universities and is a member of both the Global Management Center Executive Advisory Board at Brigham Young University and the Advisory Board of the Division of Business and Economics at Walsh University. She also currently resides on the Premier Election Solutions Board of Directors in Allen, Texas. She is a member of the American Psychological Association, Society for Industrial and Organizational Psychology, the Society for Human Resource Management and is an ad hoc reviewer for the Human Resource Management Journal. Rutt also serves on the board of directors for the United Way of Greater Stark County. Rutt is a native of Millersburg, Ohio. She holds master’s and doctorate’s degrees in industrial and organizational psychology from The University of Akron in Akron, Ohio, a bachelor’s degree in psychology from the College of Wooster in Wooster, Ohio, and a master of business administration from Walsh University in Canton, Ohio.

George Mayes was appointed executive vice president of global operations in April 2008. He is responsible for maximizing efficiency, quality and customer delivery throughout the company's global operational footprint. In addition to leading Diebold's worldwide manufacturing and supply chain operations, Mayes has responsibility for the company's global IT, hardware and software quality assurance, and key elements of financial self-service development. His focus is on driving lean practices into the company's day-to-day processes across its global operations, and is accountable for improving the efficiency, profitability and execution in all customer-facing systems and processes within Diebold's global operations. Mayes joined Diebold in 2005. Prior to joining the company, he served as chief operating officer and a member of the board of directors at Tinnerman Palnut Engineered Products, LLC. Mayes was also employed at Stanley Works as vice president of operations for Stanley fastening systems. He has extensive experience in lean manufacturing and Six Sigma processes and has managed plants in Canada, Mexico, France, Hungary, Brazil, China, Poland, Italy and the United States. Mayes began his manufacturing career at General Motors, where he spent 15 years in manufacturing, quality and engineering. During this period, he served as director of manufacturing, Mexico, for Delphi operations; and director, operations, for Delphi Thermal division in Buffalo, N.Y. Prior to his professional manufacturing career, Mayes held the rank of Captain in the United States Army from 1983-1985. Currently, Mayes serves on the board of directors for the Manufacturing Advocacy & Growth Network (MAGNET). Mayes is a native of Orange, N.J. He holds a bachelor’s degree in engineering from the United States Military Academy at West Point.

Charles E. Ducey, Jr. was named senior vice president of global development and services for Diebold, Incorporated in January 2006. He is responsible for leading worldwide customer performance and satisfaction in the areas of maintenance service, implementation and project management. He also leads the financial self-service engineering group, product management and marketing and software product management. He joined Diebold in 1978 and has held various field and home office positions, including the position of vice president, service operations and finance for North American Sales and Service division. Ducey also previously served as Diebold’s vice president and corporate controller. Ducey received a bachelor’s degree in accounting from The University of Akron in Ohio and a master’s degree in business administration from Baldwin-Wallace College, Berea, Ohio.

David Bucci was named senior vice president, customer solutions group for Diebold, Incorporated in 2001. He is responsible for Diebold North America customer business solutions, North America customer service solutions, strategic accounts, Canada operations, consulting services, customer satisfaction, solutions development, integrated service sales and sales strategy and operations. He joined the company in 1977 as a sales trainee in Syracuse, N.Y. Bucci has held various sales and management positions with Diebold including vice president for the Eastern division. Most recently, he held the position of senior vice president, North American Sales and Service. A native of Syracuse, N.Y., Bucci received a bachelor's degree in education from Boston College, Chestnut Hill, Mass., and completed master's work at the University of Massachusetts, Amherst.

James L.M. Chen was appointed senior vice president of the Asia Pacific and EMEA regions for Diebold, Incorporated in September 2006. He is responsible for sales and service in Diebold's AP and EMEA regions, overseeing operations, several production facilities, joint ventures, subsidiaries and distribution channels. Chen joined Diebold in 1998 as corporate vice president and managing director, Asia Pacific, based in Shanghai. During his 10 years with Diebold, Chen transitioned Diebold’s AP business from a 20-year history of partnerships with other companies to a direct business operation. Chen has significantly expanded Diebold’s business in the AP region, spearheading the introduction of advanced self-service solutions in the area. Prior to joining Diebold, Chen was general manager, business electronics at Philips Electronics China in Beijing. In addition, he spent 14 years with NCR, Corporation in a variety of management positions in the Asia Pacific region, including managing director of NCR’s Chinese subsidiary. Chen was born in Taipei, Taiwan. He received a bachelor’s degree in business administration from the National Chengchi University in Taipei, Taiwan.

Robert J. Warren was appointed vice president of corporate development and finance at Diebold, Incorporated reporting in May 2007. Warren oversees the mergers and acquisitions group, which he also led from 1985 to 2002. Warren has held several posts since joining Diebold in 1981 as the assistant corporate controller. In 1986, he was named assistant treasurer and controller of corporate financial services. In 1990, he was named vice president and treasurer, where he was responsible for all treasury operations including cash management, pension plan administration, investments, currency hedging, global tax and risk management. Warren has extensive experience in international business operations, having worked internationally for more than 25 years, including a successful assignment based in Paris. Prior to joining Diebold, Warren was assistant corporate controller for American Appraisal Associates, Inc., Milwaukee, Wis. He also held various finance positions with Booz, Allen & Hamilton Inc. and Royal Globe Insurance Company. Warren has a bachelor’s degree in industrial management from Purdue University and a master’s in business administration from Kent State University. He also has CPA and CMA certification.

Timothy J. McDannold was named vice president and treasurer for Diebold, Incorporated in June 2007. He is responsible for Diebold's global treasury operations including the global treasury bank, investments, pension and 401k plans, debt management, capital markets, currency and interest rate hedging, risk management, the Diebold Global Finance Corporation, Diebold Global Asset Management Group and the DNA Shared Service Center which includes order management, contract administration, billing, accounts receivable, credit, accounts payable, document retention and facilities. Most recently, McDannold served as vice president and assistant treasurer. McDannold joined Diebold in 1988 as a financial analyst. Prior to joining Diebold, McDannold was a senior auditor for Ernst & Young. McDannold is a native of Canton, Ohio. He holds a bachelor’s degree in business administration and accounting from Kent State University in Kent, Ohio; and also earned a quality instructor certificate from the Juran Institute in Southbury, Conn. McDannold is a certified public accountant (CPA), and holds membership in the American Institute of Certified Public Accountants, Ohio Society of CPAs, Association for Financial Professionals, Northeast Ohio Treasury Management Association and The NeuGroup. He is the past president of the International Management Council. McDannold is active in Boy Scouts of America, the United Way of Greater Stark County and the YMCA.

Warren W. Dettinger was appointed vice president and general counsel for Diebold, Incorporated in July 1987. He is the chief legal officer for Diebold, and is responsible for advising the Company on all legal matters, managing in-house legal staff and supervising outside counsel. Prior to accepting his position with Diebold, Dettinger was employed by Sheller-Globe Corporation in Toledo, Ohio, as a corporate attorney from 1984-1987. He has experience in mergers and acquisitions, technology and software licensing, international law, foreign trade matters and commercial litigation. Prior to Sheller-Globe, he was employed with the firm Fuller & Henry from 1981-1984, and in a Judicial Clerkship with The Honorable Albert J. Engel, of the United States Court of Appeals for the Sixth Circuit from 1980-1981. Dettinger is a member of the American Bar Association, Ohio Bar Association, Stark County Bar Association, Association of Corporate Counsel, Manufacturers Alliance Law Council, Greater Cleveland General Counsel Association and Phi Kappa Phi. Dettinger is a native of Toledo, Ohio. He received a bachelor’s degree in business and social science and a juris doctor, both from The University of Toledo, in Toledo, Ohio.

Van Genderen began his career with Diebold 14 years ago as a sales account executive in the mid-Atlantic area. He has held management posts in global marketing, product planning and development, re-engineering and regional sales management. Recently, he held senior management positions in the eastern area as director of marketing and vice president/director of Eastern area sales. He received a Bachelor of Arts degree in political science and business from Rutgers University in New Brunswick, N.J., and a master’s degree in business administration and management information systems from Drexel University in Philadelphia, Pa. Prior to Diebold, van Genderen held various sales positions at IBM.

Vince Lupe manages product selection, product integration, new technology, product migration path planning, strategic alliances and supplier relationships. He is instrumental in developing and maintaining strategic business partner alliances with other high-profile companies that continue to strengthen Diebold's position within the electronic security marketplace. Lupe also holds numerous responsibilities involving sales and marketing, supplier contracts, niche customer markets and product lines and strategies.

Sandra S. Edwards, general business manager for the Hawaii region, joined Diebold in 1997 as a service sales specialist in Memphis, Tenn. She served as a regional sales manager in the Denver, Colo. area for four years.

Chad F. Hesse was appointed corporate counsel and corporate secretary for Diebold, Incorporated in April 2008. He is responsible for preparing and coordinating the company’s SEC filings; organizing and attending meetings of the board of directors and its committees, and the annual meeting of shareholders; administering the company’s executive compensation plans; providing legal support to the company’s corporate development department, including the preparation and negotiation of acquisition documents; providing general legal advice to the board of directors and senior management; and overseeing the company’s subsidiaries. Previously he served as assistant secretary. Before joining Diebold in August 2004, Hesse was an associate attorney with Hahn Loeser + Parks LLP, specializing in the business practice area. Prior to his work at the law firm, Hesse served as law clerk for the Honorable Judge Ishmael A. Meyers, Territorial Court of the Virgin Islands, Division of St. Thomas and St. John. Hesse is a member of the American Bar Association and the Ohio State Bar Association. He holds membership in the National Association of Stock Plan Professionals (NASPP), Society of Corporate Secretaries & Governance Professionals (SCS&GP) and Association of Corporate Counsel (ACC). He is a former member of the Cleveland Bar Association. Hesse also currently resides on the Premier Election Solutions Board of Directors in Allen, Texas. Hesse is a native of Marcy, N.Y. He received a dual bachelor’s of arts and science in international business and business pre-law from Bowling Green State University in Bowling Green, Ohio. Hesse also received a juris doctor, graduating magna cum laude, from Cleveland-Marshall College of Law in Cleveland, Ohio.

Jean F. Wales is a member of the Canton (Ohio) Regional Chamber of Commerce; Women's Network of Akron; Women's Initiative Network of Canton; National Healthcare Housing Admissions & Marketing Association (HHAMA); Stark County Senior Services Network; Portage County Senior Services Network; and the Stark County Senior Services Coalition. Her background includes 35+ years experience in business and non-profit organizations including the American Red Cross, Diebold Inc. and the Akron Public Schools, Adult Vocational Education, Akron, OH. Jean is a former fire department paramedic and also served an instructor-trainer for the State of Ohio for EMT-A, Firefighter and Law Enforcement training. She was the Executive Director of Lake Senior Center in Lake Township, Ohio, for several years. Jean also served as the Communications/Operations Manager for the Stark Education Partnership, a non-profit organization supporting education reform in Stark County. Wales Consulting LLC was founded in March 2003 to help individuals and organizations use proven organizational tools and practices to better serve their customers and clients and to find more satisfaction in both their work and personal lives. Jean has lived the experiences that go with caring for an aging family member. Since 1998 she has been the care manager for her father who lives in a long-term care residence. Through both professional and personal experiences she has helped families navigate the maze of the aging services network. Her experiences as the director of a community senior center and as a fire department paramedic give her a unique perspective on working with older adults. Jean's goal is to spare caregivers some of the mistakes she made as a beginner and to help caregivers become adept at managing the many responsibilities that come with taking on looking after an aging loved one.

Eric J. Roorda, 58, serves as president of Procomp Agropecuária Ltda, São Paulo, Brazil. He was elected to Diebold’s board of directors in 2001. Roorda is former chairman of the board and president of Procomp Amazônia Industria Eletronica, S.A., São Paulo, Brazil, which he founded along with three other colleagues in 1985. Prior to founding Procomp, Roorda held information technology positions at INPE, Celepar, Universidade Federal do Paraná and SID Informática. Roorda graduated in electronic engineering at Aeronautics Technological Institute and took the MA course at NUFFIC, Holland.

Phillip B. Lassiter, 65, was elected to the Diebold board of directors in 1995. He served as chairman & CEO of Ambac Financial Group, New York, a financial guarantee insurance holding company from 1991 until his retirement in 2004. Before Ambac, Lassiter spent 22 years at Citicorp, where he was the group executive in charge of North American Investment banking and insurance activities and a member of the policy committee. Lassiter served as a Lieutenant in the U.S. Navy and received a degree in Chemical Engineering from N.C. State University in 1964. In addition, he graduated from the PMD program at Harvard Business School in 1973.

Phillip R. Cox, 61, is president and CEO of Cox Financial Corporation, Cincinnati, a financial services firm he founded in 1971. He was elected to Diebold's board of directors in 2005. In addition, he serves as a director on a variety of boards, including Cincinnati Bell, The Timken Company, and Touchstone Investments. Cox is a graduate of Xavier University and holds a doctorate of letters degree from the College of Mount St. Joseph and Cincinnati Technical College.

Rick Crandall was one of the four Founders of Arbor Partners. He contributes to the Firm his 40-year background in computer technology ranging from startups to Board governance of large public technology companies, as well as his expertise in private equity and venture capital investing. His long and varied career has created a wealth of experience and contacts that have contributed to successful strategies, execution and partnering by the Firm's portfolio companies. Mr. Crandall applies his time broadly throughout the technology industry and brings the benefits of this involvement to Arbor Partners, although only a portion of his time is spent directly with Arbor Partners' activity. He is a shareholder and Partner, but not a direct operator in the Fund. Mr. Crandall's continuing role in Arbor Venture Partners III is, as before, that of an advisor, a source of deal flow, a contributor to investment decisions, and a strategist as applied to individual portfolio company's directions, market positioning and exits. In 1966, Mr. Crandall founded Comshare, Inc., which grew to become a publicly held, $130 million international market leader in decision support applications and executive information systems software. The company originated as a pioneer of computer timesharing. During his 24-year tenure as Comshare's CEO, Mr. Crandall led the company through several highly publicized transitions in response to the rapid market changes characteristic of the computer industry. Comshare was one of the few early timesharing firms to make a complete and successful transition to software products, while remaining an independent company. In 1994, Mr. Crandall left his position at Comshare and formed the Enterprise Software Roundtable, consisting of the CEOs of the industry's top 40 software firms focusing on enterprise software (and generating more than $100 billion sales in 2003). He continues as Chairman of the Roundtable. During the period 1995 2003, Mr. Crandall helped create Giga Information Group one of the nation's premier information technology research and advisory firms, which serves Fortune 1000 clientele. He was Chairman of Giga from 2002-2003, when it was sold to Forrester Research. Mr. Crandall presently serves as the software and services advisor to the U.S. Chamber of Commerce and assists its efforts in areas of legal reform and advocacy in Federal and State government actions that affect the technology industries in the U.S. Among his many other industry honors is the ICP Business Software Review listing as "One of the 5 Leading Pioneers of the Software Services Industry" in its commemorative issue celebrating the 25th anniversary of the software industry. Mr. Crandall also received the 1992 Outstanding Entrepreneur Award from The University of Michigan Business School and Harvard Business School Alumni groups and served on the National Advisory Board to The University of Michigan College of Engineering and Computer Science. Mr. Crandall is on the Boards of Directors of Diebold (DBD); Novell (NOVL), the Dreman/Claymore Dividend and Income Fund, and several private companies, including ChannelNet (multi-channel ecommerce software), ITRACS (network security software) and Illinois Energy Partners, as well as on the Executive Advisory Board to Beacon IT, Japan's largest enterprise software company. He also served as Chairman of ITAA, the association for the computer software and services industry and was on the Board for more than 20 years, chairing its strategic planning committee for 12 years. Mr. Crandall received a BS in electrical engineering, a BS in mathematics, and an MS in industrial engineering from The University of Michigan.
