We operate women's apparel specialty stores, principally under the names " dressbarn ", " dressbarn woman " and " maurices ". Since our retail business began in 1962, we have established, marketed and expanded our brands as a source of fashion and value. We offer a lifestyle-oriented, stylish, value-priced assortment of career and casual fashions tailored to our customers' needs. As of July 26, 2008, we operated 1,503 stores in 48 states and the District of Columbia, including 656 dressbarn Combo stores (a combination of our dressbarn and dressbarn woman brands), 677 maurices stores, 134 dressbarn stores and 36 dressbarn woman stores. Our dressbarn stores are typically operated as Combo stores, offering both dressbarn and larger-sized dressbarn woman merchandise. We also operate stand-alone dressbarn and dressbarn woman stores in certain markets. Our dressbarn brands cater to 35- to 55-year-old women, sizes 4 to 24. Our dressbarn stores offer in-season, moderate to better quality career and casual fashion at value prices, and are located primarily in convenient strip shopping centers in major trading and high-density markets and surrounding suburban areas. Any stockholder who wishes to contact our Board of Directors or an individual director may do so by writing to: Board of Directors, Provident New York Bancorp, 400 Rella Boulevard, Montebello, New York 10901, Attention: Chief Executive Officer or Corporate Secretary. The letter should indicate that the author is a stockholder of Provident New York Bancorp, and, if shares are not held of record, should include appropriate evidence of stock ownership. Communications are reviewed by the Corporate Secretary and are then distributed to the Board of Directors or the individual director, as appropriate, depending on the facts and circumstances outlined in the communications received. The Chief Executive Officer, however, may directly respond at his discretion. If appropriate, the Corporate Secretary may (1) handle an inquiry directly or (2) forward a communication for response by another employee of Provident New York Bancorp. As executive and consultant, Kate Buggeln has 20 years of experience working with high-end retail corporations, such as Coach, Barneys New York, Bergdorf Goodman, Bloomingdale's Department Stores and Gucci. At Coach (COH), as senior vice president of Strategy and Business Development, Kate was responsible for strategic planning, licensing, direct marketing, market research and multi-channel customer relationship management programs. Kate is a member of the board of directors of Dress Barn Inc. (DBRN), one of the nation's leading value-priced women's specialty retailers. Kate is also a member of the governing board for the Business Council for Peace (www.bpeace.org), a U.N.-affiliated organization helping women in world regions of conflict and post-conflict. Roslyn Jaffe determined not to stand for re-election at the 2006 Annual Meeting and, therefore, ceased serving as a director of the Company as of November 2006. Mrs. Jaffe founded the Company in 1962 and retains the titles of Founder, Director Emeritus, Treasurer and Secretary of the Company. Mrs. Jaffe did not receive any compensation for her services as director, Secretary or Treasurer in fiscal 2007. However, in view of Mrs. Jaffe's role as co-founder of the Company and her 44 years of service to the Company, in fiscal 2007 the Company entered into an agreement with Mrs. Jaffe that provides her with a supplemental retirement benefit of $50,000 per year (adjusted annually for cost of living increases). This benefit is paid on a monthly basis, commencing July 30, 2006.
