Bruce A. Williamson has served as Chief Executive Officer and as a director of Dynegy since October 2002, as Chairman of the Board of Dynegy since May 2004 and as President since December 2007. Prior to joining Dynegy, Mr. Williamson served in various capacities with Duke Energy and its affiliates. From August 2001 to October 2002, he served as President and Chief Executive Officer of Duke Energy Global Markets. In this capacity, he was responsible for all Duke Energy business units with global commodities and international business positions. From 1997 to August 2001, he served as Senior Vice President of Business Development and Risk Management and President and Chief Executive Officer at Duke Energy International. Mr. Williamson joined PanEnergy Corporation in June 1995, which then merged with Duke Power in June 1997. Prior to the Duke-PanEnergy merger, he served as PanEnergy s Vice President of Finance. Before joining PanEnergy, he held positions of increasing responsibility at Shell Oil Company, advancing over a 14-year period to Assistant Treasurer. He currently serves as a director of Questar Corporation.

Holli C. Nichols has served as Executive Vice President and Chief Financial Officer of Dynegy Inc. since November 2005. Nichols is responsible for oversight activities involving strategic planning and corporate business development, financial affairs, including finance and accounting, tax, treasury, risk management, internal audit and investor and credit agency relationships. After joining Dynegy in 2000, Nichols held various positions in the company's financial area, including Senior Vice President and Controller and, most recently, Senior Vice President and Treasurer. Prior to joining the company, she was a Senior Manager-Audit with PricewaterhouseCoopers LLP, where she supervised teams that provided audit services to large public companies in the oil and gas industry. A Certified Public Accountant, Nichols received a bachelor's of science from Baylor University. She serves on the boards of Price Gregory Services, Inc., an energy infrastructure services provider, and His Grace Foundation, which supports children who undergo bone marrow transplants.

Charles C. Cook serves as Executive Vice President, Commercial and Market Analytics. He is responsible for Dynegy’s commercial functions related to its power generation assets, leading a team that develops and recommends trading and medium- and long-term contracting options for the power generation fleet. Cook joined Dynegy’s predecessor Destec Energy, Inc. in 1991. When the company was acquired by Dynegy, Cook joined the Treasury group. He has held positions of increasing responsibility including Vice President; Vice President and Assistant Treasurer; Senior Vice President and Treasurer; and Senior Vice President of Strategic Planning, Corporate Business Development and Treasurer. Cook earned both a bachelor’s degree in architectural engineering and a master’s degree in finance from the University of Texas.

J. Kevin Blodgett serves as General Counsel and Executive Vice President, Administration. Blodgett has responsibility for the company's administrative and legal affairs, including legal services supporting the company's operational, commercial and corporate areas, as well as human resources, information technology, building services, facilities and supply chain management. After joining Dynegy's Legal Group in 2000, Blodgett rose to the position of Group General Counsel - Corporate Finance & Securities and Corporate Secretary. He was later promoted to Senior Vice President of Human Resources. Prior to joining the company, Blodgett was an Associate at Baker Botts LLP and a member of the firm's Corporate Department. His principal practice areas included securities offerings, mergers and acquisitions and general corporate matters. Blodgett received a bachelor's of arts from Texas A&M University and his juris doctorate from the University of Houston Law Center. His professional affiliations include the Texas Bar Association, the Houston Bar Association, the Houston Young Lawyers Association and the Fellows of the Texas Bar Foundation. He serves on the board of Junior Achievement, a not-for-profit organization focused on educating and inspiring young people to value free enterprise, business and economics and improving the quality of their lives.

Lynn A. Lednicky serves as Executive Vice President – Asset Management, Government and Regulatory Affairs. Lednicky’s role is to ensure the company’s focus on safe, reliable and profitable execution of its commercial and operational strategies. The Asset Management function has overall profit and loss responsibility for Dynegy’s generation business, creating an integrated focal point for financial results for Dynegy’s three operating regions. Lednicky is also responsible for coordinating the company's regulatory and governmental affairs activities. Lednicky joined Dynegy predecessor Destec Energy, Inc. in 1991. He has held positions of increasing responsibility at Dynegy, including Executive Vice President, Commercial and Development and, prior to that, Executive Vice President, Strategic Planning and Corporate Business Development. Lednicky earned both a bachelor's of arts degree and master's of business administration degree from Rice University.

Richard W. Eimer, Jr. serves as Executive Vice President of Operations, with overall responsibility for the operational management of Dynegy’s fleet of power generation assets. Eimer began his career in 1971 with Illinois Power Company, a utility acquired by Dynegy in 2000. He has held positions of increasing responsibility during his career with Dynegy, including Vice President and, most recently, Senior Vice President, Generation. Eimer earned an executive master’s degree in business administration from the University of Illinois and a bachelor’s of science degree in electrical engineering from the University of Missouri-Rolla. He is a member of the Institute of Electrical and Electronic Engineers and director and committee chair of the Alumni Association of the University of Missouri at Rolla. He is also a member of EPRI’s Research Advisory Council, a board member of the Illinois Chamber of Commerce, and a member and Finance Committee chair of the National Coal Council.

Mr. Lee brings ten years of experience in wholesale and retail commodity trading and marketing, risk management and business management in both the gas and electric industries. He has also managed several acquisitions and divestitures of energy companies. Bryant was instrumental in creating Duke Energy's retail commodity business and its energy management outsourcing business. He continued to manage the outsourcing business unit after it was acquired by Ameresco in 2002. His previous experience includes roles as a risk manager and trader with LG&E Energy Corp. as well as risk management positions with Dynegy and Enron Oil Trading and Transport (EOTT). He graduated from the U.S. Military Academy in 1984 and received his graduate degrees from the French Petroleum Institute and the University of Pennsylvania.

Mr. Sheppard is currently an Assistant Treasurer of Chevron Corp. He has been employed by Chevron and its affiliates since the merger of Gulf Oil Corp. with Chevron in 1985. Prior to the merger, Mr. Sheppard held positions of increasing responsibility at Gulf Oil. Mr. Sheppard previously served on the Dynegy Board from 2004 to 2007 as a director designated by Chevron. He rejoined the Board as an independent director in 2008.

Jim Bishop is a 25 year-old storm chaser residing in Houston, Texas. He began storm chasing in 2000 and received his Bachelor of Science in Meteorology from the University of Oklahoma in August, 2004. Jim has been watching storms for about as long as he can remember. But he truly discovered his love for storms when he saw his first hailstorm in the most unlikely place - Southern California. Shortly thereafter his family moved to Nashville, Tennessee in the summer of '91. Jim further realized his overall passion for weather when he experienced winter storms, lightning, and different aspects of severe weather while growing up in Tennessee. Some of Jim's most memorable chases include the F4 Manchester tornado on June 24, 2003; the record-breaking 2.5 mile wide Wilber, Nebraska tornado on May 22, 2004; and witnessing simultaneous tornadoes in the Texas panhandle on May 15, 2003. Jim is currently the meteorologist for Dynegy, an energy company located in downtown Houston Texas. There he forecasts temperatures, temperature anomalies, and precipitation for the United States. He also provides severe weather warnings to power plants in the Midwest. On his free time Jim enjoys playing the alto saxophone. He was a member of the Pride of Oklahoma (OU's marching band) for 5 consecutive years. It has been six years and Jim's thirst for the next chase grows stronger by the day. He says storm chasing is not just about finding tornadoes, it is about finding spectacular supercells while enjoying the road trip and comradery. Supercells are what drive Jim to chase, and tornadoes are merely the icing on the cake. Jim is also a major hail freak! He will probably continue chasing until a hailstone impails his head, for Jim will drive anywhere for a storm.

Mr. Bennett has enjoyed working with notable companies such as ING Realty, Post Properties, Equity Properties, Caldwell Banker, California Teachers Retirement Trust, and AMCO Properties. Currently, Mr. Bennett is working with Terminus Realty as a consultant on the Lerner Lofts project on Gay Street in downtown Knoxville and other Terminus construction projects. Mr. Bennett's projects include: converting the Kessler Department Store in downtown Atlanta to 50 Loft condos, converting a grain warehouse built in the 1800's to 30 high-end loft condos in Atlanta, redeveloping of a garment factory to 20 loft condos in Atlanta. Wesley was born in Dayton, Ohio, but currently resides in Forsyth County, GA, with his wife, Kim, and their three daughters. He also spends much of his time in their second home located in Sevierville, TN.

Ms. Hammick is the former Senior Vice President, Strategy and Communications for Columbia Energy Group. She previously served as an adjunct Professor at George Washington University's Graduate School of Political Management and as Chief Operations officer of the National Gas Supply Association. Ms. Hammick is a Director of Consol Energy, Inc. where she serves in the Compensation and Nominating & Governance Committees. A Dynegy Director since 2003, Hammick was elected Lead Director in May 2004. As Lead Director, she presides over the regular executive sessions of Dynegy's independent Directors. Other responsibilities include providing advice and counsel to the Chairman and acting as liaison between the Board and the Chairman.

Barry Galt was elected in May 2004 to the board of directors of Endeavour International Corporation, a North-Sea focused oil and gas exploration and production company. Galt is the retired chairman and chief executive officer of Seagull Energy Corporation, a diversified exploration and production company that merged with Ocean Energy, Inc. in 1999. He served on the board of directors of the combined company until its acquisition by Devon Energy Corporation in April 2003. Prior to heading Seagull Energy, Galt was president and chief operating officer of The Williams Companies in Tulsa, Oklahoma. He also serves on the board of directors of Trinity Industries, Dynegy, Inc., and Abraxas Petroleum Corporation.

Frank E. Hardenbergh was appointed to the Board in April 2007 following the completion of the LS Power Merger. Mr. Hardenbergh, Vice Chairman of the LS Power Group, joined the LS Power Group in 1993 and has over 20 years of experience in the power industry. He has served as Vice Chairman of the LS Power Group since May 2005. From January 2001 to May 2005, he served as Executive Vice President and Chief Operating Officer of the LS Power Group. Prior to joining the LS Power Group, Mr. Hardenbergh served as Senior Vice President, General Counsel and member of the Management Committee of the Commercial Union Capital Group, a private boutique merchant bank that included Commercial Union Energy Corporation and the Commercial Union Energy Limited Partnership. Mr. Hardenbergh was previously Associate General Counsel of the Commercial Union Insurance Companies, the parent company to Commercial Union Capital Group. Prior to joining the Commercial Union Insurance Companies, Mr. Hardenbergh was an Associate with Peabody & Arnold LLP.

Former Vice Chairman, from 1989 until October 1996, of PanEnergy Corporation, Houston, Texas, a diversified energy company (now part of Spectra). Advisor to the Chief Operating Officer of Duke Energy Corporation from August 1997 to 2000. Director of TEPPCO, LP from 1992 to 1997, Director of Northern Border Pipeline Company Partnership from 1993 to 1998, Director of Westcoast Energy Inc. from 1998 to 2002 and Director of the Northern Trust Bank of Texas, NA from 1998 to 2007. Director of Dynegy Inc. since May 2004 and Director of Associated Electric and Gas Insurance Services Limited since 1995. Former Chairman of the Management Committee of Maritimes & Northeast Pipeline, L.L.C. Member of the Board of Trustees of DePauw University since 1996.

Mr. Bartlett is President of LS Power Equity Advisors. Prior to joining LS Power in 2005, Mr. Bartlett served as a Managing Director in Credit Suisse First Boston's Energy Investment Banking Group where he focused on M&A and financing transactions in the power generation sector. Previously, Mr. Bartlett was an Associate at Kendall Capital Partners and an Analyst at Drexel Burnham Lambert. Mr. Bartlett began his service as a Dynegy director in 2007.

Thomas D. Clark, Jr. is the President of Strategy Associates, a consulting firm specializing in strategy development, strategic planning assistance, corporate governance policy and corporate analysis. He previously served as Dean of the E.J. Ourso College of Business Administration at Louisiana State University, Ourso Distinguished Professor of Business, the Edward G. Schlieder Distinguished Chair of Information Science and Director of the DECIDE Boardroom, an executive decision research and development facility. Mr. Clark also serves as a member of the board of directors Endeavour International (AMEX) and is on the boards of several community organizations and two privately held companies. His research has been widely published and he remains active in a variety of scholarly organizations and activities, especially in the areas of technology management and strategy, strategic management and corporate governance. Before entering academia, Mr. Clark had extensive management and consulting experience at senior levels in both business and government. He has served as a Dynegy Director since 2003.

Victor Grijalva currently is a Director both of Dynegy, Inc., and Transocean, Inc. He formerly served as Chairman of the Board of Hanover Compressor and Transocean Sedco Forex. Grijalva began his career as a Senior Development Engineer for Schlumberger and during his 37 years with the company he held a variety of management positions in Argentina, France, Venezuela, Singapore, Greece, UAE and the United States. Grijalva was Vice Chairman of Schlumberger Limited and prior to that role, he served as Executive Vice President of Schlumberger's Oilfield Services division and its Wireline, Testing & Anadrill division. Grijalva is a member of the Board of the American Institute of Electrical Engineers and Society of Petroleum Engineers, and is a former member of the Board of the American Petroleum Institute and the Oil & Gas Editorial Advisory Board. He graduated from Carnegie Mellon University with a B.S. in electrical engineering and the University of Pennsylvania with a master's degree in electrical engineering.
