Nova Enterprises, Inc (the "Company") was incorporated in the State of Nevada on February 19, 1997, to develop and produce a unique proprietary software solution for use in Internet Telephony (hereafter referred to as "IP Telephony"). In March 1998, the Company entered into a reorganization agreement, pursuant to which our predecessor exchanged 9,000,000 shares of its common stock for all of the outstanding common shares of a private operating company known as IPVoice Communications, Inc. ("IPVCDE"), a transaction commonly referred to as a "reverse acquisition." In general terms, a reverse acquisition is a transaction in which the inactive public entity acquires an operating company and then changes its name as the surviving parent corporation to the name of the subsidiary and allows the subsidiary to appoint management in the surviving public entity. Thereafter, the subsidiary may formally merge with the parent or may continue to operate as a separate operating subsidiary. In this case, the subsidiary transferred all of its assets to the parent. The reorganization agreement was accounted for as a reorganization of IPVCDE.

As Chief Executive Officer and Chairman of NewMarket, Mr. Verges brings a wealth of business and technology experience and leadership to the Company. In his first foray into the role of entrepreneur, Mr. Verges founded VergeTech International (VTI) in 1997, a firm that specialized in leading edge technology services. After merging VTI with IPVoice Communications in 2002, Mr. Verges developed and implemented the Company's new business strategy of launching market-entry technology advancements into early and mainstream technology products and services through established Systems Integration relationships. Thus was born NewMarket Technology, Inc. Since that time, Mr. Verges has been instrumental in NewMarket's successful acquisition of technology-based companies in North America, Asia and Latin America. A graduate of the U.S. Military Academy at West Point, Mr. Verges served with distinction in a wide variety of important engagements to include research and development of counter terrorism communication technologies and practices. After fulfilling his post-graduate military duties for the United States, Mr. Verges elected to pursue the private sector and was honorably discharged with the rank of captain. Mr. Verges' early career after the Army was spent with Electronic Data Systems (EDS) in the Computer Sciences Research and Development Department of General Motors. Mr. Verges' first business start-up experience was with EDS in a new division concentrating on call center technology in financial institutions. He later added to this experience with the task of opening an entirely new geographic region for a $30 million technology services business. Finally, with the launch of his own company in 1997, Mr. Verges accomplished professional independence. He grew his firm from $300,000 in first year sales to over $11 million in year four; growth funded primarily from operational income. After merging VTI into the now NewMarket Technology, Inc., Mr. Verges continued to grow the new company to over $50 million in annual sales. Dissatisfied with merely adapting to keep pace, he sought to pioneer by strategically positioning the Company to be at the forefront of identifying and marketing emerging technologies the world over. Today, NewMarket employs over 400 people in six countries, and services customers around the globe. In addition to leading NewMarket, Mr. Verges is also a sought after public speaker, delivering speeches throughout the year on topics ranging from emerging technologies to financial markets. Currently, Mr. Verges is also developing a book, which will be a guide to start-up financing for the high-tech entrepreneur. Outside of work, Mr. Verges, along with his wife of nearly 20 years, spends his time raising their five children.

Major General Robinson, (U.S.A. Ret.), is the chief executive officer of Global Building Systems, Inc., a firm that develops and constructs low- and moderate-income residential housing. From 2003 to 2005, he was the chairman and chief executive officer of Granville Construction & Development Co., Inc., a housing development and construction firm. From 1989 to 2003, he was chairman and chief exective officer of the Tetra Group, a construction management and building services firm. James Mandel has been the Chief Executive Officer and a director of Multiband Corporation (NasdaqCM: MBND) since October 1, 1998. Prior to August 2006, Multiband was an affiliate of the Company, owning approximately 51%, of the Company after the remaining 49%, of the Company's shares had been spun-off to Multiband shareholders of record as of August 10, 2006. Mr. Blow started his career with Xerox Corporation as a marketing representative and then moved to Digital Equipment Corporation as a major account manager in the energy market.
