Steve Rowley, 55, was named President and Chief Executive Officer of Eagle Materials Inc. (formerly Centex Construction Products) in September 2003. Mr. Rowley joined the company in 1991 as Plant Manager of Nevada Cement Company. In 1995, he became Executive Vice President of Illinois Cement Company, an Eagle Materials subsidiary, and was named Executive Vice President, Cement in 1998. In January 2001, Mr. Rowley's responsibilities expanded when he assumed the role of Executive Vice President, Cement and Aggregates/Concrete for the corporate parent. Mr. Rowley has more than 28 years' and senior management experience in the portland cement industry. Prior to joining the company, he was Project Manager and Plant Manager for Florida Crushed Stone. Previously, Mr. Rowley served as Manager at Kaiser Cement Company and Chief Chemist and Process Engineer of Gifford Hill Company. Mr. Rowley holds a B.S. in chemical engineering from the University of Arizona.

Franklin Green, 39, was named Vice President of Eagle Materials in April 2007. Mr. Green joined Eagle Materials in 2005 as Senior Corporate Engineer. He served as the Project Manger for the Illinois Cement Company plant expansion in 2005-2006 and is currently Vice President of Engineering and Technology. Mr. Green has more than 16 years of engineering, project management and operations experience in the Portland cement industry. Prior to joining Eagle Materials, he held various management positions at the corporate engineering and operations levels for Cemex Inc. Mr. Green received a B.S. in Mechanical Engineering from Bradley University Peoria, IL. Mr. Green also attended Stanford University, INSEAD, and Monterrey Tech for international management.
"Keith Metcalf, 49, was named Vice President of Eagle Materials Inc., (formerly Centex Construction Products) in January 2005.
Mr. Metcalf has 28 years' experience in the gypsum industry. He joined Eagle Materials in 1986 as General Manager/VP for Florida Gypsum Services in Orlando, Florida, and later served as General Manager / VP for Rio Grande Drywall Supply in Albuquerque, New Mexico. He was promoted in 1996 to Director of Sales and was more recently appointed Vice President of Sales of American Gypsum Company.
Prior to joining Eagle Materials, Mr. Metcalf worked seven years for L&W Supply Corporation, a subsidiary of USG Corporation.
Mr. Metcalf attended the University of Michigan School of Business. "

William R. Devlin, 43, was named Vice President - Controller in October 2005. Mr. Devlin joined Eagle Materials in September 2004 as Director of Internal Audit. Prior to joining Eagle, Mr. Devlin spent 16 years in public accounting with KPMG in Jackson, Mississippi, and with PricewaterhouseCoopers. During his time with PricewaterhouseCoopers, Mr. Devlin was in the audit practice in Dallas, Texas, and in the Global Capital Markets practice in London, England and Zurich, Switzerland. Mr. Devlin holds a Bachelor of Business Administration in accounting from Millsaps College and is a Certified Public Accountant.

Mr. Barnett retired in 2003 from his position as a director in the Dallas office of McKinsey & Company, Inc., an international consulting firm, after 23 years of employment. Frank Maresh was elected to the Board in December 2003. Mr. Maresh is the former Vice Chairman of KPMG in the United States. Mr. Maresh is a Certified Public Account and a consultant, investor and owner in numerous private enterprises. From 1962 to 1993, Mr. Maresh held various senior level management positions within KPMG, including Vice Chairman of the United States Board of Directors and Managing Partner of the Southwestern United States. Mr. Maresh sat on the Texas State Board of Public Accountancy from 1993 to 1999, where he served as both Chairman of the Board and Chairman of the Major Case Committee. Mr. Michael R. Nicolais entered into an employment relationship with a company owned by another member of our Board of Directors, Laurence E. Hirsch, in 2004. In particular, in April 2004, Mr. Nicolais accepted employment as president of Highlander Partners L.P., or Highlander, a private investment partnership of which Mr. Hirsch is the sole equity owner. In view of, among other things: (1) the fact that Mr. Nicolais has never served as an officer or employee of the Company or any of its parents or subsidiaries; (2) the employment relationship between Mr. Nicolais and Highlander commenced after the completion of the spin-off of the Company from Centex and after the date Mr. Hirsch retired as an executive officer and director of Centex; (3) the investment services provided by Mr. Nicolais to Highlander are largely unrelated to the Company (except to the extent that such services involve investment services relating to a portion of the shares of our Common Stock beneficially owned by Mr. Hirsch); and (4) the fact that, as described above, our Board of Directors has determined that Mr. Hirsch himself has no material relationship with the Company, our Board of Directors determined that Mr. Nicolais has no material relationship with the Company.

Mr. Stewart is a member of the Compensation Committee of our Board of Directors. From 1998 until 2006 Mr. Stewart served as President and CEO of GE Aero Energy, a division of GE Power Systems and as an officer of General Electric Company.
