XTO Energy Inc.

VAUGHN O. VENNERBERG, II - is President and a board member of XTO Energy Inc. Mr. Vennerberg has worked in various land, acquisition and administration positions for the Company over the past 19 years and most recently has served as the Senior Executive Vice President and Chief of Staff since 2005. Prior to joining XTO in 1987, Mr. Vennerberg was employed by Cotton Petroleum Corporation and Texaco Inc. of Tulsa, Oklahoma. Mr. Vennerberg is a native of Midwest City, Oklahoma and has more than 27 years of experience in the oil and gas industry. He received his BS degree from Oklahoma State University.

Timothy L. Petrus has served as Executive Vice President Acquisitions since May 1, 2005. Mr. Petrus served as Senior Vice President Acquisitions or held similar positions with XTO Energy from 1988 until April 30, 2005. He has served as an advisory director since May 17, 2005. He was a Vice President (1980-1988) at Texas American Bank and a Senior Project Engineer (1976-1980) with Exxon USA.

F. TERRY PERKINS JR. - is Senior Vice President of Reservoir Engineering for XTO Energy Inc. Mr. Perkins received a BS in Chemical Engineering in 1982 from the University of Texas at Austin. Prior to joining XTO in 1991, Mr. Perkins worked as a reservoir engineer for Exxon Co. USA.

FRANK G. MCDONALD - is Senior Vice President, General Counsel and Assistant Secretary for XTO Energy Inc. Mr. McDonald received a BA in Math from Texas Tech University and a J.D. from Texas Tech School of Law. Prior to joining XTO in 1993, Mr. McDonald was Senior Counsel for Grace Energy Corporation and a shareholder of Kliewer and Hood, P.C.

JAMES L. DEATH - is Senior Vice President of Land for XTO Energy Inc. Mr. Death received a BBA degree in Petroleum Land Management from the University of Oklahoma in 1977. Prior to joining XTO in 1994, Mr. Death worked for Phillips Petroleum Company, Andover Oil Company, Santa Fe Minerals and Amax Oil & Gas, Inc.

KEN K. KIRBY - is Senior Vice President of Operations (East Texas Operations) for XTO Energy Inc. Mr. Kirby received a BS degree in Petroleum Engineering from the University of Oklahoma. Prior to joining XTO in 1988, Mr. Kirby worked as an area engineer for Crown Central Petroleum.

TERRY L. SCHULTZ - is Senior Vice President of Marketing for XTO Energy Inc. Mr. Schultz received a BA in Business from the University of North Texas. Prior to joining XTO in 1988, Mr. Schultz worked as Senior Gas Sales Representative at Southland Royalty and was co-owner of Paragon Energy.

DELBERT L. CRADDOCK - is Vice President of Operations (San Juan Division) for XTO Energy Inc. Mr. Craddock is a 1978 graduate of the University of Tulsa with a BS in Petroleum Engineering. Prior to joining XTO in 1995, Mr. Craddock worked for Santa Fe Minerals and Sun Gas.

KAREN WILSON - is Vice President, Human Resources for XTO Energy Inc. Mrs. Wilson received a BS in Business Administration from Northwestern Oklahoma State University and is currently certified as a Senior Professional of Human Resources (SPHR). Prior to joining XTO in 1991, Mrs. Wilson worked for Woods County Clerk in Alva, OK.

KEITH A. CARWILE - is Vice President of Operations - Houston Division (Gulf Coast and Offshore) for XTO Energy Inc. Mr. Carwile is a 1985 graduate of the The University of Texas at Austin with a BS in Petroleum Engineering. Prior to joining XTO in 2008, Mr. Carwile worked for Mobil Corporation and Hunt Petroleum Corporation.

L. FRANK THOMAS, III - is Vice President, Information Technology for XTO Energy Inc. Mr. Thomas received a BA in Management from Texas Wesleyan University. Prior to joining XTO in 1998, Mr. Thomas was Director of Information at Burlington Resources and Operations Manager, Information Technology at Southland Royalty.

MARTHA L. MONTGOMERY - Martha L. Montgomery is Vice President and Assistant Controller for XTO Energy Inc. Ms. Montgomery received a BBA in Accounting from the University of Texas at Arlington. Prior to joining XTO in 2000, Ms. Montgomery served as Operational Accounting Manager, Financial Advisor and Internal Audit Manager at Union Pacific Resources Company and Audit Manager at Ernst & Young. She is a CPA.

T. JOY WEBSTER - is Vice President, Facilities for XTO Energy Inc. She is a Chartered Property and Casualty Underwriter (CPCU) and one of the original employees at XTO Energy. Prior to joining XTO in 1986, she worked at Southland Royalty Company.

TIMOTHY B. MCILWAIN - is Vice President of Operations (Fort Worth Division) for XTO Energy Inc. Mr. McIlwain received a BS in Petroleum Engineering from Louisiana State University in 1982. Prior to joining XTO in 1998, Mr. McIlwain was the District Engineer for Enserch Exploration's East Texas operations.

VIRGINIA N. ANDERSON - is Vice President and Corporate Secretary for XTO Energy Inc. She has a BA in Elementary Education from Texas Wesleyan College. Prior to joining XTO in 1986, Mrs. Anderson was an Executive Secretary with Southland Royalty Company.

WARREN J. LUDLOW - Warren J. Ludlow is Vice President and Associate General Counsel - Land & Acquisitions for XTO Energy Inc. Mr. Ludlow received a BS in political science from the University of Utah, and a JD from the University of Utah College of Law. Prior to joining XTO in 2007, Mr. Ludlow was General Counsel for Brigham Exploration Company. He has also worked for Hunt Oil Company, Pacific Enterprises Oil Company, British Petroleum, and at a private law firm.

Lynn has a diverse background in the oil and gas Industry. Beginning in 1981 he gained production experience in the Texas Panhandle. Lynn has oil and gas Accounting experience in revenue, internal audit, and production taxes. He is a CPA and a CFE and is currently employed by XTO Energy in Fort Worth, TX.

LANE G. COLLINS - has served as a director of XTO Energy Inc. since 2005 and was an advisory director from 1998 until 2005. Dr. Collins serves on the Audit and Compensation, Corporate Governance and Nominating committees. He is a professor emeritus of accounting at Baylor University in Waco, Texas, where he taught from 1978 until 2007. Previously, Dr. Collins taught for five years at the University of Southern California, where he earned his doctorate in business administration.

WILLIAM H. ADAMS, III - has served as a director of XTO Energy Inc. since 2001. Mr. Adams serves as Chair of the Compensation and Corporate Governance and Nominating committees and a member of the Audit Committee. He is a career banker with more than 25 years experience. He is Chairman and a principal owner of Texas Appliance Supply, Inc. and is the Chief Executive Officer of JABB Associates. Previously, he served as Regional President of Compass Bank in Fort Worth, Texas and its Texas Bank. He also previously served as President of Frost Bank - South in Arlington. Mr. Adams received his BBA in Finance from Texas Tech University. He has served on the Board of Directors of Downtown Fort Worth, Inc., North Texas Public Broadcasting Corporation, Fort Worth Stock Show Syndicate and has been very active with the Fort Worth Chamber of Commerce.
