"Mary Jane Hellyar joined Eastman Kodak Company in 1982 as a research scientist in the Kodak Research Laboratories and over the next ten years held a variety of positions within R&D, Film Manufacturing, and chemical process development. Following a one-year program at the Sloan School, she joined Consumer Imaging in the Strategic Planning function in 1994.
In 1995, Ms. Hellyar became director of the Color Product Platform, responsible for development and commercialization of all color films, papers and chemicals.
Effective May 1999, Ms. Hellyar was named general manager, Consumer Film Business, Consumer Imaging and was elected a corporate vice president. Subsequently, her responsibilities were expanded to include professional films, photographic paper and chemicals.
In November 2004, Ms. Hellyar was named President, Display and Components Group. In January 2005, the Board of Directors elected her a senior vice president.
In September 2005, the company moved to four vertical businesses. Ms. Hellyar became President, Film & Photofinishing Systems Group, while also continuing responsibility for Kodak’s Display business.
In October 2007, the Board of Directors elected Ms. Hellyar an executive vice president.
Ms. Hellyar received a BA in chemistry and mathematics from the College of St. Catherine in St. Paul, Minnesota, MS and PhD degrees in chemical engineering from Massachusetts Institute of Technology (MIT), and an MBA in the Management of Technology from the Sloan School at MIT."

"In January 2004, Kim VanGelder was appointed Chief Information Officer. In this position, she reports to Antonio Perez, Chairman and Chief Executive Officer. The Board of Directors also elected her a corporate vice president.
Since joining Kodak in 1984, VanGelder has held a variety of positions in Information Technology. For several years, she led the Corporate group responsible for defining Kodak’s global IT architecture and standards. In 1996, she was appointed Director of the Global ERP Competency Center, where she built the organization responsible for supporting Kodak’s worldwide Enterprise Resource Planning implementation. In 2000, she was appointed Director of Information Technology for Kodak’s Research & Development organization, where she was responsible for the strategic and operational aspects of IT for worldwide R&D. In 2003, she became Director of Information Technology for the Digital & Applied Imaging Business Unit, and subsequently for Digital & Film Imaging Systems, which encompassed Kodak’s consumer, professional, and entertainment imaging products and services. In 2007, she was also given the responsibility to lead a set of initiatives focused on the transformation of key business processes across the company.
VanGelder holds a B.S. in Mathematics from the Rochester Institute of Technology. She is a member of the Dean's Council for RIT's Golisano College, the SUNY Brockport Advisory Council, and The Community Foundation."

"Michael L. Marsh is general manager of Inkjet Printing Solutions in the Graphic Communications Group, a position to which he was named in January 2009. He rejoined Kodak in 2008 as chief operating officer of Inkjet Printing Solutions, which is based in Dayton, Ohio. In February 2009, the Board of Directors elected him a corporate vice president.
Mr. Marsh originally joined Kodak as an attorney in the Legal Department, following career stints in the Monroe County District Attorney’s Office and in private practice. Between 1998 and 2000, he was the assistant to Kodak’s Chairman and Chief Executive Officer. He subsequently held general management roles in Document Imaging and the former Health Group, which Kodak divested in 2007. Mr. Marsh left Kodak as part of the divestiture, and continued in a management role with Carestream Health, the successor business, until rejoining Kodak in 2008.
Mr. Marsh has a J.D. from The Cornell Law School and a B.A. from Queens College of the City University of New York."

Patrick M. Sheller is the Corporate Secretary and Chief Compliance Officer, Eastman Kodak Company. As Corporate Secretary, he is responsible for ensuring that the Board of Directors has the proper advice and resources for discharging its fiduciary duty under law, and ensuring that the records of the Board's actions reflect that the Board has done so. Mr. Sheller also will lead the company's efforts to comply with government and New York Stock Exchange mandates and to identify and adopt best practices in the corporate governance arena.
Mr. Sheller continues to serve as Kodak’s Chief Compliance Officer, responsible for ensuring that Kodak’s compliance and enterprise risk management programs and policies meet the highest legal, regulatory and ethical standards and monitoring the company’s adherence to these standards. He reports to Joyce Haag, Kodak’s General Counsel.
Mr. Sheller joined Kodak in 1993 as Marketing, Antitrust & Litigation counsel to the company’s former Health Group and has held several roles within Kodak’s Legal Department. From 1999 to 2004, he served as Kodak’s Chief Antitrust Counsel. In this role he managed the company’s antitrust compliance program and provided antitrust advice on various business transactions and conduct, including acquisitions, divestitures joint ventures, and intellectual property licensing. From 2000 to 2004, Mr. Sheller was on assignment to Kodak’s European, African & Middle Eastern Region (EAMER), where he provided commercial legal advice to Kodak’s EAMER businesses. He returned to Kodak’s Rochester headquarters in 2004 to assume business development and operating roles in Kodak’s Health Care Information Systems business, prior to the divestiture of the Health Group in May 2007.
Prior to joining Kodak, Mr. Sheller was in private law practice with the firm of McKenna & Cuneo (now McKenna, Long & Aldridge) in Washington, D.C., where he specialized in antitrust and health care law. From 1986 to 1989, he worked for the Federal Trade Commission in Washington, D.C., where he served as an Antitrust Attorney Advisor to Chairman Daniel Oliver and as a Staff Attorney in the Commission’s Bureau of Competition.
Mr. Sheller is a graduate of St. Lawrence University and Albany Law School of Union University. He is a member of the Ethics & Compliance Officers Association, the American Corporate Counsel Association, and the Antitrust Section of the American Bar Association.

"Terry R. Taber joined Kodak in 1980. In January 2009, he was named Chief Technical Officer reporting to Kodak Chairman and CEO Antonio M. Perez. The Board of Directors elected him a corporate vice president in December 2008.
Mr. Taber was previously the Chief Operating Officer of Kodak’s Image Sensor Solutions (ISS) business, a leading developer of advanced CCD and CMOS sensors serving imaging and industrial markets. Prior to joining ISS in 2007, Mr. Taber held a series of senior positions in Kodak’s research and development and product organizations. During his 28 years at Kodak, Mr. Taber has been involved in new materials research, product development and commercialization, manufacturing, and executive positions in R&D and business management.
Mr. Taber’s early responsibilities included research on new synthetic materials, an area in which he holds several patents. He then became a program manager for several film products before completing the Sloan Fellows program at the Massachusetts Institute of Technology. He returned from MIT to become the worldwide consumer film business product manager from 1999 to 2002, and then became an Associate Director of R&D from 2002 to 2005, followed by a position as the director of Materials & Media R&D from 2005 to 2007.
Mr. Taber received a B.S. degree in Chemistry from Purdue University and a Ph.D. in Organic Chemistry from the California Institute of Technology. He also received an M.S. in General Management from MIT as a Kodak Sloan Fellow. In 2003, he was elected to the Board of Trustees at Roberts Wesleyan College and Northeastern Seminary. "

Dr. James C. Stoffel, 62, is a retired Senior Vice President, Chief Technical Officer, and Director of Research and Development of Eastman Kodak Company, a film and digital imaging company. He held this position from 2000 to April 2005. He joined Kodak in 1997 as Vice President, Director Electronic Imaging Products Research and Development and became Director of Research and Engineering in 1998. Prior to joining Kodak, he was with Xerox Corporation where he began his career in 1972. His most recent position with Xerox was Vice President, Corporate Research and Technology.
Dr. Stoffel has been a member of our Board since August 2003 and is a member of the Finance Committee and the Management Development and Compensation Committee.

"Philip Faraci was named president and chief operating officer, Eastman Kodak Company, in September 2007. As President and COO, Mr. Faraci is responsible for the day-to-day management of Kodak’s two major digital businesses: the Consumer Digital Imaging Group (CDG) and the Graphic Communications Group (GCG). Mr. Faraci had been President of CDG and a Senior Vice President of the company. He joined Kodak as Director, Inkjet Systems Program in December 2004. In February 2005, he was elected a senior vice president of the company. In June 2005, he was also named Director, Corporate Strategy & Business Development. He reports to Chairman and Chief Executive Officer, Antonio M. Perez.
Prior to Kodak, Mr. Faraci served as Chief Operating Officer of Phogenix Imaging and President and General Manager of Gemplus Corporation’s Telecom Business Unit. Prior to these roles, he spent 22 years at Hewlett-Packard, where he served as Vice President and General Manager of the Consumer Business Organization and Senior Vice President and General Manager for the Inkjet Imaging Solutions Group.
Mr. Faraci holds a BA in applied mechanics from the University of California, San Diego and is a graduate of the University’s Executive Program for Scientists and Engineers."

Robert J. Keegan is Chairman of the Board, Chief Executive Officer and President of The Goodyear Tire & Rubber Company. He was elected chairman effective July 1, 2003, and chief executive officer Jan. 1, 2003.
Prior to joining Goodyear, Keegan was president of the Consumer Imaging business and an executive vice president of Eastman Kodak Company in Rochester, N.Y.
Keegan began his Kodak career in 1972 with distribution and marketing staff assignments in Rochester. He held a series of positions in finance and marketing in the United States and Europe before being named general manager of Kodak New Zealand in 1986. Returning to Rochester in 1987, he was named director of finance for the Photographic Products Group. In 1990, he was named general manager of Kodak Spain. In 1991, he was named general manager of Consumer Imaging for Kodak's European, Middle Eastern and African Region. In November 1993, he was elected a corporate vice president.
In 1995, Keegan left Kodak to join Avery Dennison Corporation, in Pasadena, Calif., as executive vice president and global strategy officer.
In July 1997, he returned to Kodak as president of Kodak Professional and was elected a corporate vice president. In October 1997, Keegan was appointed president of Consumer Imaging and elected a senior vice president. He became an executive vice president of Kodak in January 2000.
Keegan received a bachelor of science degree in mathematics from LeMoyne College in Syracuse, N.Y., and a master of business administration degree in finance from the University of Rochester.
Keegan and his wife Lynn have two children.

"In March 2009, Diane McCue was named general manager for Printing Plates in the Graphic Communications Group.
From November 2005 to February 2009, Ms. McCue was general manager for Paper and Output Systems. The Kodak Board of Directors elected her a corporate vice president in December 2005.
Previously, Ms. McCue was vice president Marketing, Digital Printing Solutions SPG in the Graphic Communications Group. In August of 2004, she was named general manager, Latin America, Digital and Film Imaging Systems, and prior to that she was Sales general manager for North America Professional and Latin America Consumer and Professional Markets. Prior to this position, she was general manager, Americas Region and vice president, Kodak Professional -- the largest and most dynamic sales and marketing region. She was named to this position in December 2002.
Ms. McCue has held the role of general manager Output Solutions for Kodak Professional. Her other preceding positions in Kodak Professional were as general manager Digitization Systems and Solutions and Sensitized Imaging, general manager, Sensitized Imaging, director, Product Line Management, Color Negative Films and Papers and Executive Assistant to the President of Kodak Professional. Prior to this she held several leadership assignments in Manufacturing and the Supply Chain. Ms. McCue joined Kodak in 1979 as a Systems Analyst.
Ms. McCue earned a BS in Computer Science and Business Administration from SUNY Brockport and an MBA in Finance from William E. Simon Graduate School of Business, University of Rochester. She also participated in the Strategy Formulation and Implementation at University of Michigan as well as the General Management Program at Columbia Business School.

Suzanne D. Mr. Berman was appointed to his current position in January 2002 and was elected a vice president of the company in February 2002. In March 2005, he was elected a senior vice president by the Board of Directors. In this capacity, he is responsible for the design and implementation of all human resources strategies, policies and processes throughout the corporation. He is a member of the Eastman Kodak Company Executive Council, and serves on the company’s Senior Executive Diversity and Inclusion Council and Ethics Committee. He works closely with Kodak’s CEO, Board of Directors and Executive Compensation and Development Committee on all executive compensation and development processes for the corporation. Prior to this position, Mr. Berman was the Associate Director of Human Resources and the Director and divisional vice president of Human Resources for Global Operations, leading the delivery of strategic and operational human resources services to Kodak’s global manufacturing, supply chain and regional operations around the world. He has held a variety of other key human resources positions for Kodak over his 25 year career, including the Director and divisional vice president of Human Resources for the global Consumer Imaging business and the Human Resources Director for Kodak Colorado Division.
Mr. Berman’s work has been published by Human Resources Management (University of Michigan); Cornell University’s Center for Advanced Human Resource Studies, and the American Productivity and Quality Center. He has spoken at numerous conferences, including the California Strategic Human Resource Partnership; the Department of Navy Roundtable on Human Capital; the Conference Board’s Human Resources Conference; the Shell Diversity Conference; and the Out and Equal Conference. He was the recipient of the 2004 Outspoken and Visible Award recognizing individuals who are role models for promoting a supportive work environment for all individuals independent of their sexual orientation or gender expression. In 2006, Mr. Berman was selected to Human Resource Executive® magazine’s HR Executive Honor Roll, recognizing executives who have distinguished themselves through excellence in the HR profession.

Darlene attended Catholic Schools for 8 years in Rhode Island. She relocated to Rochester out of college, accepting a position as an Industrial Engineer at Eastman Kodak Company. Darlene is currently a Kodak Operating System (Lean Thinking) Manager at Kodak, supporting the Health Group. She and her husband have 2 daughters, Amy and Ashley, who attend Bishop Kearney High School, and a son, Scott, who has recently enlisted in the Army National Guard. This is her fourth year on the Monroe County Catholic School Board. She is active in her parish St. Salome's, where she serves on the Parish Finance Council, leads Children's Liturgy of the Word, and helps count the collection. In her spare time she enjoys photography, taking up to 200 rolls of film per year. She also enjoys reading, gardening and hosting exchange students. Darlene and her husband have hosted students from France, Denmark, Taiwan, Spain and South Korea.

"Mr. Love joined the Eastman Kodak Company in October of 1997 as director, Treasury Operations. He was appointed Assistant Treasurer in December of 1999 with responsibilities for domestic and international treasury operations, including operations of Kodak’s Treasury Center in the UK, currency and commodity risk management, and financing. Hector Ruiz is executive chairman of Advanced Micro Devices, Inc. and chairman of the company’s board of directors.
