Barbara Mathews is Vice President, Associate General Counsel, Chief Governance Officer and Corporate Secretary of Edison International (EIX) and Southern California Edison (SCE). She is responsible for corporate governance and securities law matters. She oversees the Corporate Governance and Finance, Employment Law and Benefits, and the Base Rates and Grid Support areas of the SCE Law Department. She joined the Law Department in 1996 as an assistant general counsel of EIX and SCE. Prior to that, she was a partner in the law firm of Arnold & Porter, where she served in the Los Angeles, Washington DC, and Denver offices. She began her legal career as a law clerk for the Hon. Helen J. Frye, United States District Court Judge for the District of Oregon. Mathews is a member of the Corporations Committee of the California State Bar. She also serves on the board of directors of the National Organization of Parents of Blind Children. She is a member of the Special Education District Advisory Committee for the Santa Monica-Malibu Unified School District. As vice president and chief ethics and compliance officer for Edison International (EIX) and its utility subsidiary Southern California Edison (SCE), Ken Stewart is responsible for all areas of the company's ethics and compliance programs. He oversees the company's commitment to exemplary business ethics and legal compliance in all of its activities. Previously, Stewart was assistant general counsel and assistant secretary of EIX and SCE, engaged in the areas of financing, disclosure, ethics, and corporate governance. He first joined SCE's Law Department in 1980. Before that, he was an associate at O'Melveny & Myers in Los Angeles. He left SCE in 1984 to become vice president and general counsel of Financial Market Services, Inc. in Orange, California. He returned to SCE in 1987 and was elected assistant general counsel of EIX and SCE in March 1992. During 1993-95, he also served as corporate secretary of EIX and SCE. Stewart received a B.A. in Japanese from Brigham Young University (summa cum laude with honors) and a J.D. from Brigham Young University Law School (magna cum laude), where he was a note and comment editor on the law review.

Jim Scilacci was appointed executive vice president, chief financial officer and treasurer for Edison International in August 2008.
Scilacci previously was senior vice president and chief financial officer for three years for Edison Mission Group (EMG) – the competitive generation business of Edison International.
Prior to joining EMG, Scilacci was senior vice president and chief financial officer of Southern California Edison (SCE), the electric utility subsidiary of Edison International. He joined SCE in 1984, was elected vice president and chief financial officer in January 2000, and was elected senior vice president and chief financial officer in January 2003.
Scilacci began his Edison career with the Treasurer's organization. After holding positions in corporate finance, investor relations, financial analysis, and cash management, he was appointed assistant treasurer in 1993. In 1995, Scilacci was named director of Qualifying Facilities Resources. Prior to becoming chief financial officer, he led SCE's 2003 General Rate Case team.
Prior to joining SCE, he held finance-related positions with Bank of America and Getty Oil Company.
Scilacci earned his bachelor’s degree in economics from the University of California, Los Angeles and an MBA from Santa Clara University.

Bouknight is joining Edison International after 11 years as a partner in the Washington, D.C., office of Steptoe & Johnson LLP, which has a national and international reputation for vigorous representation of clients before governmental agencies, successful advocacy in litigation and arbitration, and creative and practical advice in guiding business transactions. From 1998 to 2004, Bouknight was chairman of Steptoe & Johnson, with responsibility for the management of the firm of more than 400 attorneys.
Prior to joining Steptoe & Johnson in 1994, Bouknight was partner at Newman, Bouknight & Edgar, a Washington D. C. firm known for its energy practice, and before that a partner at Tally, Tally & Bouknight in Fayetteville, NC.
Bouknight has been a member of the Council Group since 1979 and has chaired the Antitrust and Electricity Committees of the American Bar Association Section of Public Utility, Communications and Transportation Law. He is a member of the Board of Visitors of Duke University School of Law.
Bouknight is a member of the North Carolina and the District of Columbia bars. Bouknight received his B.A. in history from Wofford College and a J.D. from Duke University School of Law. He and his wife, Deborah, have two children.

Polly Gault is executive vice president of Public Affairs for Edison International and its utility subsidiary Southern California Edison, having overall responsibility for government relations. Gault joined Southern California Edison in 1997 and was elected to her current position in March 2006. Prior to joining Edison, she was principal director and executive vice president of the Wexler Group, a strategic business planning and government relations consulting firm. Gault has spent almost 20 years in a wide range of public policy and management positions in both the legislative and executive branches of the federal government. She began her government career as a legislative assistant for Senator Richard S. Schweiker of Pennsylvania and worked for him from 1977 to 1980 on the Senate Appropriations and Labor Committees. From 1981 to 1987, she was staff director of the Senate Education, Arts and Humanities Subcommittee.

Robert Adler is executive vice president and general counsel for Edison International. He joined Edison International on July 1, 2008. Adler is responsible for the legal affairs of Edison International, which is the parent company of Southern California Edison, one of the nation's largest investor-owned electric utilities, and of Edison Mission Group, which is an independent power producer and provider of capital and financial services. Prior to joining Edison International, Adler was a co-managing partner of the Los Angeles law firm of Munger, Tolles & Olson LLP, where he practiced corporate and business law beginning in 1975. Beyond his law experience with the electric power business and Edison International, Adler's practice has spanned many industries, including retail, health care, entertainment, communications, and professional sports. Adler graduated with honors from both Harvard College and Harvard Law School, where he served as an officer of the Harvard Law Review.

Pedro Pizarro is executive vice president of Power Operations for Southern California Edison (SCE). His responsibilities include overseeing three business units: SCE's transmission and distribution system; the procurement of conventional and renewable power contracts; and Edison Carrier Solutions, a division of SCE that provides wholesale broadband services to telecommunications carriers. Pizarro joined Edison International, SCE's parent company, in 1999 as director of Strategic Planning. Andrew J. Hertneky is the Vice President of Strategy for Edison International. He is responsible for developing strategy for the utility Southern California Edison (SCE) and the unregulated Edison Mission Group (EMG). Prior to his current role, Hertneky served as EMG vice president of Risk Management where he was responsible for managing EMG trading, credit, market, and operational risk. He was also vice president of Origination/Marketing where he was responsible for all marketing and structured-deal origination. Before joining EME in 2002, Hertneky was an associate principal with McKinsey & Company, serving a variety of Fortune 500 companies and international clients on utility and energy issues, focusing on strategy, risk management, and energy trading/marketing. Prior to McKinsey, Hertneky spent 15 years in the energy industry and held senior-level positions including VP of Structured Trading, responsible for financial deal structuring and negotiating energy deals, and Head of Electricity Trading /Marketing for Consolidated Natural Gas. At Philadelphia Electric (now part of Exelon) he was Head of electricity trading and marketing, director of transmission planning, and head of the nuclear systems development group. Hertneky also spent six years in engineering and quality control positions at six nuclear power plants for Stone and Webster Engineering and the Tennessee Valley Authority. Hertneky attended the United States Military Academy at West Point, earned a bachelor's degree in mechanical engineering from the University of Pittsburgh, and graduated with highest honors from Vanderbilt University with an MBA.
Anthony L. Smith is vice president and director of Tax at Edison International and its utility subsidiary, Southern California Edison. He joined Edison in 1970 and assumed his current role on March 1, 1999. Smith began his Edison career as a management trainee and held a number of supervisory and management positions before being elected director of taxes and assistant controller in 1988. As the vice president and director of Tax, Smith is responsible for all tax matters of Edison International and its subsidiary companies, including regulatory activities, federal and state tax legislative functions and representations before various federal and state taxing authorities. Throughout his Edison career, Smith has been active in professional organizations, including the California Assessor's Association, the Tax Executives Institute and the International Tax Institute. He is a former chair of the California Taxpayers' Association and a member and former chair of the Taxation Committee and the Tax Analysis and Research Subcommittee of Edison Electric Institute, the electric utility industry's primary trade association. Smith graduated with honors from Whittier College, where he received the Wall Street Journal Outstanding Business Student award. He earned his Master of Business Administration (M.B.A.) and Master of Business Taxation (M.B.T.) degrees from the University of Southern California. He also completed the Public Utility Executive Program at the University of Michigan Graduate School of Business and the Executive Finance Program at the Wharton School at the University of Pennsylvania.

Kevin Payne, as vice president of Enterprise Resource Planning for Southern California Edison (SCE), leads a comprehensive program to implement integrated systems and streamline the company's business operations. He was elected vice president by the board of directors on March 1, 2006. Payne was formerly the director of QF Resources, responsible for power procurement from Qualifying Facilities, such as renewable generators and cogeneration facilities, representing approximately one-third of the power needs of SCE's retail customers. Payne was also responsible for compliance with California's Renewable Portfolio Standard by increasing SCE's renewable power purchases to 20% of SCE's retail power sales. Payne began his career with SCE in 1986 in the Engineering and Construction department where he provided engineering and project management for power plant and cogeneration projects. In 1994, he moved to the Customer Service Business Unit where he initially held project management positions and supervised engineers responsible for assisting SCE's large customers with energy efficiency and self-generation projects. In 1997, he was appointed manager of Regional Government Accounts where he led an account management organization responsible for SCE's city, county, water agency, and agricultural customers. In 1999, Payne was appointed director of Technical Support where he led an organization responsible for customer self-generation, municipal bypass, technical assistance and training, and the implementation of the Emerging Technologies and New Construction energy efficiency programs. In January 2004, he was appointed director of QF Resources. Payne has a degree in mechanical engineering from the University of California, Berkeley, and is a registered professional engineer.

Megan Scott-Kakures is vice president and general auditor of Edison International and Southern California Edison. She has held that position since April 2007. As the general auditor, she is responsible for oversight of Edison's internal audits department and the execution of the company's internal audit function. Prior to this appointment, Scott-Kakures was elected associate general counsel in 2007 and assistant general counsel in 2002 in the SCE law department. She supervised regulatory work for the company before the California Public Utilities Commission relating to distribution service, energy procurement, customer rates and affiliate transactions. Scott-Kakures joined the law department in 1994 and worked until 2002 on generation, customer service, and restructuring of the electric industry. Scott-Kakures received her B.A. in 1981 from Claremont McKenna College (magna cum laude) and her J.D. in 1984 from the University of Michigan Law School (cum laude). After law school she served as a law clerk for the Honorable Ralph B. Guy, Jr., U.S. District Court for the Eastern District of Michigan and the Sixth Circuit Court of Appeals. From 1986 to 1994 Ms. Scott-Kakures worked as a commercial litigation attorney at Loeb & Loeb in Los Angeles.

R. W. (Russ) Krieger is vice president of Power Production for Southern California Edison. He joined the company in 1972, was elected vice president of Nuclear Generation in 1993 and vice president of Power Production in 2002.
Krieger began his Edison career as a nuclear engineer in 1972. He became manager of Nuclear Safety in 1984 and was responsible for nuclear safety, health physics and environmental, as well as nuclear affairs and emergency planning. In 1984, he was named deputy station manager at San Onofre Nuclear Generating Station (SONGS), with responsibility for compliance, security and emergency preparedness. In 1985, he became manager of station operations, responsible for operating SONGS Units 1, 2 and 3. He was named station manager in 1990. In June 1993, he was elected vice president of Nuclear Generation and in May 2002, he assumed his current role as vice president of Power Production.
Krieger earned a B.S. in engineering from UCLA and completed work toward an M.S. in nuclear engineering from UCLA.

Scott Cunningham is vice president, Investor Relations for Edison International, with overall responsibility for communications with investors and securities analysts. Cunningham joined Edison International in March 2007. Prior to joining Edison, he was vice president of investor relations for AES Corporation, based in Arlington, Va., one of the world's largest global power companies. Before joining AES in 2004, Cunningham spent 20 years with Union Carbide Corporation and then its spin-off, Praxair Inc. He began his Union Carbide career in federal government relations in Washington, D.C. and subsequently held treasury positions in project finance and corporate finance in the Danbury, Ct. headquarters. He established the Praxair investor relations program. Cunningham also held positions leading corporate strategic planning, business development and marketing for a $1 billion distribution subsidiary, and then the subsidiary's regional distribution business in the Pacific Northwest and Western Canada. He also served as Assistant Treasurer responsible for Praxair's capital allocation and investment due diligence process, pension fund management, and Asia corporate and project finance. Cunningham began his career with the U.S. Government and conducted metallurgical research at the U.S. Department of Interior and helped administer water quality programs at the U.S. Environmental Protection Agency. A native of Washington, D.C., Cunningham holds a B.S. degree in engineering from the University of Maryland and an MBA from Northwestern University.

In addition, she has led projects in a broad range of industry sectors including electricity, water, telecommunications, and oil pipelines. Kracke began her Edison career in 1990 in SCE's Treasurer Department's Financial Planning and Analysis group. She moved to Edison International, with roles in New Business Development and Strategic Planning, and as Special Assistant to the EIX Management Committee. She became Vice President of Strategic Planning for Edison Mission Energy, then returned to the utility as Director of Risk Control prior to assuming her current position as Director of Revenue Services. Kracke earned her Bachelor of Arts degree in Economics and M.B.A. at University of California, Irvine. Her academic focus has been in Finance and Entrepreneurial Studies.

Ronald L. Olson is a partner in the Los Angeles office of Munger, Tolles & Olson LLP. Mr. Olson has practiced law with the firm since 1968. Mr. Olson also is a director of Berkshire Hathaway, Edison International, City National Corporation, The Washington Post Company, and Western Asset Trusts. He serves as a director of several non-profits, including the RAND Corporation (formerly chair), the Mayo Clinic, the Council of Foreign Relations, Southern California Public Radio (formerly chair), and the California Institute of Technology. He was Chairman of the Board of Trustees of Claremont University Center and Graduate School from 1984-94. Mr. Olson’s practice involves a combination of litigation and corporate counseling. He counsels individual executives and boards of directors in a range of matters, including transaction and corporate governance issues. Throughout his career, Mr. Olson has been the lead partner in numerous high-profile matters where clients have looked to the firm for advice and representation. Mr. Olson also has represented AOL Time Warner in securities actions arising from the merger of AOL and Time Warner; Gemstar-TV Guide International, Inc. in shareholder class actions and derivative cases arising from financial restatements; and Mattel in a lawsuit over “Barbie Doll” rights. Mr. Olson received his B.S. degree from Drake University in 1963, his J.D. degree from the University of Michigan in 1966, and a Diploma in Law from Oxford University, England, in 1967, at which time he was the recipient of a Ford Foundation fellowship. In 1967, Mr. Olson was an attorney for the Civil Rights Division of the Department of Justice and in 1968 clerked for Chief Judge David L. Bazelon, United States Court of Appeals for the D.C. Circuit. Mr. Olson was formerly Chairman of the Standing Committee on Federal Judiciary (1991-92), Chairman of the Litigation Section (1981-82), and Chairman of the Alternative Dispute Resolution Committee (1976-86) of the American Bar Association, and was Vice President of the Board of Governors of the State Bar of California (1986-87). He is a fellow of the American College of Trial Lawyers. Mr. Olson has received a number of awards for public service and pro bono activities.

Alan J. Fohrer is chairman and chief executive officer of Southern California Edison (SCE), one of the country's largest electric utilities. Fohrer was elected CEO on January 1, 2002 and was elected chairman on June 12, 2007. Fohrer has extensive knowledge and management experience in every aspect of SCE's business. Before his leadership at EME, Fohrer was executive vice president and chief financial officer of parent company Edison International and SCE. Fohrer began his Edison career in 1973 in SCE's Civil Engineering Department. In 1980, he moved to the Treasurer's Department, where he held a number of positions, including financial planning supervisor, financial planning and banking manager, corporate planning and budgeting manager, and assistant treasurer. He was elected vice president, treasurer, and chief financial officer of SCE in 1991, and was promoted to senior vice president, treasurer and chief financial officer of both SCE and Edison International in 1993. Fohrer is a member of the Engineering School Board of Councilors of the University of Southern California, and the Dean's Advisory Council for the School of Business at California State University-Los Angeles. He also serves as a member of the board of directors for the Los Angeles Sports Council; Montgomery Watson Harza, Inc.; San Gabriel Valley Council Boy Scouts of America; California Science Center; California Chamber of Commerce; and the Institute of Nuclear Power Operations (INPO). Fohrer earned B.S. and M.S. degrees in civil engineering from the University of Southern California, and an M.B.A. from California State University-Los Angeles.
Mr. Smith is the former Chairman of the Board and CEO of Security Pacific Bank, which was the fifth-largest bank holding company when acquired by Bank of America in 1992. Upon completion of that transaction, Mr. Smith was named President and COO of Bank of America and a member of its Board of Directors. Most recently, Mr. Smith has served as a Partner of a Southern California investment and consulting firm. He currently serves on the Boards of Trustees of both the University of Southern California and Santa Clara University. He is also a member of the Executive Committee of the University of Southern California. Since 1987, Mr. Smith has served as a member of the Board of Directors of Edison International (NYSE), as well as its Lead Director. Mr. Smith is an Organizing and Founding Director of the Commerce National Bank and is the Chairman of the Board of Blue Healthcare Bank. He has also served on the boards of Pinkerton, Inc. and Oasis Residential, Inc., both NYSE-listed companies, as well as on the Board of Governors of the Pacific Stock Exchange. He has also served as a member of the Market Oversight Committee of the U.S. Securities Exchange Commission, as a member of the board of the World Affairs Council, and as a Member of the Board of Directors of the California State Teachers' Retirement System (CalSTRS).
