Tom Gerke is Chief Executive Officer of Embarq Corporation. EMBARQ operates in 18 states offering voice, data, high speed internet, wireless and entertainment services to over 5 million customers. EMBARQ generates more than $6 billion in revenues annually and is included in the Fortune 500® list of America’s largest corporations. Before being named by the company’s Board of Directors as CEO in December of 2007, Gerke served as General Counsel – Law and External Affairs. In his previous position as EMBARQ’s General Counsel, Gerke was responsible for the oversight of the company’s legal and governmental affairs initiatives, corporate governance and legal support to the EMBARQ board of directors. In January 2007, he assumed responsibility for EMBARQ’s Wholesale Markets business unit while continuing to lead the legal, regulatory and external affairs functions. Gerke joined Sprint Nextel in 1994 where he held a variety of leadership roles including executive vice president and general counsel. He held other senior management positions in the law department, including assistant vice president of Corporate Transactions, vice president of General Business and Technology, and Corporate Secretary for Sprint. In addition, he served as vice president of Business Development, Strategic Planning and Alliances for Sprint’s Global Markets Group. Before joining Sprint, Gerke was a partner with the law firm of Smith, Gill, Fisher & Butts in Kansas City. Gerke holds a Master’s of Business Administration degree from Rockhurst University in Kansas City and a law degree from the University of Missouri in Kansas City. He serves on the Board of Directors of the Greater Kansas City Chamber of Commerce and on the Board of Trustees of Rockhurst University.

Harrison S. “Harry” Campbell is the president of Consumer Markets for Embarq Corporation. EMBARQ operates in 18 states offering voice, data, high speed internet, wireless and entertainment services to over 5 million customers. EMBARQ generates more than $6 billion in revenues annually and is included in the Fortune 500® list of America’s largest corporations. In his position, Campbell leads marketing, sales, and service of EMBARQ’s portfolio of communications and entertainment offerings to residential customers. Offerings include: local and long distance service for the home phone, voice mail with call screening, high speed internet and PC support, satellite video, and wireless. EMBARQ offers common sense innovations that include integration of home phone and wireless services and also a home phone that provides access to the internet. Previously, Campbell was president of Sprint’s Emerging Business Solutions Division. In that role, he was responsible for servicing business customers in the mid-market, small-market, SOHO and local government arenas. Other senior management experience includes serving as president and CEO of uclick, a major digital syndication company that packaged and distributed branded comics and word games on the web, representing over 110 features such as Garfield, Dear Abby, FoxTrot and Doonesbury; and co-owner of two sports marketing agencies that achieved capitalized billings of $20M. His early business experience was forged at Procter & Gamble as a brand manager. Campbell holds a bachelor’s degree in East Asian History and Economics from Vanderbilt University and a master’s degree of Business Administration with a concentration in Marketing from Indiana University’s Kelley Graduate School of Business.

James C. Mayfield is president of EMBARQ Logistics for Embarq Corporation. Embarq operates in 18 states offering voice, data, high speed internet, wireless and entertainment services to over 5 million customers. Embarq generates more than $6 billion in revenues annually and is included in the Fortune 500® list of America’s largest corporations. Mayfield oversees EMBARQ Logistics, the company’s equipment distribution division. EMBARQ Logistics supplies telecom equipment, logistics, and deployment solutions to North American carriers. Mayfield served as president of Sprint North Supply before the division became known as EMBARQ Logistics. In 1980, Mayfield joined Sprint as a management trainee and proceeded to hold a number of positions with increasing responsibility including capital budget manager, director of Consumer Markets; director of Network Evolution Planning, and vice president of Network Operations. Prior to his current position, Mayfield served as vice president, Network Planning for Sprint’s Local Telecommunications Division. He has held other senior management positions at Sprint including vice president of Network/Packet Switching for Sprint’s Local Telecommunications Division. Mayfield holds a bachelor’s degree in Economics from Florida State University in Tallahassee, Florida.

Thomas J. McEvoy is president of Business Markets for Embarq Corporation. EMBARQ operates in 18 states offering voice, data, high speed internet, wireless and entertainment services to over 5 million customers. EMBARQ generates more than $6 billion in revenues annually and is included in the Fortune 500® list of America’s largest corporations. In his position, McEvoy is responsible for the sales, marketing and service for EMBARQ’s portfolio of communications products and services to the business marketplace. McEvoy has more than 28 years of broad-based experience in the telecommunications’ industry. Prior to EMBARQ’s separation from Sprint, has in a variety of positions at Sprint including assignments in the finance, customer service operations, business markets, carrier markets, and consumer markets units. McEvoy has held other senior management positions at Sprint, including president, Consumer Solutions in Sprint’s Local Telecommunications Division. Prior to his current role at EMBARQ, he was president of Sprint Business Solutions Government and Enterprise Markets. In that role, he was responsible for leading the sales and marketing efforts of a business unit that provided integrated communications solutions to enterprise business accounts, plus Federal and State government accounts. He is a graduate of Rollins College in Winter Park, Fla., with a bachelor’s degree in Business Administration concentrated in Accounting, and a master’s degree in Business Administration from the Crummer Graduate School of Business.

William E. (Bill) Cheek is president of Wholesale Markets for Embarq Corporation. Embarq operates in 18 states offering voice, data, high speed internet, wireless and entertainment services to over 5 million customers. Embarq generates more than $6 billion in revenues annually and is included in the Fortune 500® list of America’s largest corporations. In his position, Cheek is responsible for product, marketing, sales, service and operations for the portfolio of wholesale products offered to inter-exchange carriers, competitive local exchange carriers, wireless providers, pay telephone providers and local exchange carriers. In addition, Cheek is responsible for the sales, service and operations of the EMBARQ pay telephone division. Previously, Cheek served as assistant vice president, Strategic Sales & Account Management in Sprint Business Solutions, where he was responsible for developing and maintaining relationships with Sprint’s largest wholesale customers. Cheek has held other senior management positions within Sprint including president of Wholesale Markets in Sprint’s Local Telecommunications Division, and vice president, Sales & Account Management in Sprint’s Local Telecommunications Division. He received a bachelor’s degree in Business and Economics from Hendrix College in Conway, Arkansas.

Gene M. Betts is chief financial officer of Embarq Corporation. Embarq operates in 18 states offering voice, data, high speed internet, wireless and entertainment services to over 5 million customers. Embarq generates more than $6 billion in revenues annually and is included in the Fortune 500® list of America’s largest corporations. Previously, Mr. Betts held various senior management positions at Sprint, most recently senior vice president and treasurer of Sprint, prior to the merger with Nextel in August 2005. In that role, he was responsible for Sprint’s treasury functions, mergers and acquisitions, taxes, real estate, insurance and corporate financial planning. Prior to joining Sprint in 1987, Mr. Betts was a partner with Arthur Young & Co. He joined Arthur Young in 1975 and held various assignments in the firm’s audit and tax departments. Mr. Betts also serves on the board of directors of Garmin Ltd., a manufacturer of global positioning devices, and the Buffalo Funds, a mutual fund complex. Mr. Betts holds a bachelor’s degree and master’s degree in Business from the University of Kansas, and is a certified public accountant.

Vercie Lark is the Chief Information Officer (CIO) of Embarq Corporation. EMBARQ operates in 18 states offering voice, data, high speed internet, wireless and entertainment services to over 5 million customers. EMBARQ generates more than $6 billion in revenues annually and is included in the Fortune 500® list of America’s largest corporations. Lark is responsible for strategy, planning and operations of internal IT systems, applications and communication services. Prior to becoming CIO, Lark was vice president of IT Infrastructure Services at EMBARQ, where he led teams responsible for IT data centers, voice and data communication services and computing platforms. Lark began work at EMBARQ during November 2005. Prior to joining EMBARQ, Lark worked for four years at Hewlett Packard and approximately 12 years for Compaq Computer Corporation, where he held several executive leadership positions in IT and HP Managed Services. He currently serves on the technical advisory councils for Prairie View A&M and Florida A&M and is an active board member of the Boys Hope Girls Hope organization in Kansas City. Lark earned his bachelor’s degree in Electrical Systems Engineering from Wright State University of Ohio in 1985 and subsequently began his career in technology as an Electrical Systems engineer at Monsanto Research Corporation.

David W. Zesiger is senior vice president, Regulatory Policy and External Affairs for Embarq Corporation. EMBARQ operates in 18 states offering voice, data, high speed internet, wireless and entertainment services to over 5 million customers. EMBARQ generates more than $6 billion in revenues annually and is included in the Fortune 500® list of America’s largest corporations. In his position, Zesiger is responsible for directing EMBARQ’s Regulatory, Legislative, External Affairs and Community Relations staffs, and oversees all regulatory and governmental affairs initiatives for the company. Prior to joining EMBARQ, Zesiger served as executive director of the Independent Telephone and Telecommunications Alliance (ITTA) from 1997 to 2006. ITTA is an organization of 10 midsize telephone companies serving more than 30 million access lines in 46 states. As executive director of ITTA, Zesiger coordinated the Alliance’s legal and legislative activities and represented ITTA member companies on Capitol Hill, at the Federal Communications Commission and in the industry. Before joining ITTA, Zesiger served as assistant chief counsel for telecommunications at the Small Business Administration’s Office of Advocacy from 1996 to 1997. Zesiger previously spent seven years working on Capitol Hill, primarily on telecommunications issues. He served as senior counsel for the House Telecommunications and Finance Subcommittee from 1993 to 1995. He also served as subcommittee staff director and counsel from 1987 to 1993 for the House Small Business Subcommittee on Antitrust. Prior to his work in Washington, Zesiger worked on telecommunications issues for the Maine Public Utilities Commission and the state legislature’s Joint Public Utilities Committee. Zesiger received a bachelor’s degree from Yale College, and a J.D. from the University of Maine School of Law. He has been a member of the Maine bar since 1985, the Kansas bar since 2006, and the Federal Communications Bar Association since 1991.

Dennis G. Huber is Chief Technology Officer for Embarq Corporation. EMBARQ operates in 18 states offering voice, data, high speed internet, wireless and entertainment services to over 5 million customers. EMBARQ generates more than $6 billion in revenues annually and is included in the Fortune 500® list of America’s largest corporations. In his position, Huber is responsible for product and business development, strategy, information technology and network evolution planning. Huber assumed his CTO duties July 1, 2008. Prior to his current position, he served in two senior planning capacities with EMBARQ: senior vice president – Corporate Strategy & Development and senior vice president of Product Development, where his team brought innovative solutions to customers and delivered converged services to create a competitive advantage for EMBARQ. Huber has held other senior management positions with EMBARQ and Sprint; these include senior vice president of Wireless Solutions for EMBARQ, president of Sprint North Supply, vice president of Business Integration Technology Solutions, and senior vice president of Technology Services for Sprint PCS. He began his career with Sprint in 1987 as manager of new product systems and advanced to group manager of product development. He also served as director of Voice Card Technology and director of Invoicing Products and Services. A graduate of Rockhurst University in Kansas City, Mo., Huber has a bachelor's degree in Marketing and Management, and a master’s degree of Business Administration in Management.

E.J. “Ned” Holland, Jr. is senior vice president of Human Resources and Communications for Embarq Corporation. EMBARQ operates in 18 states offering voice, data, high speed internet, wireless and entertainment services to over 5 million customers. EMBARQ generates more than $6 billion in revenues annually and is included in the Fortune 500® list of America’s largest corporations. In his position, Holland is responsible for all human resources and communications functions at EMBARQ. These groups include employee and labor relations, talent management, compensation and benefits, employee experience, corporate security, internal and external communications, the Intranet and Multimedia Communications Center and the events management team. Prior to being named to EMBARQ, Holland was vice president - Compensation, Benefits, Labor and Employee Relations for Sprint. Holland joined Sprint in 1999 as assistant vice president – Corporate Benefits. Before joining Sprint, Holland was senior vice president, Chief Administrative Officer and Corporate Secretary for Payless Cashways, Inc. He also was a managing partner and co-chairman of the health law practice group of the Kansas City law firm of Spencer Fane Britt & Browne. Holland has a B.A. degree in Philosophy from Rockhurst College in Kansas City, Missouri, and a J.D. from Boston College Law School.

James A. Hansen is senior vice president of Network Services for Embarq Corporation. EMBARQ operates in 18 states offering voice, data, high speed internet, wireless and entertainment services to over 5 million customers. EMBARQ generates more than $6 billion in revenues annually and is included in the Fortune 500® list of America’s largest corporations. In his position, Hansen is responsible for all planning, design, engineering, provisioning, operations, technology evaluation and Installation. His team has approximately 8,000 associates. Prior to this, Hansen served as senior vice president, Network, for Sprint’s Local Telecommunications Division. Hansen has held other senior management positions at Sprint including vice president of Planning and assistant vice president of Engineering. He also led two re-engineering teams and has served as a director of National Engineering Standards, Regional Planning, Systems Development and Regional Engineering. Prior to joining Sprint, he held various management positions with Northwestern Bell, AT&T and Proctor & Gamble. Hansen has a bachelor’s degree of Science in Industrial Engineering from the University of Nebraska, and a master’s degree of Science in Industrial Engineering from the University of Missouri. He is a registered Professional Engineer.

Admiral Owens is Managing Director, Chairman and Chief Executive Officer of AEA Holdings Asia, a private equity company. Admiral Owens previously served as Vice Chairman, President and Chief Executive Officer of Nortel Networks Corporation, as Chairman and Chief Executive Officer of Teledesic LLC and as President, Chief Operating Officer and Vice Chairman of Science Applications International Corporation. He also served in the U.S. military from 1962 to 1996, holding various key leadership positions, including Vice Chairman of the Joint Chiefs of Staff. Admiral Owens is a director of Polycom, Inc. and Wipro Limited. Admiral Owens is the non-executive Chairman of the Board of Directors, and serves as Chair of the Nominating and Corporate Governance Committee.

Mr. Mullen is a Senior Advisor to the Chief Executive Officer of Deutsche World Net, the German parent company of DHL Express, an international express delivery company. Mr. Mullen served has Chief Executive Officer of DHL Express from September 2006 until February 2009, and as a member of the Management Board of Deutsche Post World Net from January 2005 until February 2009. Mr. Mullen served as Joint Chief Executive of DHL from 2005 to 2006, and as Chief Executive Officer of DHL Express Asia Pacific from 2002 to 2005, after having held various leadership positions with DHL and its predecessor companies beginning in 1990.

Mr. Meredith has been our Treasurer since May 2006. He served in this role at Sprint Nextel’s local telecommunications division from August 2005 until May 2006. He served as Vice President—Mergers and Acquisitions of Sprint from March 1997 to August 2005. During that time, Mr. Meredith was also responsible for Risk Management and Environmental Health and Safety for Sprint.

Mr. Brown retired as Chairman of the Board, Chief Executive Officer and President of AMC Entertainment Inc., a theatrical exhibition company in March 2009. He had been with AMC since 1990 and served in various leadership positions, including Chief Financial Officer. Mr. Brown serves as a member of the Audit and Nominating and Corporate Governance Committees and has been designated as an Audit Committee Financial Expert.

Mrs. Shern held various positions with Ernst & Young, LLP, from 1969 to 2001, including Vice Chairman and Global Director of Retail and Consumer Products. Mrs. Shern serves as a director of GameStop Corp., Royal Ahold NV and The Scotts Miracle-Gro Company. Mrs. Shern is the Chair of the Audit Committee, has been designated as an Audit Committee Financial Expert, and serves as a member of the Compensation Committee.
