Ms. Howard, 63, has been Chief of Staff, Office of the Mayor, City of Rochester, NY since January 2006. Prior to that time, she served as Executive Director of Wilson Commencement Park from 1990 to January 2006; Ms. Howard has been a director of the Company since 2002, and was a director of RGS Energy Group, Inc. prior to its merger with the Company. Ms. Howard serves on the Company s Corporate Responsibility Committee and Nominating and Corporate Governance Committee.

Tim D. Kelley is Vice President Energy Services of Connecticut Natural Gas Corporation, and The Southern Connecticut Gas Company. Previously, Mr. Kelley was President and Chief Executive Officer of Maine Natural Gas, headquartered in Augusta, Maine. He was appointed to that position in September 1998. Maine Natural Gas also is a subsidiary of Energy East. Mr. Kelley joined New York State Electric & Gas Corporation(NYSEG), a subsidiary of Energy East, in 1991 and served in a variety of positions including Manager of gas Pricing, Regulation and Strategy. Previous to joining NYSEG, he was employed by the Illinois Commerce Commission as an Economist and later as Director of the Commission’s FERC program. He has testified in numerous proceedings before the Illinois Commerce Commission, the New York Public Service Commission, the Maine Public Utilities Commission and the Federal Energy Regulatory Commission. He is a past Chairman of the American Gas Association’s Regulatory Committee. Mr. Kelley holds Bachelor of Science degrees in Economics and History, and a Masters in Economics, all from Illinois State University.

President of Winchester Optical Company, Elmira, NY. Past Chairman of Arnot-Ogden Medical Center, Elmira, NY. Past president of Horseheads Board of Education, Horseheads, NY. Former Trustee of the Pennsylvania College of Optometry, Philadelphia, PA; and of the Optometric Center of New York Foundation, New York, NY. Mr. Lynch, 69, has been President of Winchester Optical Company since 1965, and has been a director of the Company (including its predecessor company) since 1987. Mr. Lynch serves on the Company s Audit Committee (Chairperson) and Compensation and Management Succession Committee.

John T. Cardis , age 67. Mr. Cardis is a private investor. In May 2004, Mr. Cardis retired as National Managing Partner Global Strategic Clients of Deloitte & Touche USA LLP, an audit, tax, consulting and financial advisory service company. From 1991 through June 1999, Mr. Cardis served as Office Managing Partner, Los Angeles, for Deloitte & Touche. He was also a member of the executive committee and a member of the board of directors. He also is a director of Edwards Lifesciences Corporation, a cardiovascular disease treatment company. He has been a director of Avery Dennison Corporation since October 2004.

Ken Jasinski is the Chairman of Libra Strategies. He recently retired from his position as Executive Vice President and Chief Financial Officer of Energy East Corporation, a super-regional energy services and delivery company serving about 3 million customers throughout New York and New England. Ken is widely known as an expert on legal, rate-regulatory, deregulation and corporate finance structural issues affecting the electric and natural gas industries. During his 32-year professional career, Ken served in a variety of roles: practicing attorney; senior partner and chairman of a law firm in New York City; general counsel; head of operating subsidiaries; member of boards of directors; and holding company executive vice-president and chief-financial officer responsible for finance, treasury, accounting, ethics, legal, regulatory and strategic matters. He received his doctor of law degree in 1974 from the Georgetown University Law Center and his bachelor of science degree in 1970 from Georgetown University. Ken has represented electric and natural gas utilities before various state and federal agencies and courts on a broad range of issues. During the past 10 years, he was instrumental in the development and implementation of corporate strategic plans and the negotiation of the critical terms of many complex agreements involving corporate restructurings; mergers and acquisitions; performance-based ratemaking plans; energy marketing and retail access plans; coal and nuclear generating plant sales; and asset divestitures. He has worked successfully in hearing rooms, corporate board meetings and political arenas. Ken Jasinski brings this unique background, experience and proven success to Libra Strategies and its clients.

oger W. Kober has been a director of the Company since 1994. He was employed by Rochester Gas and Electric Corporation from 1965 until his retirement on January 1, 1998. From March 1996 until January 1, 1998, Mr. Kober served as Chairman and Chief Executive Officer of Rochester Gas and Electric Corporation. He is a Trustee Emeritas of Rochester Institute of Technology. Mr. Kober is a graduate of Clarkson College and holds a Masters Degree in Engineering from Rochester Institute of Technology.
