Energy Transfer Partners L.P.

Kelcy Warren is Chief Executive Officer and Chairman of the Board of Directors of Energy Transfer Partners, L. P. (ETP). Mr. Warren also serves as Chairman of the Board of Directors of the general partner of Energy Transfer Equity, L. P. (ETE). Prior to the combination of the operations of ETP and Heritage Propane in 2004, Mr. Warren co-founded the entities that acquired and operated the midstream assets that were contributed in the merger. From 1996 to 2000, Mr. Warren served as a Director of Crosstex Energy, Inc. and from 1993 to 1996, he served as President, Chief Operating Officer and a Director of Cornerstone Natural Gas, Inc. Mr. Warren has more than 25 years of business experience in the energy industry.

Ray C. Davis. Mr. Davis served as Co-Chairman of the Board of Directors of our General Partner, LE GP, LLC, effective upon the closing of our IPO until his retirement effective August 15, 2007. Mr. Davis also served as Co-Chief Executive Officer and Co-Chairman of the Board of Directors of the General Partner of ETP since the combination of the midstream and transportation operations of ETC OLP and the retail propane operations of Heritage in January 2004 until his retirement from these positions

Mr. Reynolds is a Director of Energy Transfer Partners and the President and Chief Financial Officer of Energy Transfer Equity, L.P. (“ETE”). Mr. McReynolds has served as the President of ETE since March 2005 and as a Director and the Chief Financial Officer of ETE since August 2005. Prior to becoming President of ETE, Mr. McReynolds was a partner with the international law firm of Hunton & Williams LLP for over 20 years. As a lawyer, he specialized in energy related finance, securities, partnerships, mergers and acquisitions, syndication and litigation matters, and served as an expert in numerous arbitration, litigation, and governmental proceedings, including as an expert in special projects for boards of directors of public companies. Mr. McReynolds has served as a Director of our General Partner since August 2004.

Mike Howard has served as President of Midstream Operations since October 2008. Mr. Howard joined Energy Transfer in June of 2005 as Chief Operating Officer of the Midstream Division. Prior to joining Energy Transfer, Mr. Howard spent two years with Crosstex Energy as Vice President of Engineering and Operations. From 1993 to 2003 he held various positions with Union Pacific Resources and its successor, DCP Midstream.

Jerry J. Langdon serves as the Chief Administrative & Compliance Officer. Prior to joining Energy Transfer in June 2007, Mr. Langdon was the Executive Vice President for Public and Regulatory Affairs and Chief Compliance Officer for Reliant Energy. Mr. Langdon also served for five years as Commissioner for the Federal Energy Regulatory Commission (FERC). A board member of the North American Energy Standards Board, and The Interstate Oil and Gas Compact Commission, Mr. Langdon also served as the Chairman of the National Petroleum Council' s 2003 study of North American natural gas markets – "Balancing Natural Gas Policy – Fueling the Demands of a Growing Economy." Beginning his career in 1975, Mr. Langdon has more than 30 years of business experience in the energy industry.

Martin Salinas has served as Chief Financial Officer of Energy Transfer Partners, L.P. since June 2008. Mr. Salinas joined the Partnership in 2004 to serve as Controller. Prior to joining ETP, Mr. Salinas spent 10 years at KPMG, ultimately serving as a Senior Audit Manager, where he worked with clients in the energy industry.

Mr. Grady joined Heritage in June 2006 following the acquisition of Titan Propane Partners where he served as COO since January 2005. Prior to joining Titan, Mr. Grady was CEO of Juice Bowl Products, Inc., a business started by his family, which he sold in 2004. From 1995 until 2003, Mr. Grady worked in senior operating positions at AmeriGas Propane; including its Chief Operating Officer and Senior Vice President from 2000 to 2003, and Vice President of Sales and Operations from 1995-2000. Before joining AmeriGas, Mr. Grady was Vice President of Corporate Development for UGI, Inc. He also spent five years as Director of Business Development for Campbell's Soup Company. Mr. Grady earned a B.A. in Marketing at Stetson University and a J.D. from Stetson College of Law. He is a founding council member of the Propane Education and Research Council and served two terms ending in 2003.

Mr. Sheffield joined Heritage Propane in 1997 as a Regional Vice President and has over 31 years of experience in the propane industry. Prior to starting with Heritage Propane Mr. Sheffield held various management positions in Georgia, Minnesota, Texas, Florida, and New England with Union Texas Petroleum, Texgas Corporation, and its successor Suburban Propane. Steve is presently an active member in the Propane Gas Association of New England, Vermont Fuel Dealers Association, and the New York Propane Gas Association. Mr. Sheffield holds a B.A. from the College of Wooster (Ohio) and an MBA from Syracuse University.

Mr. Darr has 17 years in the propane industry. Mr. Darr joined Heritage in 1991 and has held various positions including District Manager and Vice President and Regional Manager before his election to Vice President - Southern Operations, in July 2000. Prior to joining Heritage, Mr. Darr held various positions with Texgas Corporation, and its successor, Suburban Propane. He is currently serving as President of the Florida Propane Gas Association and is the Florida Director of the National Propane Gas Association. Mr. Darr received his undergraduate business degree from the University of Tennessee.

Thomas Mason has served as Vice President, General Counsel and Secretary for Energy Transfer since June 2008. Mr. Mason has served as General Counsel and Secretary of Energy Transfer since February 2007. Prior to joining Energy Transfer, Mr. Mason was a partner in the Houston office of Vinson & Elkins, where he worked with the Partnership for several years. Mr. Mason joined Vinson & Elkins as a partner in 2001 after a 19-year career at Andrews & Kurth, a Houston-based law firm. Mr. Mason has specialized in securities offerings and mergers and acquisitions for more than 25 years.

Mr. Stikeleather joined Heritage Propane in 2004 following the acquisition of MetroLift Propane which he co-founded in 1996. Over the past 34 years, Mr. Stikeleather has held various positions in the propane industry and prior to founding MetroLift Propane, was a Marketing Manager for Suburban Propane. He is a current member of the Engine Fuel Advisory Committee to the Propane Education & Research Council and past Supplier Director of the Florida Propane Gas Association.

Mr. Peterson joined Heritage Propane in 1998 serving as the Regional Vice President for retail operations in California and Nevada. Mr. Peterson’s career in the propane industry spans thirty-one years beginning in 1975 with Pargas and eight years with Suburban Propane as Regional Manager. Mr. Peterson has been active in the Western Propane Gas Association for over twenty years and served as the Chairman of the Board from 2005 to 2006.

Mr. Beatty joined Heritage Propane in August, 2007, as General Counsel. Prior to joining Heritage, Mr. Beatty spent more than fourteen years in private practice representing product manufacturers and energy companies in litigation and transactional matters throughout the United States. Mr. Beatty has been a member of the Propane Gas Defense Association for more than thirteen years. Mr. Beatty holds a bachelor’s degree from Valparaiso University and a Juris Doctor degree from Pepperdine University School of Law.

Mr. Glaske retired as Chairman and Chief Executive Officer of Blue Bird Corporation, the largest manufacturer of school buses with manufacturing plants in three countries. Prior to becoming President of Blue Bird in 1986, Mr. Glaske served as the President of the Marathon LeTourneau Company, a manufacturer of large off-road mining and material handling equipment and off-shore drilling rigs. He currently is a member of the Board of Directors of BorgWarner, Inc.; of Chicago, Illinois where he serves as Chair of the Governance Committee. In addition, Mr. Glaske serves on the Board of Directors of both Lincoln Educational Services in New Jersey, and Camcraft, Inc., in Illinois. Mr. Glaske has served as a Director of our General Partner since February 2004 and is Chairman of the Audit Committee.

Mr. Byrne is the principal of Byrne & Associates, LLC, an investment company based in Tulsa, Oklahoma. Prior to his retirement in 1992, Mr. Byrne was Vice President of Warren Petroleum Company, the gas liquids division of Chevron Corporation, serving in that capacity from 1982 to 1992. Mr. Byrne has served as a Director of our General Partner since 1992 and is a member of both the Audit Committee and the Compensation Committee. Mr. Byrne is a former President and Director of the National Propane Gas Association (“NPGA”).

Mr. Albin is co-Chief Executive Officer of NGP having been involved with the Natural Gas Partners investment funds since the inception of the initial fund in 1988. He is responsible for co-managing the investment portfolio of the NGP funds and investment sourcing and monitoring with Mr. Hersh. Prior to joining NGP, Mr. Albin was a partner in the Bass Investment Limited Partnership. Prior to that time, Mr. Albin was a member of the oil and gas group in the investment banking division of Goldman, Sachs & Co. Mr. Albin serves on the board of Energy Transfer Partners, L.P. and numerous private oil and gas companies. He graduated with a B.S. in Physics in 1981 and an M.B.A. in 1985, both from Stanford University.

Mr. Hersh is Chairman of our Board of Directors and a member of the Fund’s investment committee. He is Chief Executive Officer of NGP Energy Capital Management (“NGP”), having been involved with the Natural Gas Partners investment funds since the inception of the initial fund in 1988. Mr. Hersh leads NGP from its principal office in Irving, Texas, and is responsible for managing the investment portfolios of the NGP funds and their investment sourcing and monitoring. Prior to joining NGP, Mr. Hersh was employed by the energy group within Morgan Stanley & Company’s investment banking division, where he specialized in oil and natural gas financing and merger and acquisition transactions. Mr. Hersh serves on the board of directors of each of the general partners of Energy Transfer Partners, L.P., Energy Transfer Equity, L.P. and Eagle Rock Energy Partners, L.P. and on the boards of numerous private oil and natural gas companies. He graduated with a B.A., magna cum laude, from Princeton University in 1985 and an M.B.A. from Stanford University in 1989.

Mr. Grimm is one of the original founders of Rising Star Energy, L.L.C., a privately held upstream exploration and production company active in onshore continental United States, and has served as its President and Chief Executive Officer since 1995. Prior to the formation of Rising Star, Mr. Grimm was Vice President of Worldwide Exploration and Land for Placid Oil Company from 1990 to 1994. Prior to joining Placid Oil Company, Mr. Grimm was employed by Amoco Production Company for thirteen years where he held numerous positions throughout the exploration department in Houston, New Orleans and Chicago. Mr. Grimm has been an active member of the Independent Petroleum Association of America, the American Association of Professional Landmen, Dallas Producers Club, Houston Producers Forum, and Fort Worth Wildcatters. Mr. Grimm has served as a Director of our General Partner since December 2005.

Mr. Collins has been an independent oil and gas producer since 2000. Mr. Collins previously served as President of Collins & Ware Inc. from 1988 to 2000, when its assets were sold to Apache Corporation. From 1982 to 1988, Mr. Collins was President of Enron Oil and Gas Company, and its predecessors, HNG Oil Company and HNG Internorth Exploration Co. From 1969 to 1982, Mr. Collins served as Executive Vice President of American Quaser Petroleum Company. Mr. Collins is a Director and serves on the Finance Committee of Hanover Compression Company, and is a Director and the Chairman of the Governance Committee of Encore Acquisition Company. Mr. Collins has served as a Director of our General Partner since August 2004.
