Enterprise GP Holdings L.P.

Mr. Ordemann was elected Executive Vice President and Chief Operating Officer of our General Partner, effective August 1, 2007. Mr. Ordemann has served as a Senior Vice President of our General Partner since September 2001, and was previously elected Vice President of our General Partner in October 1999. Mr. Ordemann was a Vice President of Shell Midstream Enterprises, LLC from January 1997 to February 1998, and Vice President of Tejas Natural Gas Liquids, LLC from February 1998 to September 1999. Shell Midstream Enterprises and Tejas Natural Gas Liquids were both affiliates of Shell.

Lynn L. Bourdon, III, was elected a Senior Vice President of Enterprise Products GP on December 10, 2003. His primary responsibility since joining Enterprise Products Partners has been oversight of all NGL supply and marketing functions. Previously, Mr. Bourdon served as Senior Vice President and Chief Commercial Officer of Orion Refining Corporation from July 2001 through November 2003, and was a shareholder in En*Vantage, Inc., a business investment and energy services company serving the petrochemicals and energy industries, from September 1999 through July 2001. He also served as a Senior Vice President of PG&E Corporation for gas transmission commercial operations from August 1997 through August 1999.

Mr. Knesek was elected Senior Vice President, Controller and Principal Accounting Officer of our General Partner in February 2005, having served as Principal Accounting Officer and a Vice President of the General Partner since August 2000. Since 1990, Mr. Knesek, a Certified Public Accountant, has been the Controller and a Vice President of EPCO, Inc. and has served in the EPCO, Inc. organization since July 1981. Prior to that time, Mr. Knesek served five years with Union Texas Petroleum in their accounting department. Mr. Knesek graduated with a Bachelor of Business Administration degree in Accounting from Texas A&M University - Kingsville in 1975 and is a member of the AICPA and the Texas Society of Certified Public Accountants.

Dan L. Duncan was elected Chairman and a Director of EPE Holdings in August 2005, Chairman and a Director of Enterprise Products GP in April 1998 and Chairman and a Director of the general partner of the Operating Partnership in December 2003. Mr. Duncan has served as Chairman of EPCO since 1979.

Charles E. McMahen was elected a Director of EPE Holdings in August 2005. Mr. McMahen served as Vice Chairman of Compass Bank from March 1999 until December 2003 and served as Vice Chairman of Compass Bancshares from April 2001 until his retirement in December 2003. Mr. McMahen also served as Chairman and Chief Executive Officer of Compass Banks of Texas from March 1990 until March 1999. Mr. McMahen was named to the Board of Directors of Compass Bancshares, Inc. in 2001 and remains a director of Compass Bancshares, Inc. Mr. McMahen also serves as a Director, Chairman of the Audit and Ethics Committee and a member of the Human Resources and Compensation Committee of PNM Resources, Inc., a publicly traded energy holdings company. Mr. McMahen served on the Board of Directors and Executive Committee of the Greater Houston Partnership from 1995 to 2003. He also served as Chairman of the Board of Regents of the University of Houston from September 1998 to August 2000. Mr. McMahen serves as a member of EPE Holdings’ ACG Committee.

Edwin E. Smith. Mr. Smith was elected a Director of EPE Holdings in August 2005 and is a member of its ACG Committee. Mr. Smith has been a private investor since he retired from Allied Bank of Texas in 1989 after a 31-year career in banking. Mr. Smith serves as a Director of Encore Bank and previously served as a director of EPCO from 1987 until 1997.

Mr. Creel was elected President and Chief Executive Officer of our general partner in August 2007 and continues to serve as a director of our general partner. A certified public accountant with over 28 years of experience in the energy industry, Mr. Creel served as executive vice president and chief financial officer for the general partner, since 2001 and 2000, respectively, and was elected senior vice president when he joined us in 1999. Mr. Creel is also a Group Vice Chairman and Chief Financial Officer of EPCO and serves as a Director of the general partner of Duncan Energy Partners L.P. He was President, Chief Executive Officer and a director of EPE Holdings from August 2005 through August 2007. Mr. Creel is a member of Financial Executives International, the AICPA and the Texas Society of Certified Public Accountants.

O.S. ("Dub") Andras was elected a Director of EPE Holdings in February 2006 after serving as a non-executive Director of Enterprise Products GP upon his retirement in July 2005 from the position of Vice Chairman. Previously he served as Chief Executive Officer, Vice Chairman and Director of Enterprise Products GP from September 30, 2004 to February 11, 2005. Mr. Andras was elected President, Chief Executive Officer and a Director of Enterprise Products GP in April 1998 and served as President and Chief Executive Officer of EPCO, Inc. from 1996 to February 2001. He also served as Vice Chairman of the Board of EPCO, Inc.

Randa Duncan Williams. Ms. Williams was elected a Director of EPE Holdings in May 2007. Ms. Duncan is a daughter of Dan L. Duncan and a Director of EPCO. Prior to joining EPCO in 1994, Ms. Williams practiced law with the firms Butler & Binion and Brown, Sims, Wise & White. She currently serves on the boards of directors of Encore Bancshares and Encore Bank and also serves on the board of trustees for numerous charitable organizations.

Richard S. Snell was elected a director of the General Partner in January 2006. He also serves as a member of the AC Committee. Mr. Snell was an attorney with the Snell & Smith, P.C. law firm in Houston, Texas, from the founding of the firm in 1993 until May 2000. Since May 2000, he has been a partner with the firm of Thompson & Knight LLP in Houston, Texas, and is a certified public accountant. Mr. Snell served as a director of Enterprise Products GP from June 2000 until his resignation in February 2006.

Robert G. Phillips , 54, became a director in October 2007. In late 2007, Mr. Phillips formed Crestwood Midstream Partners L.P., which acquires and develops assets in the North American midstream sector in both onshore and offshore operations, including gas gathering and processing, storage and terminals. From February 2005 until June 2007, Mr. Phillips served as President and Chief Executive Officer of the general partner of Enterprise Products Partners L.P., a publicly traded North American provider of midstream energy services to producers and consumers of natural gas, natural gas liquids and crude oil, and from September 2004 until February 2005, he served as Chief Operating Officer of the general partner of Enterprise. From 1999 to 2004, Mr. Phillips served as Chief Executive Officer of the general partner of GulfTerra Energy Partners, L.P. prior to its acquisition by Enterprise, and, for more than five years prior to 2004, he held numerous management positions with El Paso Corporation and its affiliated companies, including President of El Paso Field Services Company.

President and Chief Executive Officer since January 2009. Executive Vice President and Chief Operating Officer of GlobalSantaFe Corporation, an international contract drilling company, from June 2005 until November 2007. Prior to that time Mr. Ralls served as Senior Vice President and CFO of GlobalSantaFe. He also serves on the Board of Complete Production Services.
