Ben Tseng, Ph.D., has been EpiCept's Chief Scientific Officer since January 2006. Prior to its merger with EpiCept in 2006, Dr. Tseng served as Vice President, Research of Maxim Pharmaceuticals, Inc. Dr. Tseng previously served as Vice President, Biology for Cytovia, Inc, which he joined in 1998. From 1995 to 1998 Dr. Tseng served as Director, Therapeutic Biology at Chugai Biopharmaceutical, Inc. and from 1989 to 1995 as Scientific Director, Biology at Genta Inc. Prior to joining Genta, Dr. Tseng was a tenured Associate Adjunct Professor in the Department of Medicine, faculty member of Physiology and Pharmacology Program, and Associate Member of the Cancer Center at the University of California, San Diego. Dr. Tseng received a B.A. in Mathematics from Brandeis University and a Ph.D. in Molecular Biophysics and Biochemistry from Yale University.

Robert W. Cook has been our Chief Financial Officer and Senior Vice President, Finance and Administration since April 2004. Prior to joining us, Mr. Cook was Vice President, Finance and Chief Financial Officer of Pharmos Corporation since January 1998 and became Executive Vice President of Pharmos in February 2001. From May 1995 until his appointment as Pharmos's Chief Financial Officer, he was a vice president in GE Capital's commercial finance subsidiary, based in New York. From 1977 until 1995, Mr. Cook held a variety of corporate finance and capital markets positions at The Chase Manhattan Bank, both in the United States and in several overseas locations. He was named a managing director of Chase and several of its affiliates in January 1986. Mr. Cook received his B.S. in International Finance from The American University, Washington, D.C.

Stephane Allard, M.D., age 50, a Director of the Company since June, 2003, has been nominated by the Board for election as a Director. Dr. Allard is our former Chief Executive Officer and President, and is a current Director. Dr. Allard assumed the positions of CEO and President of the Company in June, 2003 and resigned as CEO and President on September 7, 2004 in order to accept the position of Director of Medical Affairs for Accentia, Inc., our parent corporation. For more than the prior four years, Dr. Allard was involved in various positions with Synthelabo. He was Vice President of Medical Affairs with Sanofi-Synthelabo, a six billion dollar global pharmaceutical company manufacturing and marketing of products such as Plavix, Ambien, Avapro, Hyalgan and Primacor and was responsible for a staff of 120 people. Dr. Allard has served as President of Synthelabo, Inc. and Director of Research and Development at Lorex Pharmaceuticals. At Synthelabo, Dr. Allard was responsible for the start up of Synthelabo, Inc. (USA). He was also key in establishing Phase I through IV clinical activities for products such as Ambien, Kerlone and Alfuzosin, and managed and led the liaison with the FDA and other government agencies. Dr. Allard staffed and led the group s 11 person New Jersey operation and the 40 person (Clinical, Biostatistics, and Data Management) Chicago office. Dr. Allard served as European Clinical Director of Clinical Research from 1990 to 1993 for six divisions in Synthelabo France (Paris), Director of Clinical Development from 1987 to 1990, and as Associate Director of Clinical Development from 1985 to 1987. From 1978 to 1985, Dr. Allard was Associate Medical Director and Medical Advisor at Wyeth, a division of American Home Products. Dr. Allard received his medical doctorate from Rouen Medical College and has been awarded a Diplomate of CESAM (Certificate of Statistical Studies Applied to Medicine) Ph.D, as well as a Diplomate of Clinical Pharmacology and Pharmacokinetics (Pitie-Salpetriere Hosp.); Paris, France.
Dileep Bhagwat, Ph.D., M.B.A., has been our Senior Vice President of Pharmaceutical Development since February 2004 and has more than 20 years of pharmaceutical experience developing and commercializing various dosage forms. Prior to joining EpiCept in 2004, Dr. Bhagwat worked at Bradley Pharmaceuticals, as Vice President, Research and Development and Chief Scientific Officer. From November 1994 through September 1999, Dr. Bhagwat was employed at Penwest Pharmaceuticals in various capacities, including Vice President, Scientific Development and Regulatory Affairs and at Purdue Frederick Research Center as Assistant Director of Pharmaceutical Development. Dr. Bhagwat holds many U.S. and foreign patents and has presented and published on dosage form development and drug delivery. Dr. Bhagwat holds a B.S. in Pharmacy from Bombay University, an M.S. and Ph.D. in Industrial Pharmacy from St. John's University in New York and an M.B.A. in International Business from Pace University in New York.

Charles Darder has been our Corporate Controller since January 2007. Prior to joining us, Mr. Darder was the Director of Finance for Bradley Pharmaceuticals since May 2006. Prior to that Mr. Darder was with Memory Pharmaceuticals since May 2000 in various finance positions. From 1993 until 2000, Mr. Darder held a variety of corporate finance positions at The Prudential, Con Edison and The McGraw-Hill Companies. Mr. Darder received his B.S. in Public Accounting from Pace University, Pleasantville, NY and is a Certified Public Accountant.
Dov S. Elefant has been our Controller and Vice President of Finance and Administration since April 2004. Prior to being named our Controller and Vice President of Finance and Administration, Mr. Elefant was our Controller from December 1999 through September 2000, our Chief Financial Officer from October 2000 through January 2001 and our Chief Financial Officer and Vice President of Finance and Administration from January 2001 until April 2004. From October 1998 until December 1999, Mr. Elefant was Assistant Controller of Alteon Inc., a publicly traded biotechnology company. Prior to that, he served as Director of Accounting and Finance of Innapharma, Inc., a pharmaceutical contract research organization. Mr. Elefant received his B.S. in Accounting from the Sy Syms School of Business of Yeshiva University in New York.

Michael Chen joined EpiCept in May 2006 as Vice President for Global Business Development. Prior to joining us, Mr. Chen was the Executive Vice President for Sales and Marketing with the SpyGlass Group, a healthcare consulting firm. From 1995 to 2004, Mr. Chen was the Executive Director, Worldwide Licensing and Acquisitions for Johnson & Johnson. Prior to that position, Mr. Chen was the Vice President for Business Development with Synaptic Pharmaceutical Corporation from 1993 to 1995 and the Director - Business Development with CIBA-Geigy from 1985 to 1993. Mr. Chen received his MBA from Harvard Business School, an S.M. in chemical engineering from the Massachusetts Institute of Technology and a B.S. in chemical engineering (with distinction) from Cornell University.

Oliver Wiedemann, M.D., joined our subsidiary EpiCept GmbH in October 1998 as Director of Medical Affairs. Since July 1999, he has been the Managing Director at EpiCept GmbH. From January 1992 until joining us, he was the Department Head CNS/ Muscle of the Medical Department of Sanofi Winthrop, Munich. Prior to that, Dr. Widemann worked as a surgeon at the Olympiapark-Klinik, Munich. He is the author of several scientific publications in the pain area. Dr. Wiedemann received his Medical Doctorate Degree from the University of Munich.

Dr. Pasternak is a recognized authority on opioid receptor mechanisms. He has published a substantial body of literature on the subject and he is on the editorial boards of numerous Journals related to the subjects of neuropharmacology and pain. Dr. Pasternak is a Member and attending Neurologist at Memorial Sloan-Kettering Cancer Center and is a Professor of Neurology and Neuroscience, Pharmacology and Psychiatry at Cornell University Medical College and Graduate School of Medical Sciences.

Gerhard Waldheim has been a member of our board since July 2005. He received an MBA from Harvard Business School in 1974 and a JD from the Vienna University School of Law in 1972. After several years in the McKinsey banking practice and with Citibank in London, Mr. Waldheim subsequently held senior executive and executive board positions with Citibank Austria, RZB Bank Austria, BfG Bank in Germany and Credit Lyonnais in Switzerland; over the years, his banking focus covered lending, technology, controlling, investment banking and distressed equity. In 2000, he co-founded and built Petersen, Waldheim & Cie. GmbH, Frankfurt which focuses on private equity and venture capital fund management, investment banking and related financial advisory services. Biotech and pharma delivery systems are among the focal points of the funds managed by his firm.

Jack V. Talley has been our President, Chief Executive Officer and a Director since October 2001. Mr. Talley has more than 25 years of experience in the pharmaceutical industry. Prior to joining us, Mr. Talley was the Chief Executive Officer of Consensus Pharmaceuticals, a biotechnology drug discovery start-up company that developed a proprietary peptide-based combinatorial library screening process. Prior to joining Consensus, Mr. Talley led Penwest Ltd.'s efforts in its spin-off of its subsidiary Penwest Pharmaceuticals Co. in 1998 and served as President and Chief Operating Officer of Penwest Pharmaceuticals. Mr. Talley started his career at Sterling Drug Inc., where he was responsible for all U.S. marketing activities for prescription drugs, helped launch various new pharmaceutical products and participated in the 1988 acquisition of Sterling Drug by Eastman Kodak Co. Mr. Talley received his B.S. in Chemistry from the University of Connecticut and completed coursework towards an M.B.A. in Marketing from New York University, Graduate School of Business.

From 1999 to 2000, Mr. Yetter served as Chief Operating Officer at IMS Health, Inc. (information services for the healthcare industry). From 1997 to 1999, he served as President and Chief Executive Officer of Novartis Pharmaceuticals Corporation (pharmaceuticals). From 1994 to 1997, he served as President and Chief Executive Officer of Astra Merck, Inc. (pharmaceuticals). From 1991 to 1994, Mr. Yetter served as General Manager and then President of Astra Merck, a division of Merck & Co. Mr. Yetter serves on the board of directors of EpiCept Corporation (pharmaceuticals), Synvista Therapeutics, Inc. (pharmaceuticals) and InfuSystem Holdings, Inc. (infusion services).

Other recent appointments include John Bedard, who has assumed the responsibilities of Senior Vice President, Worldwide Regulatory Affairs. Bedard was formerly Vice President, FDA Liaison & Global Strategy for Bristol- Myers Squibb (BMS) for over ten years. During that time, he directed the regulatory activities for a number of medically important programs, including Pravachol, Monopril, Avapro, Glucovance, and Glucophage XR. Prior to joining BMS, Bedard was Group Director of Regulatory Affairs for Smith Kline & French Laboratories. Bedard has extensive experience working with the FDA, including ten FDA Advisory Panels for significant pharmaceutical product approvals. In addition, Todd Easley has joined the Company as Senior Director, Marketing. Easley was previously Senior Director, Global Marketing at sanofi-aventis, where his recent responsibilities included global marketing for Exubera(R). Prior to that, Easley was with Eli Lilly and Company, where he led sales, marketing and new product planning efforts for a number of endocrinology compounds, including diabetes products.
