We were founded in 1977 to provide Cardiac Safety solutions to evaluate the safety of new drugs. We provide technology and service solutions that enable the pharmaceutical, biotechnology and medical device industries to collect, interpret and distribute cardiac safety and clinical data more efficiently. We are a market leader in providing centralized electrocardiographic solutions (Cardiac Safety solutions) and a provider of technology solutions that streamline the clinical trials process by enabling our clients to evolve from traditional, paper-based methods to electronic processing using our EDC and ePRO products and solutions. Our license revenues consist of license fees for perpetual license sales and monthly and annual term license sales for our software products offered under our EDC solutions and ePRO solutions. Our services revenues consist of our services offered under our Cardiac Safety solutions, technology consulting and training services and software maintenance services. The technology consulting and training services and software maintenance services are related to our EDC and ePRO solutions. Our site support revenue consists of cardiac safety equipment rentals and sales along with related supplies and logistics management. Dr. McKelvey has served as ERT’s president and chief executive officer since June 2006. Prior to that, he was employed by PAREXEL International, one of the largest biopharmaceutical outsourcing organizations in the world, where he served as corporate senior vice president, clinical research services (CRS). He was responsible for the CRS Americas clinical operations in addition to being in charge of the worldwide data management, biostatistics and programming activities for CRS. Before his work at PAREXEL, Dr. McKelvey owned and operated his own firm, McKelvey LLC, which provided strategic consulting for organizations on e-business strategy, product development and marketing. He also spent six years with ICF Consulting as executive vice president and president - ICF Information Technology, Inc. In 1999, he participated in the management-led buyout of ICF Consulting from its then-parent ICF Kaiser International. Dr. McKelvey also served DRI/McGraw-Hill for 10 years in a variety of executive roles in the technology consulting and information management areas. He spent the first 10 years of his career with the U.S. Department of Commerce, where he served as forecast manager and senior economist in the Bureau of Economic Analysis. Dr. McKelvey holds an M.A. and Ph.D. from the Wharton School, University of Pennsylvania and an A.B. degree from Williams College.

David D. Gathman, who will not be standing for reelection at the annual meeting, has served as a director since 2003. The governance and nominating committee determined not to nominate him for a new term due to his recent relocation to Florida and the demands of his position as Chief Financial Officer of SunGard Public Sector Group, Inc. The governance and nominating committee concluded that the interests of the stockholders would be appropriately represented by a board consisting of eight members and, as a result, at the governance and nominating committee s recommendation, the board of directors decided at its meeting on December 9, 2008 not to nominate Mr. Gathman for a new term and to reduce the number of directors from nine to eight effective at the annual meeting.

Dr. Litwin is a board-certified cardiologist and internist and has served as ERT’s executive vice president and chief medical officer since December 2005. Beginning in 2000, he served as our senior vice president and chief medical officer. Previously, Dr. Litwin was employed by Executive Health Group, a leading international provider of physical examinations for corporate executives, from May 1993 to July 2000, most recently as executive vice president and chief operating officer. Dr. Litwin also served as a consultant for Schlumberger, Ltd. from March 1996 to July 2000 and for the American and National League of Professional Baseball Clubs from April 1995 to March 1999.

Dr. Faich has served on our board of directors since 2004. Dr. Faich has served as Senior Vice President of UBC Epidemiology and Risk Management since June 2005. He served as the President of Pharmaceutical Safety Assessments, a consulting firm, from 1994 until June 2005. Dr. Faich co-chaired the original CIOMS International Adverse Reaction Working Group and was a founding board member of the International Society of Pharmacoepidemiology. Dr. Faich is a Fellow of the American Colleges of Physicians, Preventive Medicine and Epidemiology and has authored over 90 scientific papers and received numerous awards.
