EXACT Sciences Corp.

Mr. Luber has served in numerous senior roles in both public and private companies including Vice President of Finance & Administration and legal counsel for Kaon Interactive Inc. and Assistant Vice President and Associate General Counsel at Concentra Managed Care, Inc., a publicly-traded provider of managed care services. Mr. Luber received his J.D. and M.B.A. from Suffolk University and has been with EXACT Sciences since November 2002.

Barry M. Berger, MD, joined EXACT Sciences in 1999. He received his MD from the University of Pennsylvania. Berger has had a faculty appointment at Harvard Medical School and has been affiliated staff in Pathology at Brigham and Women's Hospital since 1982. His post graduate training includes a post doctoral fellowship in immunology (University of Pennsylvania), medical internship at Boston University Hospital, and Residency/Chief Resident in Pathology at Brigham and Women's Hospital in Boston, MA. Berger is boarded in Anatomic, Clinical and Cytologic pathology. Earlier in his career, Berger spent 11 years as the Director of the Department of Pathology and Laboratory Medicine of Harvard Pilgrim Healthcare. He is the past chairman of the Advisory Committee on Clinical Laboratories for the Commonwealth of MA and currently serves on the Executive Committee of the Massachusetts Society of Pathologists, the Economics Committee of the American College of Medical Genetics, and the Health policy Task Group of the National Colorectal Cancer Roundtable.

Roger Kitterman joined Mi3 Venture Partners in 2003. Roger is an experienced venture capital investor and has guided multiple venture-backed companies through the earliest stages of development. He represents Mi3 on the Board of FlowMedica. Roger has over ten years of venture capital experience investing in healthcare companies. He has also been the startup CEO for three venture-backed companies. Prior to joining Mi3, he was a managing director at Lee Munder Venture Partners, the venture capital arm of Lee Munder Capital Group. He joined Lee Munder from Boston University's Community Technology Fund, where he made venture capital investments in the life sciences and developed spinouts from the university. Roger began his venture capital career in Eastern Europe with the Bulgarian-American Enterprise Fund, a $55 million venture capital fund. Roger's track record includes investments in AtheroGenics (NASDAQ: AGIX), Exact Sciences (NASDAQ: EXAS), NitroMed (NASDAQ: NTMD), and Sequenom (NASDAQ: SQNM). Roger received his M.B.A. (Finance and Business Development) from the Columbia School of Business and his B.A. from Harvard College.

Age 61 Director since 2002 Mr. Zenner is the retired President and Chief Executive Officer of Hoffmann-La Roche Inc., a pharmaceutical manufacturer. Mr. Zenner currently serves as the Interim Chief Executive Officer and a member of the Board of Directors of EXACT Sciences Corporation. He also is a director of ArQule, Inc., CuraGen Corporation, Geron Corporation, Sciele Pharma, Inc. and Xoma Ltd.

Edwin M. Kania, Jr. has served as a director of Aspect since 1995. Mr. Kania is a Senior Managing Director and Chairman of Flagship Ventures, a venture investment and entrepreneurship firm that he co-founded in 1999 with Noubar Afeyan, a veteran technology entrepreneur and executive. With over $550M in capital and 25 professionals, Flagship Ventures represents a partnership of related venture funds comprising OneLiberty Funds, AGTC Funds, and NewcoGen Group. Flagship's focus is creating, financing, and building leading information technology and life science ventures. Mr. Kania has 18 years of experience in the venture capital industry.

Katherine S. Napier, age 53, has served as a director of Alberto Culver since December 2006. She retired in 2002 from The Procter & Gamble Company as Vice President, after a 23 year career. She served as Senior Vice President, Marketing at McDonald’s Corporation from 2002 to 2006. Ms. Napier is also a director of Mentor Corporation.

Kay Napier is a former senior executive at The Procter & Gamble Company (P&G) and McDonald's Corporation, where she was instrumental in reaching health care and women's markets in the promotion of products at both organizations. She rose from assistant brand manager to vice president and general manager of Procter & Gamble's then $800 million North American pharmaceutical business, where she launched the osteoporosis drug Actonel. Then, as senior vice president of marketing at McDonalds in 2002, she led the development and execution of the company's strategy to reinvigorate its business with women and families with launches of McDonald's Premium Salads and other balanced lifestyle offerings. Napier now serves as a Director on the Board of the Alberto Culver Company, the Board of Exact Sciences and the Board of Catholic Health Care Partners. She holds an MBA from Xavier University and a BA from Georgetown University.

Lance Willsey, MD has served as a director since May 2000. Dr. Willsey was a founding partner of DCF Capital from July 1998 to April 2002. From July 1997 to July 1998, Dr. Willsey served on the Staff Department of Urologic Oncology at Dana Farber Cancer Institute at Harvard University School of Medicine. From July 1996 to July 1997, Dr. Willsey served on the Staff Department of Urology at Massachusetts General Hospital at Harvard University School of Medicine, where he was a urology resident from July 1992 to July 1996. Dr. Willsey is also a director of Exelixis, Inc. Dr. Willsey holds a BS in physiology from Michigan State University and an MS in biology and an MD from Wayne State University. Patrick J. Zenner has served as a director since March 2003. In January 2001, Mr. Zenner retired from Hoffmann-La Roche Inc., North America, the prescription drug unit of the Roche Group, a leading research-based health care enterprise, where he served as President and Chief Executive Officer since 1993, and was a member of the global Pharmaceutical Executive Committee. Mr. Zenner joined Hoffmann-La Roche Inc. as a sales representative in 1969 and subsequently held a series of marketing and business development posts that culminated in his being named Vice President and General Manager of Roche Laboratories in 1982. He later spent two and a half years with Roche Holding Ltd. as head of international pharmaceutical marketing, development and regulation. In 1988, Mr. Zenner was elected to Hoffmann-La Roche's Executive Committee and Board of Directors, and appointed Senior Vice President of the pharmaceutical division. Mr. Zenner also serves as a director of ArQule, Inc., Curagen Corporation, Dendrite International, Inc., First Horizon Pharmaceuticals Corporation, Genta Inc., Geron Corporation, Praecis Pharmaceuticals, Inc, West Pharmaceutical Services, Inc. and Xoma Ltd. Mr. Zenner holds a BS in business administration from Creighton University and an MBA from Fairleigh Dickinson University and is a Trustee of both universities.

Michael E. Singer , age 46, has served as a director since November 23, 2008. Mr. Singer is Chief Executive Officer of The BrainScope Company, Inc., a privately held neurotechnology company. He has held executive level positions at Revolution LLC, where he was instrumental in the recent merger of Revolution Health with Waterfront Media, at Microsoft Corporation and at Data Critical Corporation, where he was also a member of the Board of Directors and which was sold to General Electric. Previously, Mr. Singer worked as a Mergers & Acquisitions investment banker at New York-based Wolfensohn & Co. He has direct experience with a wide variety of strategic transactions. Mr. Singer holds a Ph.D. degree from the London School of Economics.

Rick Blume has been active in medically focused venture capital since the mid 1980's. Prior to forming CB Health Ventures he co-founded Capital Health Management and the American Healthcare Funds. Capital Health managed two funds, initiated by Mr. Blume, that focused on healthcare products and services that lower costs and/or improve outcomes. The 24 investments of the two recent funds, initiated in 1998 and 2001, resulted in 21 successful companies or products with an aggregate market capitalization of several billion dollars. Prior to starting the American Healthcare Funds, Mr. Blume was a Managing Director at PaineWebber- specializing in healthcare corporate finance and a member of Blyth Eastman Dillon's Healthcare Group. Mr. Blume has initiated, designed, and taught courses in Venture Capital at the Carroll School of Management at Boston College. He has actively mentored teams of graduate students from Babson College. Over his years in venture capital, Mr. Blume has served as an active investor and/or director to Applied BioTechnologies, Cytyc, Edentec, GeneOhm, IPC, Oculon, Quantum Medical Systems, Therion Biologics, TransMedics, US Servis, and Washington National. Mr. Blume completed undergraduate studies at the University of the Pacific and Stanford University and received his Master's degree from the Stanford University Graduate School of Business. He is active with the fund's investments in InPatient Consultants, Exact Sciences, Zonare, TransMedics, GeneOhm, and IntraPace.
