Dr. Izak Bencuya, was the Executive Vice President of Fairchild Semiconductor and the General Manager of the Functional Power Products Group in San Jose, California until the end of 2007. Dr. Bencuya has over 25 years of power semiconductor industry experience. He began his career at Yale University where he researched ultra thin oxide MOS devices. Dr. Bencuya later worked at GTE Laboratories and Siliconix in various research and management roles to develop and market leading edge Power Devices, such as MOSFETs, IGBTs and SITs. He joined Fairchild Semiconductor in 1994 to start the Power Products business which grew to be a $950M annual revenue business under his leadership providing Power Semiconductor solutions for all power supply applications in the computing, communications, industrial, consumer and automotive markets. Dr. Bencuya has a B.S. in Electrical Engineering from Bogazici University in Istanbul, Turkey, an M.S. and Ph.D. in Engineering and Applied Science from Yale University. He is a member of the IEEE Electron Device Society. Dr. Bencuya holds 22 patents and has published extensively in the electronics field.

Retired Army General John Watkins, Jr. entered the private sector in 1995 as CIO of the Pratt & Whitney division of United Technologies Corporation. In 2000, Mr. Watkins joined Fairchild Semiconductor as Senior Vice President, CIO, and member of the Fairchild Executive Committee. At Fairchild, Mr. Watkins lead the corporate initiative toward an Integrated Global Enterprise via eBusiness, including Advanced Supply Chain Management, CRM, web-based Order Management and Dynamic Pricing.

Mark S. Frey, executive vice president and chief financial officer, joined Fairchild in March of 2006. Frey was previously vice president, Finance and Corporate Controller for Lam Research Corporation, a major supplier of wafer fabrication equipment and services to the world's semiconductor industry. Prior experience included serving as vice president of Finance for Raychem Corporation's Electronics OEM Division. Earlier Frey held financial positions with Activision and Memorex.

Robin Goodwin is responsible for leading Fairchild's global planning, purchasing and logistics organizations. Mr. Goodwin joined Fairchild as part of its founding in 1997 as the Director of Finance. He transitioned to SCM in 2001 and assumed the leadership position in developing Fairchild's first global planning organization.

Kevin London became Vice President of Human Resources in July 2002. He has over 20 years experience in the semiconductor industry. Prior to assuming his current role, he held various Human Resource management positions at Fairchild's South Portland, Maine site during the previous sixteen years. Prior to that, Mr. London held a variety of management positions within Operations.

"Lanny" Ross, a member of its Board of Directors, has assumed a full-time role as interim Chief Operating Officer, in charge of internal operations. "Recently, we have asked him to increase his involvement as we have undertaken our company-wide cost cutting and restructuring efforts. Mr. Ross, who was elected to Broadcom's Board of Directors in 1995, served for many years as the President of Rockwell International's Telecommunications Group, which included the Newport Beach-based semiconductor operation. Under Mr. Ross's leadership, Rockwell's semiconductor revenue grew from $140 million to more than $1 billion and Rockwell became the worldwide leader in voiceband modems. He retired in 1995. Later Rockwell spun off its semiconductor operations to the public to launch Conexant Systems. Before joining Rockwell, Mr. Ross served as Vice President and General Manager of National Semiconductor's ASIC business, and prior to that was Vice President and General Manager of Fairchild Semiconductor's ASIC division. During 1978-1982, he was Vice President and General Manager of the Fairchild Semiconductor Test Systems division, a manufacturer of computer-aided semiconductor test systems. During 1994, he served as Chairman of the Board of the Semiconductor Industry Association, the premier trade association representing the U.S. microchip industry. Mr. Ross also served on the Board of Sematech as well as the Telecommunications Industry Association. Dr. Shihab Kuran has a Ph.D. in Electrical Engineering and is currently attending the world-renowned The General Manager Program at the Harvard Business School (through May 2006). He has over fifteen years of international semiconductor experience. Dr. Kuran has been featured and published in more than thirty-five publications. Currently, Dr. Kuran is a Vice President at Fairchild Semiconductor in South Portland, Maine, U.S.A., which is the world's leading supplier of components that optimize system power in automotive, communications, computing, consumer and industrial applications. He is in charge of development for the Analog Products Group (APG), leading one of the world's most experienced teams in this field. He is also responsible for managing the company's strategic direction for highly integrated devices for APG. Prior to joining Fairchild Semiconductor, Dr. Kuran was senior vice president of strategic marketing at Sipex Corporation, Milpitas, California. USA, where he was responsible for the strategy and restructuring of the company's focus on power management. Dr. Kuran began his career as a design engineer in advanced circuit design with ANADIGICS, Inc. of Warren, New Jersey, USA, and advanced into management roles in engineering, design technology, advanced development and business development.

Professor Magnanti became a director in September 2003. He has been a faculty member at the Massachusetts Institute of Technology since 1971 and Dean of Engineering since 1999. He was a founding co-director of MIT s Leaders for Manufacturing and Systems Design and Management Programs. His research and teaching interests focus on large-scale optimization, with applications to production planning and scheduling, transportation planning, facility location, logistics and communication systems design. He is a director of Emptoris and the Ford Design Institute.

Mr. Carinalli has served on our Board since October 1996. Mr. Carinalli has held numerous executive roles in technology companies various positions for National Semiconductor, Inc., a publicly traded company, most recently as Senior Vice President and Chief Technical Officer, and as a Board member of the Board of Directors of Fairchild Semiconductor. Mr. Carinalli also has served on the Boards of Directors of private companies.

Mr. McGarity was Senior Vice President of worldwide marketing and sales for Texas Instruments. During part of his 27 years with the company, Mr. McGarity lived and worked in France and England. Throughout his career Mr. McGarity managed the sales, applications, strategic marketing and distribution functions. He also managed the company's first pan-European semiconductor business structure and established and implemented a global distribution strategy that accounts for 20 percent of Texas Instrument's business. As Senior Vice President, McGarity was credited with having transformed TI from a technical-manufacturing organization into a global, marketing-focused enterprise. Beyond that, Mr. McGarity, was responsible for the global semiconductor group's information technology services and worldwide quality organization. Prior to his career with TI, Mr. McGarity was a lieutenant in the United States Navy, and piloted an A6 Aircraft in the Vietnam War. Mr. McGarity studied at Marquette University in Milwaukee, Wisconsin where he obtained a B.S. degree in Electrical Engineering as well as his Naval Reserve Officer Training.
