Frontier Oil Corp.

Mr. Jennings was named President & Chief Executive Officer on January 1, 2009 and was elected a Director of the Company in November 2008. He joined Frontier in June 2005 as Executive Vice President & Chief Financial Officer. Mr. Jennings came to Frontier with 18 years experience in finance and acquisitions with Cooper Cameron, Unimin Corporation, British Petroleum and U.S. Trust Company of New York. Prior to joining Frontier he was most recently Vice President & Treasurer at Cooper Cameron Corporation. He earned an MBA in finance and accounting from the University of Chicago and a B.A. in economics and government from Dartmouth College.

Mr. Aron was named Executive Vice President & Chief Financial Officer in January of 2009. Mr. Aron had previously been Vice President – Corporate Finance since May 2005. He joined Frontier in 2001 as Director – Investor Relations. Prior to joining Frontier, Mr. Aron was a lending officer for Amegy Bank. He earned an MBA from Rice University and a Bachelor of Journalism in public relations from the University of Texas at Austin.

Ms. Nancy J. Zupan was named Vice President & Chief Accounting Officer in January of 2009. She had previously been Vice President - Controller since 2001. Ms. Zupan has been controller for the Company's subsidiaries since Frontier acquired the Cheyenne Refinery in 1991 and held the same position for the prior owners since 1987. Prior to 1986, Ms. Zupan had been employed by Husky Oil Company, the predecessor owner of the Cheyenne Refinery, where she began her career in Cody, Wyoming in 1977 after graduating from the University of Wyoming. A native of Wyoming, Ms. Zupan works in the Denver office of Frontier Oil Corporation.

Mr. Paul Eisman joined the company in March of 2006 as Executive Vice President Refining and Marketing Operations. Mr. Eisman brings to Frontier an extensive background in petroleum refining, most recently as Vice President of Business Development for KBC Advanced Technologies, a UK-based consultancy to refining and process industries. Prior to joining KBC, Mr. Eisman worked for Valero Energy Corporation (and predecessor companies) for 24 years in senior management positions, most recently as Senior Vice President - Economics and Planning. Also at Valero, Mr. Eisman held the position of Senior Vice President of Refining and Commercial Operations, where he was generally responsible for the operations of Ultramar Diamond Shamrock's six petroleum refineries and associated crude oil supply and marketing functions. In addition, he served as Plant Manager at Valero's 175,000 bpd refinery in McKee, Texas. Mr. Eisman, 50, holds a Bachelor of Science degree in Chemical Engineering from Texas Tech University.

Mr. Gerald B. Faudel has been Vice President - Government Relations and Environmental Affairs since February 2000. Mr. Faudel had previously been Vice President-Safety and Environmental Affairs and had served in similar capacities since November 1993. From October 1991 through November 1993, Mr. Faudel was Director of Safety, Environmental and External Affairs of the refining subsidiaries of the Company. Mr. Faudel was employed by Frontier Oil Corporation from October 1989 through October 1991 as Director of Safety, Environmental and External Affairs. Prior to October 1989, Mr. Faudel was employed with Tosco Corporation's Avon Refinery as Manager of Hazardous Waste and Wastewater Program.

Mr. J. Currie Bechtol (67) has been Vice President-General Counsel of the Company since January 1998 and became Secretary of the Company in August 2000. Prior to joining the Company, Mr. Bechtol was in private legal practice for 28 years, most recently with Hutcheson & Grundy L.L.P. from 1984 until joining the Company.

Mr. Jon D. Galvin is Vice President of the Company. He was appointed to this position in September 1997. Mr. Galvin has been the Chief Financial Officer of the Company's Frontier refining subsidiaries since February 1992. Previously, he had spent 15 years with Arthur Andersen, ultimately as Audit Principal.

Mr. Leo J. Hoonakker was named Vice President - Treasurer in August of 2008. He has worked for Frontier and its predecessor companies for over 20 years and as Treasurer of Frontier Oil Corporation since 2005. Prior to joining Frontier, Mr. Hoonakker was a lending officer for First Interstate Bank (Wells Fargo). He has nearly 40 years of credit and cash management experience.

Mr. James H. Lee is Managing General Partner and principal owner of Lee, Hite & Wisda Ltd., an oil and gas consulting firm which he founded in 1984. From 1981 to 1984, Mr. Lee was a Principal with the oil and gas advisory firm of Schroder Energy Associates. He had prior experience in investment management, corporate finance and mergers and acquisitions at Cooper Industries Inc. and at White, Weld & Co. Incorporated. Mr. Lee is a member of the Board of Directors of Forest Oil Corporation, an oil and gas exploration and production company. Mr. Lee is being nominated to the Board of Directors of the Company for the first time to fill a vacancy.

Mr. Paul B. Loyd serves as Chairman and Chief Executive Officer of R&B Falcon Corporation, the world's largest offshore drilling company since December 1997. R&B Falcon Corporation was the result of the 1997 merger of Reading & Bates Corporation and Falcon Drilling, Inc. and the subsequent acquisition of Cliffs Drilling Company in late 1998. Mr. Loyd was the Chairman of the Board of Reading & Bates from April 1991 until December 1997. Mr. Loyd was Assistant to the president of Atwood Oceanics International, President of Griffin-Alexander Company from 1984 to 1987, Chief Executive Officer of Chiles-Alexander International, Inc. from 1987 to 1989, all of which are companies in the offshore drilling industry. He has served as consultant to the Government of Saudi Arabia, and was a founder and principal of Loyd & Associates, Inc., an investment company focusing on the energy industry. Mr. Loyd is a member of the Board of Directors of Carrizo Oil & Gas, Inc., an oil and gas exploration and production company. He was appointed a director of the Company in 1994.

Mr. T. Michael Dossey has been a management consultant located in Houston, Texas since April 2000. From April 2000 through September 2002, Mr. Dossey was a management consultant affiliated with the Adizes Institute of Santa Barbara, California. Prior to April 2000, Mr. Dossey spent 35 years with Shell Oil Company and its affiliates. Prior to his retirement from Shell, his last assignment with Shell was General Manager-Mergers and Acquisitions for Equilon Enterprises LLC, an alliance between the domestic downstream operations of Shell and Texaco. He also had been Vice President and Business Manager for Shell Deer Park Refining Company, which was a joint venture operation with Pemex. Previously, he spent several years in Saudi Arabia where he was General Operations Manager for Saudi Petrochemical Company, a joint venture between Shell and the Saudi Arabian government. Earlier in his career, Mr. Dossey’s positions included various business and operational positions in Shell’s refining and petrochemical operations domestically and in Europe. He was appointed a director of the Company in 2000.

Mr. James R. Gibbs joined the Company in February 1982 and has been President and Chief Operating Officer since January 1987. He assumed the additional position of Chief Executive Officer on April 1, 1992 and additionally became Chairman of the Board on April 29, 1999. Mr. Gibbs is a member of the Board of Directors of Smith International, Inc., an oil field service company; an advisory director of Frost National Bank in Houston; a director of Veritas DGC Inc., a seismic service company; and a director of Talon International, an oil and gas company. Mr. Gibbs was elected a director of the Company in 1985.

Mr. Michael E. Rose has been involved in private investments since retiring from Anadarko Petroleum Corporation, one of the nation’s largest independent oil and gas companies (“Anadarko”), in January 2004. Mr. Rose had been with Anadarko for 24 years prior to his retirement, and from August 2000 until January 2004 he served as Executive Vice President Finance & Chief Financial Officer of Anadarko. He also served as Senior Vice President Finance & Chief Financial Officer from January 1993 until August 2000 and prior to that time was Vice President Finance & Chief Financial Officer from January 1987 until January 1993. From May 1981 until January 1987 he was Vice President & Controller of Anadarko. From 1971 until joining Anadarko as their Chief Accountant in 1978, he held a variety of positions with Atlantic Richfield Company, an integrated oil company now owned by BP. He was appointed a director of the Company in 2005.

Douglas Y. Bech has served as a director of j2 Global since November 2000. From August 1988 through November 2000, he served as a director of eFax.com. Since August 1997, Mr. Bech has served as Chairman and Chief Executive Officer of Raintree Resorts International, Inc., a company that owns and operates luxury vacation ownership resorts. Mr. Bech was a founding partner of and, since August 1994, has served as a Managing Director of Raintree Capital, LLC, a merchant banking firm. Prior to his present position, Mr. Bech practiced law, most recently from October 1994 to October 1997 as a partner with Akin, Gump, Strauss, Hauer & Feld, L.L.P. Mr. Bech currently serves on the board of Frontier Oil Corporation.
