While serving in the EOP, Dr. Barthwell was an active member of the White House Task Force on Disadvantaged Youth and the White House Domestic Violence Working Group. She worked closely with the National Institute on Drug Abuse (NIDA) to define the scope of its Health Services Research portfolio. Dr. Barthwell received a Bachelor of Arts degree in Psychology from Wesleyan University and a Doctor of Medicine from the University of Michigan Medical School. Following post-graduate training at the University of Chicago and Northwestern University Medical Center, she began her practice in the Chicago area. Dr. Barthwell served as President of the Encounter Medical Group (EMG, an affiliate of EMGlobal), was a founding member of the Chicago Area AIDS Task Force, hosted a weekly local cable show on AIDS, and is a past president of the American Society of Addiction Medicine. In 2003, Dr. Barthwell received the Betty Ford Award, given by the Association for Medical Education and Research in Substance Abuse. In 1997, Dr. Barthwell's peers named her one of the "Best Doctors in America" in addiction medicine.

Maurice Hebert was appointed as Hythiam's Chief Financial Officer in November 2008. As Chief Financial Officer, he is responsible for overall financial management of the company, including its financial reporting, accounting, tax, treasury, and financial planning & budgeting functions and, additionally, human resources. Hebert has twenty-three years of experience as a financial executive, including fourteen years within the insurance and managed healthcare industries. From October 2006, until his appointment as Chief Financial Officer, Hebert served as Hythiam's Corporate Controller. Prior to joining Hythiam, he served as Corporate Controller and Principal Accounting Officer at Health Net, Inc., Senior Vice President, Corporate Controller and Principal Accounting Officer of Safeco Corporation and spent a decade with AIG SunAmerica, most recently as Vice President & Controller-Life Insurance Companies. Hebert also has extensive public company audit experience, having served in the audit practice at Coopers & Lybrand (now PriceWaterhouseCoopers).

Dr. Wesson is a psychiatrist with more than 35 years of experience in private practice and drug development focused upon medications for treating central nervous system (CNS) disorders. He has been the principal investigator for more than 20 clinical trials sponsored by the National Institute on Drug Abuse (NIDA) as well as various pharmaceutical companies. He has been extensively published, authoring or co-authoring more than 100 articles, book chapters, and books. Dr. Wesson is the medical advisor to the California Health Care Professional's Diversion Program, a member of the Executive Council of the California Society of Addiction Medicine, a member of the Research Advisory Panel of California, Editor of the California Society of Addiction Medicine News, a member of the Advisory Board of Journal of Psychoactive Drugs, and of the editorial board of Journal of Addictive Diseases.

Formerly the Director of Marketing, Development, and Membership of the National Association of Drug Court Professionals (NADCP), Rush was responsible for creating marketing strategy and comparative analysis studies to increase membership and revenue. He identified and managed the organization's key internal and external business partner relationships and marketed its products and services to vendors, internationally. Mr. Rush represented the NADCP at drug courts in an effort to inspire those with substance dependency problems to seek help. While at the NADCP, Mr. Rush worked closely with the Honorable Karen Freeman-Wilson who has been a key force in the promotion of drug courts throughout the world, and is the current Chief Executive Officer of the NADCP.

Terren Peizer founded Hythiam in 2003. Recognizing that advances in scientific research definitively established alcohol and drug addiction as physiological chronic diseases — not psychological, sociological or personality disorders — Peizer launched Hythiam.
Prior to forming Hythiam, Peizer founded and served as Chairman and CEO of Clearant, Inc., a biotechnology company that is a leader in pathogen inactivation solutions. Peizer has served as President and Vice Chairman of Hollis-Eden Pharmaceuticals and Chairman of the Board of Cray, Inc. — the supercomputing industry leader. He remains the largest beneficial shareholder of Cray, Inc. He also has been among the largest beneficial shareholders and senior executives at several other technology and biotechnology companies.
Peizer has assisted companies with assembling management teams, boards of directors and scientific advisory boards, and formulating business and financial strategies — including investor and public relations and capital formation. Peizer has a background in venture capital, mergers and acquisitions, investing, and corporate finance. He held senior executive positions with the investment banking firms Goldman Sachs, First Boston and Drexel Burnham Lambert.

Chris Hassan currently manages Hythiam’s marketing and sales operations. He has over 20 years of healthcare management experience in sales, marketing and strategic and product development positions, and he spent the last eight years focused on the treatment of substance abuse. Prior to joining Hythiam, he was responsible for the founding and development of the commercial team responsible for the U.S. launch of Suboxone™ for opiate dependence. He has also been involved with the development of novel products for the treatment of alcohol and opiate dependence at Drug Abuse Sciences, and has held management positions at Parke-Davis/Pfizer and Bayer pharmaceuticals.

The audit committee consists of three directors, Mr. Leslie F. Bell (chairman), Judge Karen Freeman-Wilson and Mr. Marc. G. Cummins. The board of directors has determined that each of Messrs. Bell and Cummins and Judge Freeman-Wilson are independent as defined by the applicable Nasdaq rules, meet the applicable requirements for audit committee members, including Rule 10A-3(b) under the Securities and Exchange Act of 1934, as amended, and Messrs. Bell and Cummins qualify as audit committee financial experts as defined by Item 401(h)(2) of Regulation S-K. The audit committee held four meetings during 2007. From 1995 to 2004, Mr. Donovan served as chief executive officer of AmeriGroup Texas, a multi-market, multi-product start-up HMO.
