Jeffrey Saper is Vice Chairman of Wilson Sonsini Goodrich & Rosati, the largest law firm in the Silicon Valley specializing in technology and emerging growth companies. He also serves as a member of the firm's Executive Management and Policy Committees. Jeff specializes in public and private financings of technology companies and corporate partnership transactions, as well as representation of leading investment banks and corporate issuers in connection with public offerings and mergers and acquisitions. He also has extensive expertise in cross-border corporate transactions, including the $640 million acquisition of Dr. Solomon (U.K.) by Network Associates; the initial public offering by Infosys Technologies, Ltd., the first U.S. offering by an Indian company; and the initial public offering by SCM Microsystems, which was one of the first simultaneous dual listings on NASDAQ and the Neuer Market. He has also represented two Israeli companies, Backweb Ltd. and ClickSoftware Technologies, in their initial U.S. public offerings, and currently serves as principal outside corporate counsel in the U.S. for Check Point Software, one of the largest publicly traded Israeli companies. Jeff has spoken on a variety of corporate securities issues, including the public offering process and analyst communications, as well as related disclosure and corporate governance obligations of publicly traded issuers. He serves as counsel to numerous public and private companies and venture capital funds. Jeff has been involved in more than 200 public offerings, and has served as company counsel with respect to such prominent initial public offerings as Apple, Infosys, Linear Technology, Micron Technology and Quantum.

Goodrich is currently the chief executive officer of a start-up business computer system management company in Sunnyvale, California. He has served as a member of Tessera's board of directors since August 2001. Goodrich is a former member of the law firm of Wilson Sonsini Goodrich & Rosati, where he practiced corporate law for 30 years until retiring in January 2002. Allison Berry Spinner is a partner at Wilson Sonsini Goodrich & Rosati, specializing in corporate and securities transactions and corporate governance matters for public and private companies, venture capital and private equity firms, and investment banks. Boris Feldman specializes in securities litigation and counseling. He has represented companies and their officers in more than 140 shareholder class actions and derivative suits throughout the United States (including a dozen financial restatement cases). He also has advised audit committees and boards of directors in internal investigations and handled SEC-enforcement proceedings around the country. Boris has been at Wilson Sonsini Goodrich & Rosati in Palo Alto since 1986. He is a member of its Executive Management Committee and chair of the firm's Policy Committee. Boris has served as a lawyer-representative to the Ninth Circuit Judicial Conference, a member of the Ninth Circuit's Lawyer Representative Coordinating Committee, and co-chair of the lawyer representatives to the Northern District of California. Boris is active in TechNet, and has served on the board of directors of the Silicon Valley Campaign for Legal Services. In 2006, he was named to the International Advisory Board of the Israel Securities Authority, the Israeli equivalent of the U.S. Securities and Exchange Commission. Boris also was a member of the six-person advisory committee established by the United States District Court for the Northern District of California to propose modifications of the Local Rules in light of the Private Securities Litigation Reform Act of 1995. Boris testified before the Senate Banking Committee on the Securities Litigation Uniform Standards Act. He was appointed to a blue ribbon panel to propose changes in the California shareholder laws and was a member of the Santa Clara County Superior Court Task Force on Complex Litigation. From 1985 to 1986, Boris served as special assistant to the legal adviser at the U.S. Department of State. Prior to that, he had spent four years as an associate at Arnold & Porter in Washington, D.C., and also served as a law clerk to Judge Abraham D. Sofaer in the United States District Court for the Southern District of New York from 1980 to 1981.

David Berger is a partner in the litigation department of Wilson Sonsini Goodrich & Rosati and a member of the firm's board of directors. He is a leader in the firm's corporate governance group and heads its mergers and acquisitions litigation practice. David's practice combines advising boards and shareholders on matters of corporate control, mergers and acquisitions, and corporate governance, as well as litigating such matters. David represented Hewlett-Packard in its successful proxy contest to acquire Compaq, and also tried the case of Walter Hewlett v. Hewlett-Packard Corp. in the Delaware Chancery Court, which resulted in a complete victory for Hewlett-Packard. David has been involved in a variety of the most prominent takeover transactions in recent years, including representing Genentech in response to Roche's merger proposal; the Special Committee of Freescale Semiconductor in one of the largest going-private transactions in the technology arena; Ameritrade in its merger with TD Waterhouse and, subsequently, TD Ameritrade in a variety of matters; Pixar in its merger with Walt Disney; and J.D. Edwards in its merger with PeopleSoft and in its response to Oracle's hostile tender offer. David also is counsel to a number of private equity firms, including Francisco Partners. Additionally, David serves as counsel to the New York Stock Exchange's Proxy Working Group, was a participant in the Securities and Exchange Commission's Proxy Roundtable, and has taught corporate governance, mergers and acquisitions, and related classes at such institutions as Harvard Law School, the Stanford Directors' College and Stanford Law School, UC Berkeley's Boalt Hall School of Law, and Duke's Director Education Institute. David also maintains an active pro bono and public service practice. He was one of the lead counsel in a case that successfully challenged the use of written tests to determine disability qualifications under the Americans with Disabilities Act, and also led a multi-week trial in federal court in San Francisco to end discrimination in county-contracting processes. David has served on the board of directors of the California Culinary Academy (NASDAQ:COOK), as well as the Smuin Ballet, Legal Aid Society-Employment Law Center of San Francisco, and the Legal Community Against Violence. David Hoffmeister is a partner at Wilson Sonsini Goodrich & Rosati, where he plays a major leadership role in the firm's drug and device regulatory and healthcare law practice within the life sciences practice. David brings more than 20 years of experience in drug and device regulatory and healthcare law to the firm. James (Jamie) DiBoise is a litigation partner at Wilson Sonsini Goodrich & Rosati, where he has practiced law since 1982. He currently is a member of the firm's Policy Committee. Jamie focuses on the entire range of problems facing technology companies. His expertise spans all phases of a commercial business trial practice and includes substantive legal expertise in varied types of commercial litigation involving the gamut of issues facing large multinational corporations. Jamie's intellectual property expertise extends to trade secrets, copyright, patent, and their accompanying antitrust issues. Jamie has tried and arbitrated cases in the Delaware Chancery Court and in federal district courts regarding mergers and acquisitions and accounting fraud issues.
