Board of Directors
Joseph R. Ficalora has been President and Chief Executive Officer and a Director of New York Community Bancorp, Inc. since its inception on July 20, 1993 and Chief Executive Officer and a Director of its primary subsidiaries, New York Community Bank and New York Commercial Bank, since January 1, 1994 and December 30, 2005, respectively. On January 1, 2007, Mr. Ficalora was appointed Chairman of the Company and the Banks, a position he held previously at the Company (from July 20, 1993) and at the Community Bank (from May 20, 1997) until July 31, 2001. In addition, Mr. Ficalora has served as President of the Commercial Bank since December 30, 2005.
Since 1965, when he joined the Bank, Mr. Ficalora has held increasingly responsible positions, crossing all lines of operations. Prior to his appointment to President and Chief Executive Officer in 1994, Mr. Ficalora had served as President and Chief Operating Officer of the Bank (beginning in October 1989) and previously as Executive Vice President, Comptroller, and Secretary.
A graduate of Pace University with a degree in business and finance, Mr. Ficalora provides leadership to several professional banking organizations. In addition to serving as a Director of the New York Bankers Association (NYBA) and as Chairman of its Metropolitan Area Division, Mr. Ficalora is also a member of the Board of Directors of the Federal Home Loan Bank of New York and of the Thrift Institutions Advisory Council of the Federal Reserve Board in Washington. In addition, he is a member of the Board of Directors of the RSI Retirement Trust and of Peter B. Cannell & Co., Inc., the investment advisory firm.
In addition, Mr. Ficalora’s industry affiliations include having served as Chairman of the Community Bankers Association of New York State, the forebear to NYBA, and as a member of the Thrift Institutions Advisory Panel of the Federal Reserve Bank of New York; Chairman of the New York Savings Bank Life Insurance Fund; President and Director of the MSB Fund and the Asset Management Fund Large Cap Equity Institutional Fund; and as a director of Computhrift Corporation.
Mr. Ficalora also is an active participant in community affairs. A member of the Board of Directors of the Queens Chamber of Commerce since 1990, Mr. Ficalora has served on its Executive Committee since April 1992. In addition, Mr. Ficalora is President of the Queens Library Foundation Board, and serves on the Boards of Directors of the Queens Borough Public Library, the New York Hall of Science, Flushing Cemetery, and the Advisory Council of the Queens Museum of Art. Until recently, Mr. Ficalora also served on the Board of Trustees of the Queens College Foundation, the Queens Museum of Art, and the Forest Park Trust.

John J. Pinto has been Executive Vice President and Chief Accounting Officer of the Company and its primary subsidiary, New York Community Bank, since April 5, 2005, and of New York Commercial Bank since its establishment on December 30, 2005. Mr. Pinto joined the Company on July 31, 2001 in connection with the Richmond County merger, and served as Senior Vice President, and more recently First Senior Vice President, in the Capital Markets Group.
Prior to joining the Company, Mr. Pinto served as Senior Vice President and General Auditor of Richmond County Financial Corp. and Richmond County Savings Bank. From 1997 to 1998, Mr. Pinto served as Director, Financial Reporting at American Express Bank, a multinational bank based in New York City. From 1993 to 1997, he was a member of the Financial Services Group of Ernst & Young, LLP, based in New York City, providing auditing and consulting services to financial institutions throughout the Northeast.
Mr. Pinto holds a Bachelors degree from Fairfield University. He is a certified public accountant and a member of the AICPA.
Mr. Pinto serves as Treasurer and a member of the Board of Directors of the Noble Maritime Collection in Staten Island.
Robert Wann has been Senior Executive Vice President and Chief Operating Officer of New York Community Bancorp, Inc. and its savings bank subsidiary, New York Community Bank, since October 31, 2003, and of its commercial bank subsidiary, New York Commercial Bank, since its inception on December 30, 2005. He became a Director of the Company and the Banks on January 1, 2008.
Prior to his appointment as Chief Operating Officer, Mr. Wann provided leadership for the Company’s and the Community Bank’s finance division. Joining the Company in 1982, Mr. Wann was appointed Controller in 1989 and subsequently named Chief Financial Officer in 1991. Mr. Wann is an original member of the management team that took the Company public in 1993 and later oversaw the Company’s growth through a series of acquisitions.
A graduate of Queens College, with a degree in accounting, Mr. Wann today serves on the Board of Trustees of the Queens College Foundation. In addition, he is a member of the Queens College Art Advisory Board. An active member in the community, Mr. Wann has previously served as president of the Flushing Central Lions Club in Queens and is a Director of a charitable foundation based in New York.

The Honorable Guy V. Molinari has been a Director of New York Community Bancorp, Inc. and its primary subsidiary, New York Community Bank, since January 1, 2004, and has served as a member of the Richmond County Savings Bank Divisional Board since January 1, 2002. In addition, he has served as a member of the Board of Directors of New York Commercial Bank since it was established on December 30, 2005. A well known leader on Staten Island, Mr. Molinari served as Richmond County Borough President from 1989 through 2001; as United States Congressman from 1981 to 1989; and as New York State Assemblyman from 1975 through 1980. In addition, he served as Chairman of the Federal Home Loan Bank of New York from 1990 to 1994.

Hanif “Wally” Dahya has been a Director of New York Community Bancorp, Inc. and its subsidiary banks, New York Community Bank and New York Commercial Bank, since March 2, 2007. A member of the Investment Committees of the Boards, Mr. Dahya is the Chief Executive Officer of The Y Company LLC, a private investment firm that focuses on emerging-market companies in the information, communications, retail, financial, and entertainment industries.
John M. Tsimbinos has been a Director of New York Community Bancorp, Inc. and New York Community Bank since October 31, 2003, having joined us in connection with our merger with Roslyn Bancorp, Inc. In addition, he has served as a member of the Board of Directors of New York Commercial Bank since it was established on December 30, 2005.
From 1999 until the merger with New York Community Bancorp, Mr. Tsimbinos served as Chairman of the Board of Roslyn Bancorp. He served as Vice Chairman of the Board of The Roslyn Savings Bank from 1999 until his retirement in July 2002.
Prior to Roslyn’s acquisition of TR Financial Corp. in February 1999, Mr. Tsimbinos was the Chairman of the Board and Chief Executive Officer of Roosevelt Savings Bank, a position he assumed in 1983. He also served as the Chairman of the Board and Chief Executive Officer of TR Financial Corp. since its inception in 1993.
Maureen E. Clancy has been a Director of New York Community Bancorp, Inc. and New York Community Bank since October 31, 2003, having joined the Board following the Company’s merger with Roslyn Bancorp and The Roslyn Savings Bank. In addition, she has served as a member of the Board of Directors of New York Commercial Bank since it was established on December 30, 2005. From 1993 through February 1999, when she joined the Roslyn Board of Directors, Ms. Clancy was a Director of TR Financial Corp. and Roosevelt Savings Bank. Ms. Clancy is Chief Financial Officer and owner of Clancy & Clancy Brokerage Ltd., an insurance agency.
Max L. Kupferberg has been a Director of New York Community Bancorp, Inc. since its inception in 1993 and of New York Community Bank since 1983. In addition, he has served as a member of the Board of Directors of New York Commercial Bank since it was established on December 30, 2005. A member of the Mortgage and Real Estate, Nominating, and Compensation Committees, and Chairman of the Audit Committee of the Board, Mr. Kupferberg is also Chairman of the Board of Kepco, Inc., a manufacturer of electrical equipment.
Robert S. Farrell joined the Board of Directors of New York Community Bancorp, Inc. and New York Community Bank in connection with the Company’s merger with Richmond County Financial Corp. on July 31, 2001 and serves on the Audit, Nominating, and Compensation Committees. In addition, he has served as a member of the Board of Directors of New York Commercial Bank since it was established on December 30, 2005. Mr. Farrell became a Director of Richmond County Financial Corp. in February 1998 and of Richmond County Savings Bank in February 1980. He is President of H.S. Farrell, Inc., a Staten Island-based building supply company.
Spiros J. Voutsinas joined the Board of Directors of New York Community Bancorp, Inc. and New York Community Bank on October 31, 2003, in connection with our merger with Roslyn Bancorp, Inc. In addition, he has served as a member of the Board of Directors of New York Commercial Bank since it was established on December 30, 2005, and was named President of the Atlantic Bank Division of New York Commercial Bank on April 28, 2006.
Prior to joining the Roslyn Bancorp Board in 1999, Mr. Voutsinas had been a Director of Roosevelt Savings Bank for seven years and a director of TR Financial Corp for six. In 1988, Mr. Voutsinas retired as an Executive Vice President and Director of Apple Bank for Savings with over 28 years experience in the banking industry. He is currently President of Omega Capital, Inc., a real estate development and syndication firm and a general partner of Omega Partners LP, a money management firm specializing in bank stocks.
