On June 1, 2005, shareholders of Financial Media Group, Inc. (formerly "Giant Jr. Investments Corp.", "Giant Jr."), ("Financial Media", "We" or "Company") who collectively owned a majority of the issued and outstanding shares of the Company consented in writing to terminate the Company's legal status as a Business Development Company ("BDC") as defined under Section 2(a) (48) of the Investment Company Act of 1940 (THE "1940 Act"), as amended. After the termination of such status, the Company has been governed by the rules and regulations promulgated under the Securities Act of 1933 and the Securities and Exchange Act of 1934. Financial Media had been a BDC only since September 2004 and is currently in the development stage. The Company had intended to provide equity and long-term debt financing to small and medium-size private companies in different industries throughout the United States. The Company was also intending to invest in small public companies that lack access to capital through conventional financing facilities.

Tom Hemingway became a director in November 2004. Mr. Hemingway is currently the Chairman and CEO of Redwood Investment Group, a position he has held since its inception in [year].
