Mr. Toub joined Alliance Capital in 1992 as a US Growth portfolio manager, served as director of Global Growth Research from 1998-2000, and was the Chief Executive Officer of AllianceBernstein Limited, a London-based wholly owned subsidiary of AllianceBernstein, from April 2005-June 2009. In this capacity he had local oversight of all our UK operations, including human resources, compliance, legal, infrastructure, facilities, finance and technology. He has been Head of Global/International Growth Equities since 1998 and Executive Vice President since 1999. Mr. Toub is the team leader of Global Large Cap Growth, International Large Cap Growth, International Research Growth, the co-team leader of Global Research Growth and a member of the Japan Growth Team. He serves on AllianceBernstein's Executive Committee, the group of senior professionals responsible for managing the firm, enacting key strategic initiatives and allocating resources. Prior to joining the firm in 1992, Mr. Toub was with Marcus, Schloss & Co, a private investment partnership, as an analyst and portfolio manager. At that time, he was a member of the New York Stock Exchange, where he was a specialist. Prior to Marcus, Schloss & Co., Mr. Toub worked at Bear Stearns in proprietary trading, and he was an Assistant Treasurer at J.P. Morgan. Mr. Lindenbaum joined Alliance Capital in 2003 as an analyst in the newly formed Research on Strategic Change group. Previously, he was a founding member of BDirect Capital, a company that created and distributed institutional-quality private equity fund-of-funds to accredited retail investors. Over the years, he also worked in investment banking at Wasserstein Perella & Co. and International Finance Corp. and in equity research at CS First Boston (Hong Kong). He has an MBA from The Wharton School at the University of Pennsylvania and a BA from the Woodrow Wilson School of Public & International Affairs at Princeton University.
Ms. Fay joined Bernstein in 1990 as a research analyst, following the airline, lodging, trucking and retail industries, and has been Executive Vice President and Chief Investment Officer-Global Value Equities of AllianceBernstein since 2003, overseeing all portfolio management and research activities relating to cross-border and non-US value investment portfolios and chairing the Global Value Investment Policy Group. She brings to this role a range of experience in helping establish AllianceBernstein as a global player in value investing, having first successfully launched Canadian Value as the firm's first single-market service focused outside the US. She went on to build the UK Value service, the firm's first portfolio management and research team based outside of the US. Until January 2006, Ms. Fay was Co-CIO European and UK Value Equities, a position she assumed with Bernstein. She also serves on AllianceBernstein's Management Executive Committee, the group of senior professionals responsible for managing the firm, enacting key strategic initiatives and allocating resources. Between 1997 and 1999, Ms. Fay was CIO Canadian Value Equities. Prior to that, she had been a senior portfolio manager of International Value Equities since 1995. Mr. Steyn is the Chief Operating Officer of AllianceBernstein L.P. He joined our firm in 1999 as the founding co-Chief Executive Officer of Bernstein's London office. As COO, the heads of Distribution Services (Private Clients, Retail & Sub-Advisory, and Institutions) and the heads of Fiduciary Services (IT, Operations, Finance, Risk Management, and Legal & Compliance) report to him. Prior to his appointment as COO he served as the Head of Distribution. He serves on the firm's Executive Committee, the group of senior professionals responsible for managing the firm, enacting key strategic initiatives and allocating resources. During the 20 years before joining AllianceBernstein he ran both fixed income and equity investment teams in the UK and USA. Mr. Steyn is the author of "Market Neutral: Engineering Return and Risk" which was published in 1998 by the CFA Institute and has been part of the CFA syllabus since. Mr. Steyn earned a law degree from Aberdeen University in 1979.
Mr. Peebles joined the firm in 1987 and is the Chief Investment Officer of AllianceBernstein Fixed Income. In this role he supervises all of the fixed income portfolio management and research teams globally. In addition, he is Chairman of the Interest Rates and Currencies Research Review team, the team responsible for setting interest-rate and currency policy for all fixed income portfolios. Mr. Peebles has held several leadership positions within the fixed income team, having served as Director of Global Fixed Income from 1997 to 2004, and then Co-Head of the Fixed Income group from 2004 until August 2008. Mr. Peebles also serves on AllianceBernstein's Management Executive Committee, a group of senior professionals responsible for managing the firm, enacting key strategic initiatives and allocating resources. John Mahedy was named Co-CIO - US Value equities in 2003. Previously, he served as director of research - US Value Equities, a position he held since 2001. Prior to that position, Mr. Mahedy was a senior research analyst in Bernstein's institutional research and brokerage unit, covering the domestic and international energy industry from 1995 to 2001 and the oil-services industry from 1988 to 1991. He also covered oil services briefly at Morgan Stanley for three years in the early 1990s. Mr. Mahedy was ranked among the top-five oil analysts in the Reuters and Greenwich Associates polls in 1999 and 2000, and he was named to the Institutional Investor All-America Research Team in 1993, 1994 and 1995. Larry Cohen has been Executive Vice President and Chief Technology Officer since joining AllianceBernstein in 2004. In this role, Larry is responsible for technology strategy, application development, and infrastructure throughout AllianceBernstein. Larry has worked in the Securities Industry for more than 21 years managing technology groups for investment management, trading & sales, private client services, clearing and financing services, brokerage operations, and technology infrastructure. His international experience includes three years living and working in Tokyo, regional management in Europe, and global management of IT applications and infrastructure. Prior to joining AllianceBernstein, Larry held IT executive positions at UBS, Goldman Sachs, Morgan Stanley, and Fidelity Investments. Also, he has served on the Technology Management Committee of the Securities Industry Association. Larry received a B.A. in Engineering and Applied Sciences from Harvard University.

Mr. Joseph joined AllianceBernstein in 1984 and held various financial positions until his election as Senior Vice President and Chief Financial Officer in 1994. He also serves on AllianceBernstein's Code of Ethics Oversight Committee and Internal Compliance Controls Committee. Before joining AllianceBernstein, Mr. Joseph was a Senior Audit Manager with Price Waterhouse for 13 years. Mr. Joseph received a B.A. from Gettysburg College and became a CPA in 1975. He is a member of the Financial Executives Institute, New York State Society of CPA's and serves on the Board of Trustees of Gettysburg College.
Mr. Masters joined our firm in 1991 as a research analyst covering banks, insurance companies, and other financial firms. Since June 2008, he has served as Chief Investment Officer of ABDC, our firm's team responsible for focusing on the needs of DC clients, including investment design and management. In February 2009, Mr. Masters took on the additional roles of heading the AllianceBernstein Blend Strategies team and serving as Chief Investment Officer for Style Blend, roles he previously held from 2002 through May 2008. Mr. Masters was named Executive Vice President of AllianceBernstein in 2004 and Senior Vice President in 2000. Between 1994 and 2002, Mr. Masters was Chief Investment Officer of Emerging Markets Value Equities, a service he took the lead in designing.
Mr. Phlegar is a member of AllianceBernstein's Executive Committee, a group of senior professionals responsible for managing the firm, enacting key strategic initiatives and allocating resources. Mr. Phlegar was a key contributor to the development and launch of All Asset Deep Value, and is an active part in the management of this service. He is also responsible for leading the development and management of new specialized fixed income services. Mr. Phlegar previously served as Co-Head of the Fixed Income division, overseeing the portfolio managers and research analysts responsible for all of AllianceBernstein's fixed income assets under management across institutional, private-client and mutual fund portfolios worldwide. Prior to becoming Co-Head, he was responsible for the firm's Core Fixed Income and Liquid Markets portfolios. In 2004, Mr. Phlegar became a member of the Treasury Borrowing Advisory Committee. The Committee's objective is to advise the Secretary of the Treasury and staff of the Treasury on the financing and management of the Federal debt. Prior to joining the firm in 1988, Mr. Phlegar was a high-grade portfolio manager and trader at Equitable Capital Management Corporation, responsible for managing portfolios for regulated insurance entities and offshore investment trusts. Laurence Cranch has been Executive Vice President and General Counsel since joining AllianceBernstein in 2004. Prior to joining AllianceBernstein, Mr. Cranch was a partner at Clifford Chance, an international law firm. At Clifford Chance, Mr. Cranch focused on representing financial institutions with respect to their securities and investment management activities. From 1973 until 2000, Mr. Cranch practiced law at Rogers & Wells where he was Managing Partner. Rogers & Wells merged with Clifford Chance in 2000. Ms. Shalett joined Bernstein in 1995 and has been Executive Vice President of AllianceBernstein since November 2002. In February 2007, she joined the management team of Alliance Growth Equities as the Global Research Director and was named Global Head of Growth Equities in January 2008. For the four years prior, Ms. Shalett was Chair and Chief Executive Officer of Sanford C. Bernstein LLC, the firm's institutional research brokerage business. During her tenure, the business enjoyed superior revenue growth driven by global expansion, electronification of our trading platforms and continued unparalleled recognition for research excellence. Mr. Rissman joined the firm as a quantitative analyst in 1989 and has been head of Alliance Growth Equities since 2004. He was a research analyst responsible for telecom from 1991 to 1994 and founded US Relative Value in 1995. He led the US Relative Value investment team from 1995 to June, 2004. Mr. Rissman also served as a member of the Executive committee from 2000 through 2007 and served as Director of Global Growth Research from 2000 through 2006. In 2007, Mr. Rissman was named CIO of Alliance Growth Equities. He received his B.A. and Ph.D. (anthropology) from the University of Pennsylvania and an M.B.A. from Columbia Business School. As Head of Global Wealth Management, Mr. Hexner oversees the firm's private client business worldwide. He also serves on AllianceBernstein's Management Executive Committee, a group of senior professionals responsible for managing the firm, enacting key strategic initiatives and allocating resources. He is a director of Sanford C. Bernstein & Co., LLC. Mr. Hexner joined Sanford C. Mr. Hults is a member of the Tax-Exempt Fixed Income Investment Policy Group. Prior to joining Alliance, Mr. Hults was an Associate in the Municipal Derivative Products Department at Merrill Lynch Capital Markets where he specialized in securities arbitrage. These transactions involved issuers, investors as well as proprietary trading, and utilized futures, options, interest rate swaps and other over-the-counter derivative structures. Mr. Hults received a BA in Economics from Williams College and an MBA in Finance from Columbia University School of Business. Location: New York
Darren Williams is responsible for economic analysis, interest-rate forecasting and bond-market strategy for Western Europe. His research focuses mainly on the euro area and the UK, though he also covers the Nordic countries. Darren has covered the major economies of Western Europe for almost 20 years. He has written extensively on the European Monetary Union (EMU) and the monetary policy decision-making process of Europe's central banks. He joined the firm in 2003, having previously held senior positions in the economics departments of several leading investment banks, including Citigroup, UBS and Merrill Lynch. Mr. Ogata is responsible for the economic and interest-rate analysis of Japan. Mr. Shah is a Vice President and an equity analyst in the Research on Strategic Change group at AllianceBernstein. Prior to joining the firm in 2005, Mr. Shah worked as a senior emerging markets analyst at the Federal Reserve Bank of New York, a strategy consultant at Booz Allen Hamilton, and an investment banker at Deutsche Bank. He has also held positions in global economic research at the International Monetary Fund and JP Morgan. Ms. Raskin oversees two research teams at AllianceBernstein. The Research on Strategic Change team focuses on identifying investable opportunities that arise from secular changes in the economy, environment, business organization or other broad themes that are powerful enough to affect corporate performance across multiple sectors. The Early Stage Growth team focuses on identifying investment opportunities that arise as a result of innovations in technologies or business models (or both) that have large market share potential. Ms. Raskin also manages the Firm's venture capital funds and is a member of the US Strategic Research Investment Strategy Committee. She joined the firm in 2000 as a US growth equity analyst covering networking and telecom equipment, a position she held until the fall of 2006. Prior to joining the firm, Ms. Raskin worked as a telecom analyst for Donaldson, Lufkin & Jenrette and as an investment banking associate for Lehman Brothers. She also worked at J.P. Morgan as a telecommunications products manager. Ms. Raskin graduated from the University of Pennsylvania with a BSE in Engineering.

Mr Bruten is responsible for managing our Australian fixed income research team and providing economic analysis and interest rate forecasts as part of our investment process. Mr. Carrel-Billiard was elected a Director of AllianceBernstein Corporation in July 2004. He is Senior Vice President-Business Support and Development of AXA in charge of AXA Financial, asset management activities, and reinsurance activities. He joined the AXA Group on June 1, 2004. Prior to joining AXA, Mr. Carrel-Billiard was a Partner of McKinsey and Company where he specialized in the financial services industry. During the 12 years he spent at McKinsey, Mr. Carrel-Billiard worked on a broad array of topics (including insurance, asset gathering and management, and corporate and investment banking) for the top management of international banks, insurance companies, including AXA, and other financial services groups. Mr. Carrel-Billiard also lead the European Retail Savings and Life Insurance practice, with focus on distribution issues for asset gathering products to retail investors. Ms. Boccella joined KLS in October 1995 after working at Sanford C. Bernstein & Co. as a Financial Advisor Associate advising high net worth individuals on investment matters. Prior to 1993, Ms. Boccella spent three years at Pollack Investments, Inc./PJP Partners, L.P., a long/short hedge fund focusing primarily on domestic equities. She received her Bachelor of Arts in Business Administration from Point Loma Nazarene College in 1990 and her Certificate in Taxation from Fordham University in 2003. Ms. Massad joined the firm in 2006 as Senior Vice President and Chief Talent Officer. In February 2009, she was elected Executive Vice President and Chief Talent Officer Talent Development and Human Resources. Previously, she was Chief Talent Officer and Chief Operating Officer at Marakon Associates, a strategy consulting firm. Before Marakon, Ms. Massad was a founding member of two start-ups Spencer Stuart Talent Network and a human resources outsourcing firm called EmployeeMatters. Prior to her start-ups, she spent eight years at The Boston Consulting Group, where she became a senior manager on the consulting staff and leader of the firm's recruiting, training and development programs. During her tenure at the Boston Consulting Group, Ms. Massad was also an adjunct professor at New York University's Leonard Stern School of Business, teaching graduate courses on "Competitive Analysis" and "The Fundamentals of Management Consulting." Ms. Massad earned her undergraduate degree at the University of Delaware and an M.B.A. at Harvard Business School.
Mr. Manley joined AllianceBernstein in 1984 and currently serves as Senior Vice President, Deputy General Counsel and Chief Compliance Officer. Mr. Manley served as Senior Vice President and Acting General Counsel from July 2003 through July 2004 and has been the firm's Chief Compliance Officer since 1988. From February 1998 through June 2003, he was Senior Vice President and Assistant General Counsel. From February 1992 through February 1998, he was Vice President and Counsel. Mr. Manley is the Chairman of AllianceBernstein's Internal Compliance Controls Committee, is a member of the firm's Code of Ethics Oversight Committee, and is member of various management-level committees, including Risk Oversight Committees, Commission Allocation Committees, Valuation Committees and Proxy Voting Committees. Mr. Manley also serves as the corporate secretary of all of the registered investment companies sponsored by AllianceBernstein. Mr. Manley received his J.D. from New York Law School in 1989 and was admitted to the Bar in the State of New York in 1990. He received his B.A. from St. John's University in 1984.

Mr. Duverne was elected a Director of AllianceBernstein Corporation in February 1996. He has been Chief Financial Officer of AXA, since May 2003 and from January 2000 to May 2003, served as Group Executive Vice President-Finance, Control and Strategy. Peter J. Tobin has served as a director of CIT since July 1, 2002, and previously from May 1984 to June 1, 2001. Mr. Tobin retired from St. John s University in May 2005, after serving as Special Assistant in Corporate Relations and Development to the President of St. John s University since September 2003, and previously as Dean of the Peter J. Tobin College of Business at St. John s University since August 1998. From March 1996 to December 1997, Mr. Tobin was Chief Financial Officer of The Chase Manhattan Corporation. From March 2003 until February 2005, Mr. Hicks, who chairs the Compensation Committee, served as chairman of the Board of Directors.
