FinishMaster Inc.

J.A. Lacy serves as President and Chief Executive Officer of FinishMaster, the leading independent distributor of automotive coatings and associated products in the U.S. The company employs over 1,700 associates in 29 states. FinishMaster's primary focus is the collision repair market. The company's aim is to gain share in this highly fragmented $2.5 billion industry via acquisition and by leveraging scale to achieve advantage over competitors. FinishMaster's value proposition is to provide superior distribution basics and value added information to its customers enabling them to increase productivity, manage material costs and increase profits. A native of Indianapolis, J.A. has lived and worked in Chicago, Vancouver and Hong Kong. He previously served as President of Tucker Rocky Canada and as Vice President of J. Walter Thompson. He is an avid runner and reader and enjoys volunteering at various local charities including serving as Chairman for the United Way's Tocqueville Society and as a Director for the YMCA, Central Indiana Women's Fund and United Way. J.A. also serves on the SKL Executive Leadership Services Advisory Board.

Bruce C. Carson. Mr. Carson has served as a member of our Board of Directors since January 2001. Since May 2001, Mr. Carson has served as the Vice President of Sales of FinishMaster, Inc., a privately held company specializing in the distribution of paints and products to the automotive and industrial refinishing industries. From 1987 until May 2001, Mr. Carson was President of Badger Paint Plus, Inc., a privately held distributor of paints and products, until Badger Paint Plus merger with FinnishMaster, Inc. Mr. Carson is co-owner of the Southern Minnesota Express Hockey Club, a member of the North American Hockey League. Mr. Carson is also the founder and President of the Athletic Performance Academy in Eden Prairie, Minnesota, a privately held athletic training facility that has specialized in sports specific training for elite athletes since August 2004.

Mr. Wechter is the founder, Managing Director and CEO of Monument Advisors, Inc. Monument Advisors (founded in 1996) manages a private equity fund and a mezzanine fund. These funds focus on management and leveraged buyouts of small to medium size niche manufacturing, service, and distribution firms throughout the United States, primarily in the Midwest. Prior to Monument, Mr. Wechter was a founder and served as President in the Office of the Chairman and Director of ADESA Corporation (NASDAQ: SOLD), the second largest auto auction chain in the world and the largest used car floor plan finance company in the U.S. ADESA, formerly a publicly traded company, was a wholly-owned subsidiary of Allete, Inc. (formally Minnesota Power, Inc.), a diversified company based in Duluth, Minnesota, and recently completed the spin-off of ADESA to the public (NYSE: KAR). Mr. Wechter also served on Allete's (NYSE: ALL) management committee. Prior to his role as President of ADESA, Mr. Wechter served as its Chief Financial Officer Mr. Wechter currently serves on the board and is the Vice Chairman of One Call Communications, Inc., and is the Chairman of HETSCO, Inc., Foam Rubber Products, LLC, Felins USA, Inc., Separators, Inc., and Instrument Development Corporation, Inc. Additionally, Mr. Wechter serves on the board of Finish Master, Inc. Mr. Wechter has served on many public company boards including Crossmann Communities, Inc. (NASDAQ:CROS) and Symons International Group (NASDAQ:SIGC), where he chaired their respective audit committees. Mr. Wechter currently serves on the board of the Ball State University School of Entrepreneurship, Indiana University's Johnson Center for Entrepreneurship and Innovation and the Midwest Entrepreneurship Education Association. Mr. Wechter is active in all portfolio companies of MCP1 and MCP2. Mr. Wechter has held NASD Series 7, 24, 27 and 63 securities licenses and is a CPA.

Michael L. Smith served as Executive Vice President and Chief Financial Officer (CFO) of Anthem, Inc., and its subsidiaries, Anthem Blue Cross and Blue Shield, from April 1999 until his retirement in January 2005. Anthem is one of the largest health benefits companies in the United States. From April 1996 to March 1998, he served as Chief Operating Officer and CFO of American Health Network, a former Anthem subsidiary that provided physician practice management services to 270 primary care practices in Indiana, Kentucky and Ohio. Prior to joining Anthem, Mr. Smith was Chairman, President and Chief Executive Officer of transportation company, Mayflower Group, Inc. He began his business career in the Indianapolis office of Arthur Andersen & Co. after graduating from DePauw University in 1970. Mr. Smith currently serves on the Boards of Directors for several businesses, including Emergency Medical Services Corporation, Inc., the nation's largest emergency medical services provider; Kite Realty Group Trust, a real estate investment trust, or REIT; Vectren Corporation, a progressive energy-holding company; and HH Gregg Appliances, Inc., one of the nation's leading retailers of home appliances and consumer electronics. He also serves on the Boards of Finishmaster, Inc., and its parent, Ldi Ltd., and Calumet Specialty Products Partners, L.P. Additionally, Mr. Smith serves on the Board of the Central Indiana Community Foundation and is a member of the Board of Trustees of DePauw University, the Indiana Commission for Higher Education and Lumina Foundation for Education. Mr. Smith is a founding member of Cardinal Equity Partners, a mid-market private equity investment fund headquartered in Indianapolis, Indiana.
