Philip A. Lloyd II, a Class I Director of FirstMerit, was of counsel with the law firm during 2007. Mr. Lloyd s compensation from Vorys, Sater, Seymour and Pease LLP is not directly or indirectly related to the legal fees generated by FirstMerit, and the Board of Directors does not believe that Mr. Lloyd has a direct or indirect material interest in the legal fees paid by the Company to the Vorys Firm. While the Board of Directors feels that Mr. Lloyd s relationship with the law firm does not interfere with his exercise of independent judgment in carrying out his responsibilities as a Director, the Board nonetheless concluded that Mr. Lloyd s relationship gave rise to an appearance of a potential conflict and, as such, determined that he should not be considered an independent Director.
