David Roberts, a FOCUS Regional Managing Director for the Western Region, is a seasoned executive, investor and transactions professional with more than 30 years experience founding, building and advising small to mid-size companies. A former attorney and buy-side securities analyst, Mr. Roberts also is a seasoned entrepreneur who has founded fifteen companies including two INC 500 firms. He has been a venture capital and hedge fund manager and has served as an officer and director of both public and private companies. During his career, he has been involved in more than $250 million of financings, either as a principal, director or as an advisor. Prior to founding his advisory firm, Focus Advisors, Mr. Roberts was the co-founder of Caliber Collision Centers and The Qestrel Companies, both INC 500 companies in 2001, 2002 and 2003. He served as a portfolio manager and securities analyst with Pacific Equity Management, a $300 million hedge fund from 1986 to 1992. In a prior career, he developed restaurants and led one of his companies to a successful public offering. In his activities at Focus Advisors, Mr. Roberts co-founded a $40 million SBIC, served as the West Coast advisor to a venture management company and consummated multiple mergers and acquisitions and financing transactions in insurance services, business process outsourcing, healthcare services and technology services. Mr. Roberts holds a JD from the Boalt Hall School of Law at UC Berkeley and an MBA from the Haas School of Business at UC Berkeley. He graduated from Duke University and served as an officer in the US Navy.

In the two years prior to joining FOCUS, Mr. Oganesoff led or co-led the formation of three companies in RFID services, supply chain and logistics solutions and advanced fiber product manufacturing. Mr. Oganesoff led the business strategy development, M&A transactions and capital raise activities as an investor and transition CEO in these ventures. Mr. Oganesoff served as President and CEO of TracerNet, an enterprise level wireless mobile asset management solutions provider for commercial fleets. There he developed the core business strategy and market positioning and raised $6.5 million in investment capital to take the company from minimal revenue and one customer to recognized market leadership within 18 months. As Chairman, CEO and Founder of Greenstone Industries, a consolidation of specialty fiber manufacturers and distributors with nine manufacturing facilities across North America, Mr. Oganesoff led the company's successful IPO in 1994, nine months after starting the company. Under his leadership Greenstone acquired seven companies during the first 15 months of operations. Mr. Oganesoff also led the negotiations to sell the company to Louisiana-Pacific Corporation (LP), a $2.5 billion forest products company, in 1997. The Company eventually grew to over $200 million in revenue as the market leader. Mr. Oganesoff also led LP's dot com strategy initiative during the internet boom in 1999 and 2000. Prior to this, Mr. Oganesoff served as President of Washington Resources Group, Inc. (WRG), a diversified holding company with a total of 22 operating subsidiaries and high-tech venture capital investments and a wholly-owned subsidiary of Washington Gas Light. During Mr. Oganesoff's tenure at WRG he led the sale of several subsidiaries, raised equity capital and debt, made new investments, conducted several turnarounds and created joint ventures. Mr. Oganesoff received a White House appointment to NASA as Special Assistant to the Associate Administrator, Office of Space Flight where he headed the NASA task force that developed NASA's first strategic marketing plan for Space Shuttle launch services. Mr. Oganesoff received his BS degree in Electrical Engineering from the University of Maryland. He earned his MBA degree from Southern Illinois University. He has also served on the board of many high-tech and emerging companies and industry associations.

Gerald Turner, a FOCUS Partner, has over twenty-five years of executive level experience in a wide range of sectors including building and roofing materials, diverse financial services, direct marketing, specialty retailing, commercial data base management, and consumer brand marketing and packaging. He is also an entrepreneur and angel investor. Prior to joining FOCUS, Mr. Turner co-founded and chaired Potomac Capital Group, LLP, a Northern Virginia based mergers and acquisitions firm. There he was active in both buy and sell-side mergers and acquisitions in a variety of industries. For over ten years he was particularly active in the MBO/MBI arena in the United Kingdom. During his tenure with Potomac Capital Group, Mr. Turner acted as a non-executive Vice Chairman of Blair Rubber Company, a tank and pipe linings manufacturer for hazardous environments and Hyload, Inc., manufacturer of continuous bituminous roofing. Potomac Capital acted on behalf of the buyer of both companies. Mr. Turner served as Vice President and Chief Financial Officer and then Executive Vice President, Tarmac America Inc., the $600 million division of UK based Tarmac PLC, a diversified building materials manufacturer, with plants in the Southeast, Texas and California. While with Tarmac, he opened and staffed the corporate office, raised over $100 million for the UK parent from divestitures, and mounted a successful anti-trust defense. For twenty years, Mr. Turner enjoyed a diverse career with the American Can Company. During that time the company changed via acquisition and divestiture from a manufacturer of packaging and paper to a financial services company, with stops along the way in specialty retailing, catalog merchandising and information services. As General Manager, Trade Access Group, he built and marketed a proprietary data base which is, even today, a grocery industry standard. A as Assistant to the Chairman and CEO, he repositioned Musicland, Inc. the nation's largest music retailer for growth. As Vice President and Sector General Auditor, Financial Services, he assured financial controls in a disparately sourced (via acquisition) multi-billion dollar financial services business. Since 2002 Mr. Turner has served on the Advisory Board of Asset Management Advisors, the wealth management arm of Suntrust Bank. Mr. Turner was educated at Oxford University, from which he holds a B.A. and M.A., at the Wharton Graduate School of Business, where he was a Thouron Scholar and at the Harvard Graduate School of Business, where he completed the Program for Management Development (executive education).

John Slater, a FOCUS Partner, is a M&A and capital raising veteran of twenty-three years. He has served clients in the Southern and Midwestern regions in a wide variety of industries including information technology, digital media, business services, manufacturing and distribution logistics. Over the past thirty years Mr. Slater has managed more than 200 M&A and capital raising transactions with aggregate values in excess of $3 billion. His experience includes mergers, acquisitions and divestitures, private placement of debt and equity, transition planning for family businesses, business valuation, going private transactions, industrial revenue bond financings and initial public offerings. Before joining FOCUS, Mr. Slater was Managing Principal of Slater & Company and its predecessor, Asset Services, LP, which he founded to provide investment banking services focused on middle market private and public companies. There he arranged the sale of Digital Safety Technologies, Inc., the leading provider of digital video technology to the public safety market to Integrian, Inc. During this time he also served as President of M&A International, an international network of independent merger and acquisition firms. Mr. Slater has helped shape the organization into a vibrant worldwide network with offices in thirty-seven cities in twenty-four countries. Mr. Slater championed the use of advanced communications technologies to create a real time, worldwide deal-making capability before anyone coined the term Intranet. John Slater graduated Princeton University with a degree in Economics in 1970 and the University of Virginia Law School in 1973. For nine years Mr. Slater had a successful law practice with Martin Tate Morrow & Marston, and Winchester Huggins where he concentrated on financial and securities law. In 1982, Mr. Slater embarked on a new career to provide capital raising and financial advisory services to the entrepreneurial community. He joined the corporate finance department at Morgan Keegan & Company as First Vice President, Corporate Finance and participated in a variety of capital raising projects, including both private placements and public offerings.

John T. Bradshaw has over 30 years experience in sales, marketing, manufacturing, finance and systems engineering with corporations specializing in technology-driven business products and services. Mr. Bradshaw has been a successful senior executive and manager in both large and small organizations, and has spent the last 15 years working with entrepreneurial companies. Prior to joining FOCUS, Mr. Bradshaw was the founder and former President and Chief Executive Officer of CareCall, Inc., a customer service outsourcing company that was sold to Array Services in 2003. Mr. Bradshaw founded CareCall in 1994 and grew the company from inception to over $15 million in sales with 500 employees. Growth was internally funded through profits allowing for a year-to-year compounded 80 percent growth rate. CareCall specialized in outbound and inbound customer service support for Fortune 1000 companies in the technology, telecommunications and healthcare industries. Prior to founding CareCall, Mr. Bradshaw was Senior Vice President of Marketing and Sales and Managing Director of International Operations for Online Computer Systems, a division of Reed Elsevier. Mr. Bradshaw was responsible for worldwide sales of electronic publishing services geared at migrating technical, scientific and healthcare publications to CD-ROM and electronic media.

Jonathan E. Wilfong, a FOCUS Partner, has over thirty years of broad industry experience in mergers and acquisitions, business development, and capital formation. Mr. Wilfong has participated in over 100 transactions, as intermediary or principal. In his capacity as business advisor he participated in numerous capital formation and merger and acquisition activities that aggregated in excess of $500 million. Prior to joining FOCUS, Mr. Wilfong was the Senior Managing Director of The March Group, LLC, a private investment banking firm headquartered in Nashville, Tennessee. While at March he completed a number of successful merger and acquisition engagements for middle market companies in the chemical, oilfield and wellhead supply, equipment manufacturing and healthcare industries. Some of the more significant transactions he participated in are Excelsior Medical, Superior Oilfield Supply, Solesbee's Equipment & Attachments and Gaines Industries. Mr. Wilfong was a founder and co-founder of two physician practice management companies, OrthAlliance and the Plastic Surgery Company. In founding these companies Mr. Wilfong raised over $5 million in Regulation D offerings and negotiated the acquisition of over 75 medical practices. Both of these companies completed successful initial public offerings with a combined market capitalization in excess of $125 at the IPO date. In addition, he was a co-founder of Ouch.com; an Internet-based medical supply superstore. During his tenure as president and chief executive officer, he recruited an experienced management team, managed the development of a web site that offered over 65,000 items and initiated and implemented strategic alliances with several significant medical associations including the Orthopaedic Foundation of America. In 1970, Mr. Wilfong joined Price Waterhouse, LLP and from 1983 through 1995 he served as a Partner with that firm, including 5 years as an office managing partner. During his tenure at Price Waterhouse Mr. Wilfong served as a business advisor to numerous clients, many with global operations, in a wide spectrum of industries including media, transportation, manufacturing and distribution, consumer packaging and products, healthcare and retail. Mr. Wilfong, a CPA, received his Bachelor of Science in Business Administration degree from East Carolina University and participated in the Executive Program at the Fuqua School of Business at Duke University.

Manan K Shah, a FOCUS Partner, has fifteen years of consulting, management and M&A advisory experience in the government contracting, information technology, telecom and manufacturing sectors. He has been a founder of two application software companies and also has significant experience in the areas of enterprise resource planning systems, supply chain management, business process & technology outsourcing and other technology areas. He serves FOCUS clients that include private equity groups, public and private organizations and emerging companies through Merger, Acquisitions and Capital raise services. Previously, as a Vice President of S3, a boutique investment-bank, Mr. Shah was involved in providing M&A advisory, valuation and corporate finance services to companies with revenues of $20M to $50M. Prior to that Mr. Shah founded two software companies where he raised over $12M in early stage investment capital between the two companies. As President & CEO of Creative Technology, a next generation broadband application company, he conceived, conceptualized and established the foundation and was responsible for all the disciplines. As Vice President of Digital Reach, a human asset management software company, he oversaw all operational aspects. As a Director at ERP Technologies, an ERP systems integrator, he was responsible for managing a consulting practice focusing on enterprise system implementations for mid-size customers. Here he provided a support to launching an India based consulting organization that was later successfully sold. Earlier Mr. Shah served as a Principal at Cap Gemini, a global systems integrator. Here he worked in a variety of management and technology consulting positions and provided instrumental support to new revenue establishment efforts. He provided sales, project management and consulting support for accounts such as Bridgestone/Firestone, Iams Pet Foods and Millennium Inorganic. He was involved in multi-million dollar engagements providing ERP and Supply Chain expertise, business process reengineering and application development. Mr. Shah has a Master's degree in Mechanical Engineering from University of Maryland and Bachelor's degree in Mechanical Engineering from Gujarat University, India. He also holds a variety of professional certifications.
Mr. Netter, a FOCUS Partner, brings more than 30 years of executive level financial experience from companies that span a variety of industries and markets, including manufacturing, distribution, software development, electronics, semiconductors, food medical devices and professional/consumer audio. Mr. Netter has worked with or consulted with companies internationally, including Europe, Japan, Australia and North America. He has had both line and staff experience including being CFO with four high growth companies. During Mr. Netter's tenure as CFO, he directed the execution of five M&A transactions across the US and Europe. Mr. Netter specializes in strategic planning, profit improvement, all aspects of M&A and capital formation. Prior to joining Focus, Mr. Netter was a Managing Director of Focus Advisors, providing investment banking and financial consulting services to a number of technology and commercial companies. Engagements included venture capital and private equity placements, M&A transactions, debt restructurings and placements including conventional, asset based and mezzanine debt as well as turn-around assistance. During the past seven years, Mr. Netter has helped raise over $110M in equity financings. Formerly, Mr. Netter served as CFO and board member of Octiv, Inc. an audio innovator with applications over the Internet and through consumer electronics. Prior to Octiv, he held CFO positions with Lexar Media (LEXR), a leader in flash memory applications for digital photography, FormFactor (FORM), a developer of advanced semiconductor wafer probe cards and AKG Acoustics, now part of Harman International Industries, Inc. (HAR), a publically held international manufacturer of world leading analog and digital audio products. Mr. Netter also held the position of General Manager of the Medical diagnostic product group of Macbeth, Inc., in Newburgh, NY, which was a wholly-owned subsidiary of Kollmorgen Corporation (a NYSE (KOL) manufacturer of optical instrumentation, motors, and printed circuit boards). Mr. Netter, a licensed CPA, received a BA in Accounting from Hofstra University of Hempstead, NY. Mr. Netter is located in the newly-opened Focus Enterprises office in San Francisco.

William S. Lear, a FOCUS Senior Advisor, Midwest Region, is responsible for the firm's business in Illinois, Wisconsin, Indiana, Michigan, Minnesota, Iowa and Missouri. Mr. Lear has more than thirty years experience in corporate finance, specializing in advising companies about how to better articulate their business strategy to the financial markets, identify sources of capital and structure and price private placement securities. Prior to joining FOCUS, for the last three years at Bridge Investment Corporation, Mr. Lear worked extensively with small- to medium-sized companies, helping them "find a voice" in a crowded and confusing financial market place. Successful mandates include advising on a $5 million rights offering for a bio-tech company and representing the 15 percent owner/employee of a service company in a multi-million dollar purchase of the founder's 85 percent interest. Previously, Mr. Lear was executive vice president and chief financial officer of BioSafe Medical Technologies, raising almost $20 million in capital which enabled the Company to become the world's only laboratory able to produce a platform of highly accurate diagnostics using micro blood samples self-collected at home or work. Mr. Lear also spent twenty years with the First National Bank of Chicago and, prior to that, five years in investment banking with Hornblower & Weeks: Hemphill, Noyes. Mr. Lear has an undergraduate degree from Yale, an MBA from Harvard Business School and served two years as an Officer in the Navy. He recently completed twelve years as a National Trustee with the Leukemia-Lymphoma Society and two years as Co-President of the Harvard Business School Club of Chicago. He is on the Boards of the Better Government Association and the Friends of Prentice, the woman's hospital at Northwestern Memorial.
