Mr. Goodman works with both group and individual clients in the areas of health, disability, and long term care insurance programs as well as group and individual retirement planning. At Benefit Design Consultants, Mr. Goodman is the lead consultant in long term care and is heavily involved with the company's retirement planning programs. In addition to being a licensed consultant, Mr. Goodman is a licensed registered representative with Franklin Financial Services Corporation and is a member of The National Association of Life Underwriters. A native of the Roanoke valley, Mr. Goodman has over twenty years of management and personnel experience, and has taught classes in financial planning. He has spent the last three years in the insurance and retirement consulting arena. A member and Deacon at Cave Spring Baptist Church, Mr. Goodman has been married for 26 years and has one daughter.

Martha B. Walker, a member of the Boards of Directors of Franklin Financial and F&M Trust, was a partner in the law firm of Barley Snyder, LLC until 2006. Barley Snyder, LLC has provided legal services to Franklin Financial and F&M Trust for many years and is expected to continue to do so in the future. In accordance with the terms of Franklin Financial s Corporate Governance Guidelines (a copy of which is posted on Franklin Financial s website at www.franklinfin.com), any transaction involving Franklin Financial or any direct or indirect subsidiary of Franklin Financial and an executive officer, a director, a nominee for election to the Board of Directors, or a five percent or greater shareholder (or a member of his or her immediate family or a company or other entity in which he or she has, directly or indirectly, a financial interest) must be submitted for review by the Audit Committee, except that any proposed loan to any such person or entity is submitted to the entire Board of Directors for review. It is the policy of the Audit Committee to carefully review any such proposed transaction and to grant a waiver of Franklin Financial s policy prohibiting transactions and relationships that may involve a conflict of interest only if the proposed transaction can be structured in such a way as to eliminate both any potential financial disadvantage to Franklin Financial and any appearance of impropriety.
