Dow Jones Description
Geneva Acquisition Corporation (AMEX:GAC.U) was formed for the purpose of merging with a successful operating company in the healthcare industry that would like to quickly and efficiently become public and benefit from our extensive experience in building highly successful public companies. Geneva is a Special Purpose Acquisition Corporation, a relatively new and innovative financial platform which enables a company to become public in a more flexible fashion than it might otherwise with a traditional Initial Public Offering ("IPO"). Today, owners with fundamentally solid growth companies who are ready to "take it to the next level" face a common dilemma: whether to undertake the laborious and risky pursuit of a traditional IPO; or whether simply to sell out for cash. In addition, owners generally cannot realize liquidity at the time of the IPO or even within the first year or two thereafter as IPO investors typically avoid offerings where management gives any appearance of "cashing out". Finally, being public in today's highly complex securities markets poses significant new and ongoing challenges including onerous regulatory compliance, attracting analysts and institutional investors, managing investor relations, and the complexities associated with issuing additional securities to finance growth or acquisitions. ...
