Dr. Nixon, an independent director as determined by the Genlyte Board under applicable NASDAQ Rules, was appointed to the Board of Directors at the December 2001 meeting of the Board of Directors and was first elected to the Board by a majority of the shareholders on April 25, 2002. Dr. Nixon is Associate Dean of the College of Business, University of Louisville, currently holds the Fischer Family Chair in Family Entrepreneurship, and is an Associate Professor of Management.
