The predecessor corporation of Geokinetics Inc. (?Geokinetics? or the ?Company?) was organized in 1969 under the laws of California. The Company was incorporated in Delaware in April 1980, and the California corporation was merged into the Company. During 1994, the Company acquired certain oil and gas properties from two independent oil and gas companies located in Houston, Texas. The Company divested its interests in its oil and gas properties during 1999. Since April 1997, the Company has repositioned itself from an oil and gas exploration and production company into a technologically-advanced provider of seismic acquisition and high-end seismic data processing services to the oil and gas industry. Through equipment purchases, strategic acquisitions and dispositions, and the completion of a series of private equity and debt financing transactions (summarized below), the Company now has the capacity to operate three seismic crews in the Rocky Mountain and Gulf Coast regions of the United States (?US?) and the ability to process seismic data collected throughout the world.

Mr. Dunn has served as a Vice President and the Chief Technology Officer of Geokinetics Inc. since August, 1997. On August 1, 1999, Mr. Dunn was appointed President of Geophysical Development Corporation, a wholly-owned subsidiary of Geokinetics where he remained until July 2003. Steven A. Webster has served as a director since May 2005. Mr. Webster has been President and Co-Managing Partner of Avista Capital Partners LP, a partnership focusing on private equity investments in energy, media, healthcare and other industries, since June 2005. Since 2000, he has been a consultant to Global Energy Partners, an affiliate of Credit Suisse First Boston LLC, which has specialized in private equity investments in the energy industry. From 2000 to June 2005, he served as Chairman of Global Energy Partners. From 1998 to 1999, he served as President and CEO of R&B Falcon Corporation, a marine contract drilling company. From 1988 through 1997, Mr. Webster was Chairman and CEO of Falcon Drilling Company Inc., a company he founded. Mr. Webster has been a financial intermediary since 1979 and an active investor since 1984 in the energy sector. William R. Ziegler is of counsel to Satterlee Stephens Burke & Burke LLP. He has practiced corporate, banking and securities law since 1968. Mr. Ziegler holds directorships in several corporations, including Sarvis Incorporated, Grey Wolf, Inc., Equinox Capital, Geokinetics Inc., Flotek, Inc. Somerset Energy Co., Vesta Corp. and La Crosse Milling Company. He specializes in financial, transactional and regulatory matters, including mergers, acquisitions and dispositions, commercial and industrial financing transactions, workouts and debt restructurings, and securities offerings. During his career, he has served as a principal outside counsel to Fleet Bank (New York Region), Mutual Benefit Life (Capital Markets Group), Empire Insurance Group, Macmillan, Inc., The United Corporation, Canadian International Power Company Ltd. and the Grumman Corporation Employee Investment Plan, which held the controlling block of that company's stock. Mr. Ziegler has served as regular counsel to property casualty and life insurance companies and has participated in the demutualization of a New York State insurer. He also represents public and private energy companies and energy service companies as their general counsel and in a variety of transactional and securities matters. He serves as Chairman of Vesta Corp. and Geokinetics and Vice Chairman of Grey Wolf, Inc. In the course of his practice, Mr. Ziegler has had in-depth experience with mergers and acquisitions of public and private corporations. He has advised corporate fiduciaries which were subject to hostile takeovers and in a variety of other circumstances, including proxy contests, insolvencies and corporate reorganizations. He has represented first-time issuers of publicly traded debt and equity securities and corporations which have issued such securities to finance capital expansion and in connection with acquisitions and reorganizations. Mr. Ziegler is admitted to practice in New York and before the United States Court of Appeals, Second Circuit.
