David Barrett is President and Chief Executive Officer of Hearst-Argyle Television, Inc., a New York Stock Exchange-listed company (NYSE: HTV). Prior to the August 1997 merger of Hearst Broadcasting and Argyle Television, Barrett was a Vice President of The Hearst Corporation and Deputy General Manager of Broadcasting, with operating oversight for the company’s television and radio stations, as well as its Boston-based production company. Barrett joined Hearst in 1984 as General Manager of its Baltimore radio stations, and subsequently became General Manager of WBAL-TV before relocating to New York in his corporate position in 1991. Barrett, a board member of Hearst-Argyle Television, Inc. and The Hearst Corporation, is also a trustee of the trust established under the will of William Randolph Hearst and a director of the William Randolph Hearst Foundation and The Hearst Foundation. He also serves on the boards of directors of Maximum Service Television, Inc. (MSTV), the Emma L. Bowen Foundation, the Broadcasters Foundation, the Television Operators Caucus (TOC), the National Association of Broadcasters (NAB) and the National Association of Broadcasters Education Foundation (NABEF). Barrett is a past Chairman of the Board of Governors for the ABC Television Affiliates Association and the Federal Communications Commission’s Media Security and Reliability Council (MSRC II), and has previously served on the boards of directors of the International Radio and Television Society (IRTS), the Advertising Council, and Internet Broadcasting Systems, Inc. In 2004 he was named Broadcasting & Cable magazine’s “Broadcaster of the Year.” In October of 2005 he was the recipient of The Media Institute’s American Horizon Award and was also inducted into the National Academy of Television Arts and Sciences Management Hall of Fame. Harry Hawks is executive vice president and chief financial officer of Hearst-Argyle Television. Hawks oversees all aspects of the Company's financial, accounting, tax, risk management, investor relations, administrative and compliance matters. In addition, he is actively engaged in various of the Company’s strategic initiatives including M&A, IT, digital media and minority investments. Hawks has been with the Company since the combination of Hearst Broadcasting and Argyle Television, Inc. in August 1997. He served in a similar capacity as a member of the founding management of Argyle Television, Inc. and its related entities from 1992. Prior to Argyle, Hawks was active in venture capital and merchant banking as co-founder of Cumberland Capital Corporation. Prior to Cumberland, Hawks also held various corporate finance positions with Thomson McKinnon Securities and Bank of Montreal. Hawks is a member of the National Association of Broadcasters, Financial Executives International, the Broadcast-Cable Financial Management Association, the National Association of Corporate Directors and the American Society of Corporate Secretaries. Frank Biancuzzo is a Senior Vice President/Group Head of Hearst-Argyle Television, Inc., a position to which he was appointed in 2007. With Philip Stolz, also a Hearst-Argyle Senior Vice President/Group Head, he shares management oversight of substantially all of the company’s 29 television stations. Previously, Biancuzzo served for five years as President and General Manager of WISN-TV, the Hearst-Argyle Television ABC station in Milwaukee. Since Biancuzzo assumed management of WISN-TV in 2002, the station has become America’s number one ABC Affiliate in primetime audience delivery for five consecutive years. It also has become one of the country’s most honored local news organizations with a prestigious International George Foster Peabody Award, and Edward R. Murrow and AP Best Newscast Awards. Before that, Biancuzzo was, for five years, Hearst-Argyle Television’s Vice President, Marketing & Promotion, overseeing the Hearst-Argyle stations’ audience promotion, positioning and branding, image development, research and local newscast development. He joined Hearst-Argyle predecessor Hearst Broadcasting, then an operating group of Hearst Corporation, as Director of Promotion & Marketing in 1995. Previously, Biancuzzo served for six years at Frank N. Magid Associates, most recently as vice president, marketing group research and consultation. Emerson Coleman has served as vice president, programming, for Hearst-Argyle Television, Inc. since 1999. Among the industry’s most highly regarded programming executives, Coleman oversees the Company’s program development and acquisitions. Before moving to Hearst-Argyle’s corporate headquarters, Coleman was vice president and director of broadcast operations at WBAL-TV, the Hearst-Argyle station in Baltimore, Maryland. Coleman, who began his career as a writer and filmmaker, has also worked at WBZ-TV, Boston, and at WJZ-TV, Baltimore, where he was executive producer of local programming. Marty Faubell is vice president, engineering for Hearst-Argyle Television, overseeing the engineering operations and staffs for the 29 TV stations. In this role, he has supervised the Hearst-Argyle stations’ adaptation of digital broadcast technology and their transfer from analog broadcasting to digital (DTV) television broadcasting and its premium application, high-definition digital television (HDTV). He also arranged for the use of dedicated satellite access for enhanced newsgathering and content-sharing between the Company’s stations, and developed and implemented a “sharecasting” framework serving various Hearst-Argyle stations. Faubell moved to the corporate headquarters of Hearst-Argyle as vice president in 1997. Previously, he was since 1987 the director of engineering for WTAE-TV, the Company’s Pittsburgh, PA, station, where he supervised the introduction of numerous technological advancements including robotic cameras, satellite newsgathering resources and digital editing equipment. Prior to joining Hearst-Argyle predecessor company Hearst Broadcasting at WTAE-TV, Faubell was assistant chief engineer at WPIX-TV in New York City. Before that, he was engineering maintenance supervisor at WRAL-TV, in Raleigh, NC, a highly respected broadcast TV innovator. A native of Cherry Hill, NJ, Faubell holds a bachelor of science degree in broadcast engineering and a master’s degree in broadcast management, both from Bob Jones University in Greenville, SC. A member of the Society of Broadcast Engineers and the Society of Motion Picture and TV Engineers, he does volunteer work with Habitat for Humanity.

Bob Marbut has been our Chief Executive Officer since January 2009. Previously, he served as Chairman of the Board and Co-Chief Executive Officer since our inception. From January 2001 to January 2003, Mr. Marbut served as the Chairman of Hearst-Argyle Television, Inc., a non-network owned television group, where he had served as its first Chairman and Co-Chief Executive Officer from August 1997 until January 2000. Prior to 1997, Mr. Marbut had been founder, Chairman and CEO of Argyle Television Holding from 1993 through March 1995, and then from, October 1994 through August 1997, was co-founder, Chairman and CEO of Argyle Television, Inc. (a separate television company). Mr. Marbut currently serves on the boards of directors of Hearst-Argyle Television, Tupperware Brands Corporation and Valero Energy Corporation. Caroline L. Williams has served as one of our Directors since 1994. From May 2001 to June 2005, Ms. Williams served as Chief Financial and Investment Officer of The Nathan Cummings Foundation. John G. Conomikes has served as one of our Directors since the consummation of the Hearst Transaction on August 29, 1997. From June 1999 to November 2002 Mr. Conomikes served as Senior Vice President of The Heart Corporation. Mr. Conomikes also served as our President and Co-Chief Executive Officer from August 1997 to June 1999. Prior to this time, he served as a Vice President of Hearst and the General Manager of Hearst’s broadcast group since March 1983. From January 1981 to March 1983, Mr. Conomikes served as Hearst’s General Manager of Television and from February 1970 to January 1981, served as Vice President and General Manager of WTAE in Pittsburgh, Pennsylvania. Mr. Conomikes joined Hearst in 1959 at WTAE where he served in various positions before assuming the Vice President and General Manager positions at the station. Mr. Conomikes is also a member of Hearst’s Board of Directors, a Trustee of the Trust established under the Will of William Randolph Hearst and a Director of both the William Randolph Hearst Foundation and The Hearst Foundation.

Ken J. Elkins has served as one of our Directors since the consummation of the merger of Pulitzer Publishing Company (“Pulitzer”) with and into the Company (the “Pulitzer Merger”) on March 18, 1999. Mr. Elkins currently serves as a Director of Pulitzer Inc., the successor entity to Pulitzer’s newspaper operations. Prior to the Pulitzer Merger, Mr. Elkins served as Senior Vice President—Broadcasting Operations and Director of Pulitzer and President and Chief Executive Officer of Pulitzer Broadcasting Company. In addition, he served as Vice President—Broadcast Operations from April 1984 through March 1986 and prior to that time served as a general manager of certain of Pulitzer’s television stations. Mr. Elkins was initially nominated by our Board of Directors and appointed to serve as a Director in 1999 in accordance with a Board Representation Agreement, dated May 25, 1998 (the “Board Representation Agreement”), by and among the Company, Hearst Broadcasting and Emily Rauh Pulitzer, Michael E. Pulitzer and David E. Moore (collectively, the “Pulitzer Parties”), pursuant to which we agreed to cause the nomination for election to our Board of Directors of two individuals designated by the Pulitzer Parties. The Board Representation Agreement is no longer in effect.
