Bruce A. Streeter has served as President and Chief Operating Officer of the Company since January 1997 and as Chief Executive Officer since 2006. He was elected as Director of the Company in 1997. He served as President of our predecessor’s Marine Division from November 1990 until he became President and Chief Operating Officer of the Company. Prior to November 1990, Mr. Streeter was with Offshore Logistics, Inc. for a period of twelve years serving in a number of capacities, including General Marine Division.

Edward A. Guthrie was elected Executive Vice President – Finance, Chief Financial Officer, Secretary and Treasurer of the Company in July 1999. Prior to that date, Mr. Guthrie served in a number of capacities with Cliffs Drilling Company (“Cliff”) and its former parent company for a period of 25 years, most recently serving as Vice President-Finance and Chief Financial Officer prior to Cliffs’ merger with R&B Falcon Corporation.

John E. (Gene) Leech was named Executive Vice President – Operations of the Company in February 2001 after having served as Vice President – Operations from January 1997. He served as Vice President of our predecessor’s Marine Division from its formation in November 1990 until he became Vice President – Operations of the Company. Prior to November 1990, Mr. Leech was with Offshore Logistics, Inc. for a period of fiteen years serving in a number of capacities, including Manager Domestic Operations and International Operations Manager.

David J. Butters is a Managing Director of Lehman Brothers Inc., an investment banking company, where he has been employed for more than the past five years. Mr. Butters is currently Chairman of the Board of Directors of GulfMark Offshore, Inc. (a provider of marine support and transportation services to companies involved in the exploration and production of oil and natural gas), a director of ACOL Tankers Ltd. (an oil tanker company) and a director of Grant Prideco, Inc. (a provider of drill pipe and other drill stem products). Mr. Butters is Deputy Chairman and Presiding Director of the Company s Board.

University of Manitoba (B.A. 1947); University of Ottawa (LL.B. 1992); called to Ontario Bar (1994); Canadian Army (1942-46); Department of External Affairs, Foreign Service Officer (1947-61); Economic Advisor, Canadian Imperial Bank of Commerce (1961-67); Deputy Secretary to Federal Cabinet (1967-71); Chairman, Canada Development Corporation (1971-73); Chairman, National Energy Board (1973-78); President, M.A. Crowe Consultants, Inc. (1978-89); Bencher of the Law Society of Upper Canada (1995-2003). Marshall Crowe practices primarily in the area of public law. He articled with Johnston & Buchan and joined the firm in 1992 following a long and distinguished career in the private sector and in the public service of Canada, where he served as Deputy Secretary to the Cabinet and as Chairman of the National Energy Board. Mr. Crowe achieved quick recognition in the legal profession by being elected a member of the governing body of the Ontario Bar in his first year of practice. Mr. Crowe acts as counsel to the firm. In 2002, Mr. Crowe was awarded the Law Society Medal by the Law Society of Upper Canada.

Mr. Bijur is the former Chairman of the Board and Chief Executive Officer of Texaco Inc., where he was employed since 1966. Mr. Bijur serves on the boards of a variety of companies and organizations, some of which include the National Petroleum Council, the Council on Foreign Relations, Middlebury College, and Mount Sinai New York University Medical Center. Mr. Bijur was born in New York City. He graduated with a Bachelor of Arts degree in political science from the University of Pittsburgh and earned a Masters of Business Administration degree in marketing from Columbia University.

Rex C. Ross was elected as a Director of the Company in March 2007 and is a member of the Governance & Nominating Committee. Mr. Ross also serves as a Director of Schlumberger Technology Corporation, the holding company for all Schlumberger Limited assets and entities in the United States. Prior to his executive retirement from Schlumberger Limited in May 2004, Mr. Ross held a number of executive management positions during his 11-year career with the company, including President of Schlumberger Oilfield Services North America, President, Schlumberger GeoQuest, and President of SchlumbergerSema North & South America. Mr. Ross was elected a Director of Enterprise Products Partners L.P. (a publicly traded oil and gas mid-stream services and marketing company) in October 2006 and is a member of its Audit, Conflicts and Governance Committee.

Robert T. O Connell , age 69, has been a director since 2004. Mr. O Connell is a business consultant focusing on strategic and business development matters. He has been a director of Gulfmark Offshore, Inc. since 2006. Residing in Boston, Massachusetts, he has been a board member of Commonwealth Corporation and a member of the Boston Finance Commission, two Massachusetts public service entities, since 2003. From 1997 to 2003, he served as a director of RWD Technologies, Inc. and as its Senior Vice President from August 1997 to July 2001 and its Chief Financial Officer from August 2000 to June 2001. Mr. O Connell served as Senior Vice President and Chief Staff Officer of EMC Corporation from 1995 to 1997. Between 1965 and 1994, Mr. O Connell held several positions in General Motors Corporation, including Chief Financial Officer of General Motors Corporation from 1988 to 1992 and Chairman and Chief Executive Officer of General Motors Acceptance Corporation from 1992 to 1994.

Sheldon S. Gordon is a member of the Compensation and Governance & Nominating Committees and Chairman of the Audit Committee. From May 1996 to present, he has been non-executive Chairman of Union Bancaire Privée International Holdings, Inc. Mr. Gordon is currently a director of Ametek, Inc. and Union Bancaire Privée. Mr. Gordon has served as a Director of the Company since 2001.
