HALO's philosophy is simple - buy good companies with an established client base and operate them to maximize customer satisfaction rather than chase new customers at the expense of existing ones. We strongly believe the only way to get new customers in a mature market is to ensure the clients you have today are happy. No magic formulas. No flux capacitors embedded in shiny sports cars traveling through space and time. Just old-fashioned business sense - build great products, sell them at a reasonable price, make sure they deliver value to the customer, be profitable. We believe many of the participants in the software industry have been slow to recognize the degree to which the industry has matured. As such, companies continue to pursue unachievable or unsustainable growth models that ultimately serve as a disservice to customers, employees and shareholders by creating failing businesses. Our strategy is to expand our portfolio of technology companies by acquiring and operating those that have established customers and reliable maintenance streams. We then focus all of the energy and resources of the company on satisfying the existing customer base.

Gordon O. Rapkin currently serves as president and CEO of Protegrity Corporation, Inc., an international data security software company, where he has been responsible for the establishing a comprehensive sales and marketing strategy to address large enterprise customers. David Skriloff is a managing director at Vision Capital Advisors, LLC, a position he has held since January 2006. Prior to Vision, Mr. Skriloff was a managing director at Duncan Capital, from January 2004 to December 2005. Before Duncan, Mr. Skriloff was EVP of Business Development for Millivision, Inc. from September 2001 to December 2003. The Company agreed to recommend that its shareholders approve such nomination at any stockholders' meeting for the election of directors or in connection with any written consent of stockholders of the election of directors. In connection with these agreements, Vision has nominated Mr. Skriloff to be elected as a director of the Company. Accordingly, the Company has nominated Mr. Skriloff to be elected by the stockholders at the annual meeting of stockholders of the Company to be held on December 6, 2006.

Takeshi Taniguchi , 35, has been interim Principal Accounting Officer for the Company since March 2005. Since July 2004 through the present, Mr. Taniguchi has served as Corporate Controller of Gupta, responsible for the overall financial management of Gupta. Mr. Taniguchi has worked at Gupta or its predecessors since 2000, serving as a senior financial analyst prior to his current position.
