Jay Flaherty is Chairman and Chief Executive Officer of HCP, Inc. (NYSE:HCP). Prior to joining HCP in October 2002, Jay enjoyed a nineteen-year career with Merrill Lynch & Co., serving in a variety of investment banking, capital markets and private equity functions in New York, London, and Los Angeles. His responsibilities at Merrill Lynch included managing the Global Health Care Group, where he created and led their health care franchise. Jay received a BBA in Accounting from the University of Notre Dame in 1979 and earned an MBA from the Graduate School of Management at the University of California, Los Angeles in 1983. From 1979 to 1981, Jay was a Certified Public Accountant in the Boston office of Ernst & Whinney. Currently he sits on the Board of Governors of the National Association of Real Estate Investment Trusts (NAREIT).
Under Ken Roath's direction, HCP has become a leader among health care REITs. He joined HCP at its inception in March 1985, as President and Chief Operating Officer, prior to becoming a public company. From 1988 until May 2003 he was HCP’s Chairman of the Board and Chief Executive Officer. In accordance with HCP’s management succession plan, announced in 2002 and implemented on May 7, 2003, he remains Chairman Emeritus of the Board. Before his affiliation with HCP, Ken spent 17 years with Pacific Holding Corporation of Los Angeles, serving in a variety of capacities including President, Director and Chief Operating Officer. From 1996 to 2002 Ken served on the Board of Directors of Arden Realty, Inc. (NYSE:ARI), and was a Director at Franchise Finance Corporation Of America from inception in 1994 until it was sold in 2001.
Ken is the recipient of the 2002 REIT Industry Leadership Award, presented by the National Association of Real Estate Investment Trusts to individuals who have earned a distinguished reputation within the REIT business community, and who have made a significant and lasting contribution to the real estate industry. He also was awarded an Outstanding REIT CEO Award by Realty Stock Review (2002), and the Ernst & Young Orange County Entrepreneur Of The Year Award in the category of Real Estate (2000). Twice he has been awarded The Wall Street Transcript's Bronze Award in the category of Chief Executives in Real Estate and Construction/Commercial Real Estate and REITs. He has also received Financial World's Chief Executive Officer of the Year Award in the Financial Mortgage category.
Ken is past Chairman of the National Association of Real Estate Investment Trusts. From 1996 to 1999 he served as Chairman of The Burnham Institute (formerly The La Jolla Cancer Research Center), one of the nation's 10 Basic Cancer Research Centers as designated by the National Institutes of Health. He is also a former Trustee of the Los Angeles Orthopedic Hospital.

Bill Cernius has practiced law with Latham & Watkins since 1985 and has been a resident attorney in each of the San Diego, Los Angeles, London and Orange County offices of the firm. Mr. Cernius has extensive mergers and acquisitions experience representing both sellers and buyers (both financial and strategic), including the $4.0 billion merger between Kimco Realty Corporation and Pan Pacific Retail Properties, Inc., the $2.9 billion merger between Health Care Property Investors, Inc. and American Health Properties, Inc., the $1.0 billion merger between British Telecommunications plc and Infonet Services Corporation, and the $680.0 million leveraged buy-out acquisition of Irvine Apartment Communities, Inc. by The Irvine Company. In addition, Mr. Cernius has participated in hostile acquisition situations including the defense of ARV Assisted Living, Inc. and the acquisition of JCC Holdings, Inc. He has handled numerous securities-related transactions of virtually all types and sizes, including the $1.2 billion initial public offering for Infonet Services Corporation, the $300.0 million initial public offering for Aames Investment Corporation, the $160.0 million Rule 144A common stock offering for NNN Realty Advisors, Inc., and the $53.0 million initial public offering by Sangamo BioSciences, Inc. and has represented both issuers and investment banks in these transactions. Mr. Cernius has considerable experience in advising private and public companies regarding the intricacies of the US federal and state securities laws and lectures often on related topics including, in particular, initial public offerings. Earlier in his career, Mr. Cernius spent two years as an investment banker with the firm of Morgan, Olmstead, Kennedy & Gardner, Incorporated where he focused on initial public offerings, venture capital financings and middle market mergers and acquisitions. While at Morgan, Olmstead, Mr. Cernius was in charge of the firm's venture capital fund. Mr. Cernius is a member of the Orange County and American Bar Associations.

David B. Henry was appointed President of the company in November 2008. Mr. Henry has assumed the principal leadership role for the execution of the company's overall business strategy. Mr. Fanning was President of Beverly Hospital Corporation, now Northeast Hospital Corporation, from 1980 until 2000. Mr. Fanning was President of Northeast Health Systems, Inc. since 1983 and has been President Emeritus of Northeast Health Systems, Inc. since 2000. From 2000 to 2003, he was a Principal of BBK Consulting, Southfield, Michigan, specializing in health care consulting and business revitalization. Since 2004, Mr. Fanning has been a Director of Speltz & Weis LLC, a firm specializing in interim management of financially challenged hospitals and health care systems. Mr. Fanning served as the Chief Operating Officer of Saint Vincent Catholic Medical Centers in New York City from April, 2004, when Speltz & Weiss was engaged by the hospital system after it experienced a $59 million loss in 2003, until December 2005. St. Vincent filed for Chapter 11 bankruptcy protection on July 5, 2005. Huron Consulting Group acquired Speltz & Weiss in May 2005. Mr. Fanning retired from Huron Consulting Group and Speltz & Weiss in December 2005. Mr. Fanning has been a member of the Massachusetts Health and Educational Facilities Authority since 1985 and Chairman of the Authority since 1993.
