Catalyst Health Solutions, Inc. is a full-service pharmacy benefit management, or PBM, company. We operate primarily under the brand name Catalyst Rx. Our clients include self-insured employers, including state and local governments; managed care organizations; unions; third-party administrators, referred to as TPAs; hospices; and individuals who contract with us to administer the prescription drug component of their overall health benefit programs. We provide our clients access to a contracted, non-exclusive national network of approximately 61,000 pharmacies. We provide our clients members with timely and accurate benefit adjudication, while controlling pharmacy spending trends through customized plan designs, clinical programs, physician orientation programs, and member education. We use an electronic point-of-sale system of eligibility verification and plan design information, and offer access to rebate arrangements for certain branded pharmaceuticals. When a member of one of our clients presents a prescription or health plan identification card to a retail pharmacist in our network, the system provides the pharmacist with access to online information regarding eligibility, patient history, health plan formulary listings, and contractual reimbursement rates. David Blair is Chief Executive Officer of Catalyst Health Solutions, Inc. (NASDAQ: CHSI), (formerly HealthExtras, Inc.). Hai Tran was named Catalyst Health Solution Inc.’s Chief Financial Officer in 2008. Nick Grujich joined Catalyst Health Solutions, Inc. (CHSI) in 2005 as Executive Vice President and Chief Operating Officer and is responsible for the strategic and operational leadership of the Company’s pharmacy benefits management operations, including Clinical Services, Client Services, Customer Service, Network Administration, and Mail Service Pharmacy. Since joining the Company, Mr. Grujich has focused on creating innovation, efficiency, and delivering superior service to clients and bringing new levels of transparency and flexible pricing to the industry. Mr. Grujich has led the successful establishment of various Centers of Excellence designed to support a collaborative effort to deliver local market focused management and prescription benefits and provide members with the highest level of service. Aligning the Company’s clinically-focused Centers of Excellence with the operations of CHSI’s clients has proven to be an effective strategy in improving member communications, formulary compliance and overall member satisfaction. Also in 2007, CHSI was awarded the first-ever Drug Therapy Management Accreditation by URAC, one of the nation's leading independent accrediting organizations; an effort directed under the leadership of Mr. Grujich. Prior to joining CHSI, Mr. Grujich was Vice President of Finance & Administration at Eckerd Health Services, Inc. (EHS), a division of Eckerd Corporation, where he held a key leadership role in various facets of the organization. Prior to EHS, Mr. Grujich was Director of Finance at Penn Group Medical Associates, a division of Coventry Health Care, Inc. Mr. Grujich holds a B.S. in Business Administration and Management, Summa Cum Laude, from LaRoche College and is a Certified Public Accountant.

Thomas L. Blair (Director since 1999) is the founder of HealthExtras and its predecessors. Mr. Blair founded United Payors & United Providers, Inc. in 1994, a publicly traded company, and served as its Chairman and Chief Executive Officer or Co-Chief Executive Officer until it was acquired in 2000. Bruce Metge was recruited to join Catalyst Health Solutions, Inc. as General Counsel and Corporate Secretary in 2008. At Mintz Levin, Mr. Metge represented a wide range of companies in various industries including telecommunications, technology, biotechnology, consumer products, and venture capital in complex business transactions and antitrust matters, ultimately focusing on public company compliance matters and technology sourcing agreements. An Illinois native, Mr. Metge holds a B.A. in Public Policy from Duke University, Magna Cum Laude, a J.D. from the Northwestern University School of Law, and is a nationally ranked tri-athlete.

William E. Brock has served as a director since 2006. He is chairman of The Brock Offices, a firm specializing in international trade, investment and human resources which he founded in 1988.
