Helix Energy Solutions Group Inc.

Mr. Kratz is President and Chief Executive Officer of Helix Energy Solutions Group, Inc. He was named Executive Chairman in October 2006 and served in that capacity until February 2008 when he resumed the position of President and Chief Executive Officer. He was appointed Chairman in May 1998 and served as the Company's Chief Executive Officer since April 1997 until October 2006. Mr. Kratz served as President from 1993 until February 1999, and has served as a Director since 1990. He served as Chief Operating Officer from 1990 through 1997. Mr. Kratz joined Cal Dive International, Inc. (now known as Helix) in 1984 and held various offshore positions, including saturation (SAT) diving supervisor, and management responsibility for client relations, marketing and estimating. From 1982 to 1983, Mr. Kratz was the owner of an independent marine construction company operating in the Bay of Campeche. Prior to 1982, he was a superintendent for Santa Fe and various international diving companies, and a diver in the North Sea. Mr. Kratz is also a Director of Cal Dive International, Inc. Mr. Kratz has a Bachelor of Science degree from State University of New York.

Lloyd A. Hajdik joined the Company in December 2003 as Vice President Corporate Controller. Mr. Hajdik was named Chief Accounting Officer in February 2004. In November 2008, Mr. Hajdik was named Senior Vice President Finance in addition to his role as Chief Accounting Officer. Prior to joining Helix, Mr. Hajdik served in a variety of accounting and finance-related roles of increasing responsibility with Houston-based companies, including NL Industries, Inc., Compaq Computer Corporation (now Hewlett Packard), Halliburton's Baroid Drilling Fluids and Zonal Isolation product service lines, Cliffs Drilling Company and Shell Oil Company. Mr. Hajdik was with Ernst & Young in the audit practice from 1989 to 1995. Mr. Hajdik graduated Cum Laude from Texas State University. Mr. Hajdik is a Certified Public Accountant and a member of the Texas Society of CPAs as well as the American Institute of Certified Public Accountants.

Mr. Tripodo joined Helix as Executive Vice President and Chief Financial Officer in June 2008, having served on our Board of Directors since February 2003. He is a Managing Director of Arch Creek Advisors LLC, a Houston based investment banking firm. From 2002 to 2003, Mr. Tripodo was Executive Vice President of Veritas DGC, Inc., an international oilfield service company specializing in geophysical services. Prior to becoming Executive Vice President, he was President of Veritas DGC’s North and South American Group, which consists of four operating divisions: marine acquisition, processing, exploration services and multi-client data library. From 1997 to 2001, he was Executive Vice President, Chief Financial Officer and Treasurer of Veritas. Previously, Mr. Tripodo served 16 years in various executive capacities with Baker Hughes, including serving as Chief Financial Officer of both the Baker Performance Chemicals and the Baker Oil Tools divisions. Mr. Tripodo also serves as a director of Petroleum Geo-Services, a Norwegian based oilfield services company. He graduated summa cum laude with a bachelor of arts degree from St. Thomas University.

Mr. Ambrose has served as our Senior Vice President – International Business Development since March, 2006. Prior to that Mr. Ambrose served in various senior management positions for Helix Energy Solutions Group, Inc., including as Senior Vice President of International from March 2003 until March, 2006, and as Vice President of Deepwater Contracting from May 1998 until March 2003. Mr. Ambrose joined Helix as a Project Manager in August of 1997. His previous experience includes worldwide operations manager for McDermott Underwater Services, Inc. (MUS) from 1994 to 1997, and general manager of operations for Offshore Petroleum Divers (OPD) from 1993 to 1994. Mr. Ambrose’s international experience was obtained from 1991 to 1993, while serving as operations manager and setting up offices in Southeast Asia and India for OPD’s international managerial expansion. Prior to his first managerial position as domestic operations manager for OPD (1989 to 1991), Mr. Ambrose held various positions during his commercial diving career. Since 1969, these positions include project manager, project superintendent, diving superintendent and saturation diver. Mr. Ambrose served in Vietnam from 1965 to 1969 as a member of the United States Navy SEAL Team I.

J. Wayne Seelbach served during 2000 – 2003 as Vice President EHS for Cal Dive International and re-joined Helix Energy Solutions Group in 2006. Mr. Seelbach has over 30 years of international EHS management experience gained with Allseas, Brown & Root, ETPM, ExxonMobil Development Company, Fluor Ocean Services and Transco Exploration. The majority of his experience has been with large offshore projects under the stringent EHS standards of the North Sea. He received a Bachelor of Science degree from Stephen F. Austin State University and a Masters of Science in Occupational Health & Safety Management from Colorado State University. Wayne is a Professional Member of the American Society of Safety Engineers and a Chartered Safety and Health Practitioner (CSHP) with the Institution of Occupational Safety and Health, United Kingdom.

Bill Morrice became Vice President of Well Ops, a wholly owned subsidiary of Helix Energy Solutions Group Inc, when the Company formed the Global Well Ops division in December 2006. Well Ops as a Helix business unit was formed in July 2002 following the acquisition of the well intervention vessel MSV Seawell and the Well Operations Business Unit of Technip-Coflexip. The MSV Q4000 and the operating Business Units of Well Ops in the US and in Perth Australia, following the acquisition of Seatrac Pty, were integrated to create the Global division in 2006. Mr. Morrice had previously been with Technip-Coflexip for 13 years, having joined them as a Project Engineer in 1990. Mr. Morrice assumed responsibility for the Well Operations Business Unit that initially operated only from the Seawell in 1995. Mr. Morrice graduated from Robert Gordon’s University in 1986 with a Bachelor of Science Degree and Postgraduate Diploma in Offshore Engineering. Further postgraduate studies attained a Postgraduate Certificate in Project Management from Aberdeen University. Mr Morrice is a Council member of IMCA, the International Marine Contractor Association and a Member of the UK based industry Step Change in Safety Leadership Team.

John brings over 25 years industry experience to the role. He graduated with a BSc (Hons) in Engineering Science in 1980 and joined Schlumberger as a Field Engineer in various locations in Europe, Scandinavia and South America, serving as Technical Manager of Europe and ultimately Wireline and Testing Base Manager in Aberdeen. In 1989 he established Read Well Services, a Seismic and Production Logging Service Company and as Managing Director, grew the company from 1 to 70 staff, in 3 countries, over a period of 6 years. In addition, during this period he formed and became Managing Director of IWS, an alliance between 3 major service companies to revolutionise the way well intervention work was carried out on North Sea installations. In 1995 he became Vice President of Transocean and managed the development of their Coiled Tubing and associated Drilling business in the UK sector of the North Sea until 1997 when he became Commercial Director of RDS. As a director John has been involved in the strategic development, leadership and general management ever since and in March of 2002 he moved to Malaysia to expand the merged entity of Helix RDS into the Far East and Australia. He has been instrumental in developing new ideas and relationships towards the establishment of alternative, performance based remuneration contracts in the region whilst establishing a strong market position with the conventional Helix RDS business model. After a business development assignment with ERT, the production division of the Helix Group, John was appointed Managing Director of Helix RDS in December 2007.

Mr. Cormier serves as Deputy General Counsel and Assistant Corporate Secretary, positions he has held since joining Helix Energy Solutions Group, Inc. in May 2002. Prior to joining Helix, Mr. Cormier was in private practice concentrating in commercial litigation and bankruptcy. Mr. Cormier received a Juris Doctoris degree from the University of Texas at Austin, and a Bachelor of Science degree from Providence College.

Bernard J. Duroc-Danner is chairman of the board, president and chief executive officer of Weatherford International Ltd (NYSE: WFT), one of the largest global providers of innovative mechanical solutions, technology and services for the drilling and production sectors of the oil and gas industry. Weatherford operates in over 121 countries and employs more than 34,000 people worldwide. Dr. Duroc-Danner was directly responsible for the 1987 start up of EVI, Inc. in the oilfield service and equipment industry and has directed the growth of EVI and later Weatherford since then to date. EVI's revenues the first year were less than $20 million. In 1998, EVI, Inc. acquired Weatherford Enterra and adopted the new name of Weatherford International, Inc. Today, Weatherford International's revenue base has grown to over $7 billion with a market capitalization of about $20 billion. Along the way, in 2000, Weatherford dividended Grant Prideco to its shareholders, and Grant now trades separately on the New York Stock Exchange. Growth was from inception both organic and acquisitive with industrial fit as its guiding principle. Dr. Duroc-Danner is a director of Helix Energy Solutions Group, Inc. (a marine contractor and operator of offshore oil and gas properties and production facilities). Dr. Duroc-Danner is also a member of the National Petroleum Council and the Society of Petroleum Engineers. Dr. Duroc-Danner's family has been in the oil business for two generations. Before forming EVI, Inc., Dr. Duroc-Danner held positions at Arthur D. Little Inc. and Mobil Oil Inc. He holds a Ph.D. in economics from Wharton (University of Pennsylvania). Dr. Duroc-Danner is married with four children.

Mr. Ahalt has served on the Company’s Board of Directors since July 1990. Since 1982, Mr. Ahalt has been the President of GFA, Inc., a petroleum industry management and financial consulting firm. From 1977 to 1980, he was President of the International Energy Bank, London, England. From 1980 to 1982, he served as Senior Vice President and Chief Financial Officer of Ashland Oil Company. Prior thereto, he spent a number of years in executive positions with Chase Manhattan Bank. Mr. Ahalt also serves as a director of The Houston Exploration Company, Bancroft & Elsworth Convertible Funds and other private investment funds. Mr. Ahalt received a B.S. Degree in Petroleum Engineering in 1951 from the University of Pittsburgh.

Mr. Watt has served as a director since July 2006. Mr. Watt has been Chief Executive Officer and President of Dune Energy, Inc., an oil and gas exploration and development company since April 2007. He served as Chairman and Chief Executive Officer of Maverick Oil and Gas, Inc., an independent oil and gas exploration and production company from August 2006 until March 2007. Mr. Watt was the Chief Executive Officer of Remington Oil and Gas Corporation from February of 1998 and the Chairman of Remington from May 2003, until Helix acquired Remington in July 2006. Mr. Watt also served on Remington s Board of Directors from September 1997 to July 2006. Mr. Watt was Vice President/Exploration of Seagull E & P, Inc., from 1993 to 1997, and Vice President/Exploration and Exploitation of Nerco Oil & Gas, Inc. from 1991 to 1993. Mr. Watt is also a director of Pacific Energy Resources, Ltd., an exploration and development company with offshore and onshore operations primarily in California and Alaska. He graduated from Rensselaer Polytechnic Institute with a Bachelor of Science in physics.

John V. Lovoi was appointed to fill the vacancy created by the resignation of Gary Loveless in May 2005. He is the Managing Partner of JVL Advisors LLC, a private energy investment company established in 2002. From January 2000 to August 2002, Mr. Lovoi was a Managing Director at Morgan Stanley Incorporated, and during this period served as head of the firm’s Global Oil and Gas Research practice and then as head of the firm’s Global Oil and Gas Investment Banking practice. From 1995 to 2000, he was a leading oilfield services and equipment research analyst for Morgan Stanley. Prior to joining Morgan Stanley, he spent two years as a senior financial executive at Baker Hughes and four years as an energy investment banker with Credit Suisse First Boston. Mr. Lovoi also serves as a director of Cal Dive International, Inc., an energy services company, and KFX Inc., a clean energy technology company engaged in providing technology and service solutions to the power generation industry. Mr. Lovoi holds a bachelor of science in chemical engineering degree from Texas A&M University and an MBA degree from the University of Texas.

Ms. Quinn has served as a director since February 2009. Ms. Quinn is a principal of Hanover Capital LLC, a privately-owned advisory firm that provides financial and strategic services primarily to clients in the energy and natural resources industries. She has 27 years of experience in investment banking, serving as Executive Director of The Beacon Group, LP. (now a part of JP Morgan Chase) from 1996 to 2000, as Managing Director of PaineWebber Incorporated from 1994 to 1995, and as co-head of the natural resources and energy investment banking section of Kidder, Peabody & Co. from 1982 to 1992. Ms. Quinn currently serves on the board of directors of Endeavour International Corporation, an international oil and gas exploration and production company, and Atmos Energy Corporation, a distributer of natural gas. Ms. Quinn graduated with a Bachelor of Fine Arts degree from Louisiana State University and an M.B.A. from the University of Arkansas.
