As chief financial officer of Herbalife, Rich Goudis has global responsibility for all financial, accounting, global operations, strategic planning, human resources, and information technology activities for the company’s business operations around the world. Goudis, who joined Herbalife in 2004, played a critical role in the company’s initial public offering and listing on the New York Stock Exchange (NYSE) as well as in the restructuring of the company’s debt structure, which led to three rating upgrades. He oversaw the worldwide implementation of Oracle modules for supply chain, distributor management and general ledger, and led the successful Sarbanes-Oxley 404 attestation process from 2004 thru 2007. Goudis has more than 25 years of financial management experience with industry leading companies such as Pratt & Whitney and Sunbeam Corporation and senior executive experience as vice president finance and chief operating officer of Rexall Sundown. While at Rexall Sundown, Goudis was a member of the executive team that led the company through tremendous sales growth, including the expansion of Rexall Showcase International throughout Asia, while improving overall profitability, and ultimately the sale of the company to Royal Numico.

Steve Henig, Ph.D. is Chief Scientific Officer of the Company. Mr. Henig joined the Company in July 2005 after spending 6 years at Ocean Spray Cranberries, Inc., as Senior Vice President, technology and innovation with responsibility for the company’s new products program and medical research program. Prior to working at Ocean Spray Cranberries, Inc. Mr. Henig served as Senior Vice President, technology and marketing services at Con Agra’s Grocery products. Mr. Henig holds a Ph.D. in food science from Rutgers University, a M.S. in food and biotechnology and a B.S. in chemical engineering from Technion-Israel Institute of Technology.

As executive vice president of worldwide operations and sales, Des Walsh has overall responsibility for the company’s business operations in 70 markets around the world. Previously, Walsh was senior vice president, worldwide distributor sales, where he was responsible for sales strategy, business development, corporate events, worldwide promotions and distributor services. Walsh has extensive international business experience gained during his 20-year career in sales, marketing and executive management. He joined Herbalife in 2004 from DMX Music where he was senior vice president of the commercial division and responsible for innovative sales programs and partnerships that led to growth in new U.S. markets. Prior to DMX, he was a vice president of Disney's Buena Vista Home Entertainment, where he played a key role in expanding the company's video business in the major markets of the world. Walsh's previous experience includes key management positions at MovieQuik Systems, a division of The Southland Corporation (now 7-Eleven), and Commtron Corporation, a leading consumer electronics and video distribution company.

As general counsel and corporate secretary of Herbalife, Brett Chapman has responsibility for all legal, regulatory and government affairs matters relating to the company’s business around the world. Chapman’s expertise in corporate and international law was refined during 13 years at The Walt Disney Company. He served most recently as senior vice president and deputy general counsel for Disney, with responsibility for all legal matters relating to Disney’s Media Networks Group, including the ABC Television Network, the company’s cable properties including The Disney Channel and ESPN, and Disney’s radio and internet businesses. Previously, Chapman was senior vice president and general counsel of Walt Disney International and senior vice president and assistant general counsel of The Walt Disney Company where he had overall responsibility for all of the company’s legal affairs outside of the US. Earlier he served as senior vice president of worldwide business and legal affairs for Disney’s Buena Vista Home Entertainment division, and senior counsel in its corporate legal department where he was involved in various acquisitions including that of Miramax Films and the Miyazaki film library. Prior to joining Disney, Chapman was with the Los Angeles office of Skadden, Arps, Slate, Meagher and Flom, a multi-disciplinary law firm with offices worldwide, and the London office of Linklaters, a leading international law firm. Chapman sits on the board of the Constitutional Rights Foundation, the Direct Selling Association, and the Herbalife Family Foundation.

As vice president, medical affairs and education, Luigi Gratton, M.D. coordinates the strategic management and direction of Herbalife's Nutrition Advisory Board to ensure Distributors have a thorough understanding of products, ingredients and their benefits. In addition, he manages the day-to-day operations of the Medical Affairs and Education Department, assuring all Distributor and medical inquires receive a quick and accurate response. Gratton, a physician specialist in family medicine and clinical physician at the UCLA Center for Human Nutrition in the risk factor obesity program, works closely with Distributor trainers around the world to ensure the dissemination of accurate product information. He also speaks at major Herbalife events, enhancing Distributors' knowledge about Herbalife products. He has written numerous articles on nutrition and obesity and has appeared on television speaking on nutrition anti-aging medicine, sports nutrition and other medical topics. Gratton earned an undergraduate degree in science and a masters in public health from University of California, Los Angeles. He was awarded a medical degree from Mount Sinai Medical School of New York University and fulfilled his residency in family medicine at Los Angeles County Hubert Humphrey Family Medicine Center. He completed a postdoctoral fellowship in clinical nutrition at the David Geffen School of Medicine at UCLA. Gratton has been awarded Diplomate of The American Board of Family Practice and The American Board of Physician Nutrition.

Dr. Sooferian is a graduate of Technion University School of Medicine in Israel and of the internal medicine residency program at the UCLA School of Medicine. In the years after completing his medical residency, he practiced medicine as an attending physician in Orange County. Since 2004, Dr. Sooferian has been working at Brentview Medical. Dr. Sooferian is very interested in the role of cholesterol in the body. He is a published scientific author and has completed a scientific thesis focusing on the role of "good cholesterol" on vascular disease. Dr. Sooferian strongly believes in the power of good nutrition on health and is an advocate of Herbalife. He regularly attends medical conferences throughout the country to stay up to date on the best medical practices. Dr. Sooferian is married and has a daughter. In his free time, he enjoys spending time with his family, hiking, and reading scientific journals.

Colombe M. Nicholas has served as a consultant to Financo Global Consulting, the international consulting division of Financo, Inc., since 2002. Prior to joining Financo, Ms. Nicholas served as the president and chief executive officer of The Anne Klein Company from 1996 to 1999. Prior to this she served as the president and chief executive officer of Orr Felt Company, president and chief operating officer of Giorgio Armani Fashion Corp., and president and chief executive officer of Christian Dior New York. Ms. Nicholas currently serves on the boards of Tandy Brand Accessories, Oakley, Inc., and The Mills Corporation. She received a bachelor of arts degree from the University of Dayton and a juris doctorate degree from the University of Cincinnati College of Law, and holds an honorary doctorate in business administration from Bryant College of Rhode Island.

Ken Diekroeger is a Managing Director of Golden Gate Capital. Since 1990, Ken has been investing as a private equity professional in a variety of industries. At Golden Gate he focuses on consumer products, financial services, electronics and semiconductor equipment. Prior to Golden Gate Capital, Ken was a managing director at American Industrial Partners which led operationally-intensive, industrial buyouts. Early in his career, Ken invested in numerous consumer product companies while at The Shansby Group. He started his career as a strategy consultant at Bain and Company. Ken received his BS in Industrial Engineering (where he graduated first in his engineering class) and his MBA (Arjay Miller Scholar) at Stanford University.

Leon Waisbein has been an independent Herbalife distributor for 14 years. A member of the Chairman's Club since 1995, Mr. Waisbein has built a successful organization in more than 30 countries. He has been active in training Herbalife distributors around the world, and is a member of various strategy and planning groups for Herbalife. He is chairman of a charity foundation supporting disabled children and an active volunteer for the Herbalife Family Foundation. He has a bachelor's degree in life science.

Leroy T. Barnes, Jr. joined the Board of Directors of Frontier Communications Corporation in May 2005. He also serves as a Director of Longs Drug Stores, Inc., The McClatchy Company, Herbalife and The California Endowment. In 2005, Mr. Barnes retired as Vice President and Treasurer of PG&E Corporation. From 2001 to 2005, he oversaw all financing, financial planning, risk management, cash management and pension fund operations. In 2004, he led the largest-ever U.S. utility financing, PG&E's landmark $7 billion debt financing in connection with its Plan of Reorganization. Prior to 2001, Mr. Barnes was Vice President and Treasurer of Gap, Inc., the international clothing retailer, where he was responsible for all of the company's financing, cash management, international finance, investor relations and risk management. While at Gap, Inc., he led the company's first major public debt issuance and managed its $1 billion common stock repurchase program. Before joining Gap, Inc., Mr. Barnes held a number of executive positions at Pacific Telesis Group/SBC Communications, including Assistant Treasurer, Division General Manager, and Vice President and Chief Financial Officer of PacTel Corporation. He was a principal in engineering the company's spin-off of AirTouch, Inc., as well as the sale of Pacific Telesis to SBC Communications. His experience also includes positions at UC Press, where he was Chief Financial Officer, and Deloitte & Touche, where he was a Management Consultant. Mr. Barnes earned bachelor's and master's degrees from Stanford University and an M.B.A. from Stanford Business School, where he was a Rockefeller Foundation Finance and Management Fellow.

Dr. Ignarro received the Nobel Prize for Medicine in 1998, and has been a director since July 2002. He previously served as a director of Global Genomics from November 20, 2000. Dr. Ignarro serves as the Jerome J. Belzer, M.D. Distinguished Professor of Pharmacology in the Department of Molecular and Medical Pharmacology at the UCLA School of Medicine. Dr. Ignarro has been at the UCLA School of Medicine since 1985 as a professor, acting chairman and assistant dean. Dr. Ignarro received a B.S. degree in pharmacy from Columbia University and his Ph.D. degree in pharmacology from the University of Minnesota.

Valeria Rico, age 42, is President and Chief Executive Officer of Lexicon Marketing USA, Inc., a privately-held direct marketer of English-language learning programs to the U.S. Hispanic community. From 1995 to 2004 Ms. Rico served as Lexicon's Chief Operating Officer, and in 2004 she was appointed to her current position. Prior to that, she was Director of Marketing and Sales at Elico, Inc. Ms. Rico received her degree in law from the Universidad Complutense de Madrid, Spain.
