Mr. Matherne was appointed Chief Operating Officer of Delta Towing in December 2008.A Most recently, he held the position of General Manager for Delta Towing.A Mr. Matherne began his career with Monteiro Towing Company, a business acquired by Delta Towing's predecessor, R&B Falcon, in 1981.A With over 25 years of industry experience, Mr. Matherne has worked at all levels of the tug, barge and crew boat industry.A He served as a licensed tug captain, assistant manager, operations manager and inland operations manager while at Monteiro Towing Company.A Mr. Matherne became Operations Manager of Delta Towing in 2001.

Senior Vice President - General Counsel, Chief Compliance Officer and Secretary Mr. Noe was appointed Senior Vice President - General Counsel, Chief Compliance Officer and Secretary of Hercules Offshore in October 2005. In addition, he serves as President and Chief Executive Officer of Delta Towing. Previously, he served as Corporate Counsel for BJ Services Company, a worldwide oilfield services provider. Mr. Noe also served as Corporate Counsel for Single Buoy Moorings, a Monaco-based company that designs, owns and operates floating production systems (FPSOs and FSOs). Early in his career, Mr. Noe was in private practice with the New Orleans law firm of King, LeBlanc & Bland, where he focused on corporate and commercial issues for oil and gas companies and shipyards. During his private practice, Mr. Noe represented shipyards in large naval construction disputes before the U.S. Court of Federal Claims and the U.S. Court of Appeals for the Federal Circuit. He also represented vessel and rig owners in large construction disputes and arbitrations in Europe and the Far East. Mr. Noe holds a Bachelor of Arts with honors from the University of Alabama and a Juris Doctorate from Louisiana State University. He is licensed to practice law in Louisiana and Texas.

Sr. Vice President and Chief Financial Officer Ms. Rodriguez was appointed Senior Vice President and Chief Financial Officer of Hercules Offshore in March 2007. Previously, Ms. Rodriguez served as Senior Vice President and Chief Financial Officer at Weatherford International, Ltd., an international oilfield services company. In her 10 years at Weatherford, Ms. Rodriguez held various financial management positions including Vice President Accounting and Corporate Controller. Ms. Rodriguez holds a Bachelor of Arts in Spanish from the University of Illinois and a Master of Science in Accountancy from the University of Houston. She is also a Certified Public Accountant (CPA).

Claus E. Feyling Vice President International Business Development Mr. Feyling was appointed Vice President International Business Development of Hercules Offshore in July 2007 upon the acquisition of TODCO, where he held the same position since April 2006. Previously, he served as Director Business Development and Manager Marketing and Business Development for Pride International, Inc. from 2001-2005. Mr. Feyling’s history also includes Vice President Marketing and General Manager Asia Pacific for Marine Drilling as well as numerous rig operations management positions for Odfjell Drilling Asia. Mr. Feyling has a background in mechanical engineering from Bergen Technical University, Norway.

Mr. Hatcher was named Vice President International Operations in February 2008. Prior to this appointment, he held the positions of General Manager International Operations, Manager Latin America and Special Projects and District Manager Latin America. Before joining the Company, he held the position of District Manager for Transocean where he oversaw their West African fleet. Prior to joining Transocean, he was with Cliffs Drilling Company where he held the roles of Vice President Venezuela Operations and Controller, Drilling Division. He also spent 14 years in various operations and accounting roles for Zapata Offshore, Co. Mr. Hatcher holds a Bachelor of Business Administration in Accounting from the University of Texas and he is also a Certified Public Accountant (CPA).

Mr. Bryan joined Hercules in January 2007 as the Vice President Human Resources. He is responsible for all worldwide Human Resources functions for Hercules Offshore and will help develop Human Resources procedures, processes and systems where and when needed. He will also be responsible to ensure that we are in compliance throughout this company, with all Human Resources related governmental requirements on a global basis.

Mark A. Yarmolich Vice President Risk Mr. Yarmolich was named Vice President Risk of Hercules Offshore in January 2008. Prior to joining the Company, Mr. Yarmolich served as Vice President of Risk Management with Eagle Global Logistics, Inc. He also served as Director of Risk Management with US Oncology, Inc. He earned a Bachelor of Science degree in both Economics and Political Science from Northern Illinois University.

Richard E. (Rick) McClaine Vice President, Health, Safety and Environmental Mr. McClaine was appointed Vice President Health, Safety and Environment of Hercules Offshore in September 2006. Mr. McClaine’s previous experience includes more than 25 years in the oil and gas industry. Prior to joining the Company, he worked with Syntex Management Systems, a provider of enterprise risk-management software. He also served as Vice President Safety, Training and Environmental Affairs at GlobalSantaFe. He earned his degree in marine transportation from Texas A&M University.

Ronald J. Cunningham Vice President Engineering Mr. Cunningham was appointed Vice President Engineering of Hercules Offshore in July 2007 upon the acquisition of TODCO where entered the role in October 2006. Prior to joining the Company, Mr. Cunningham served as Director of Projects for Diamond Offshore Drilling, Inc. He has also held various engineering positions with several drilling contractors and an array of engineering firms.

Terrell L. Carr joined Hercules Drilling Company, LLC as Vice President of Operations in January 2007. He is now Hercules Offshore s Vice President of Worldwide Operations and is responsible for Hercules Offshore s day to day drilling operations. From 2006 to January 2007, Mr. Carr served as Manager, Operations for the Asia Pacific Region of ENSCO International Incorporated and from 2001-2006, he served as a Rig Manager and Country Manager in various international locations for Ensco International Incorporated. Prior to joining ENSCO, from 1982 to 2001, Mr. Carr was employed by Reading & Bates Corporation (later R&B Falcon Corporation) in various key international operations and marketing roles.

Todd Pellegrin Vice President, Worldwide Liftboat Operations Mr. Pellegrin joined Hercules Offshore in March 2006 and was appointed to the role of Vice President, Worldwide Liftboat Operations in December 2008. Prior to this appointment, he held the positions of ice President International Liftboats and Managing Director for the West Africa region. Before joining the Company, he served as the Managing Director of Danos & Curole Nigeria, Ltd. In addition, Mr. Pellegrin was the International Business Development Representative based in Houston, Texas, for Danos & Curole. He also served as the CEO of South Central Planning and Development Commission in Thibodaux, Louisiana. Mr. Pellegin is a graduate of Nicholls State University, where he earned his B.S. and M.B.A. in business administration.

Troy L. Carson Vice President and Corporate Controller Mr. Carson was named Vice President and Corporate Controller of Hercules Offshore in March 2007. Previously, Mr. Carson served as the Assistant Corporate Controller at Weatherford International Ltd., an international oilfield services company. In addition, he was a member of the Commercial Assurance Practice of Arthur Andersen LLP. Mr. Carson holds a Bachelor of Business Administration in Accounting from Stephen F. Austin State University. He is also a Certified Public Accountant (CPA).

F. Gardner Parker has served as a director since November 2005. From 1970 until 1984, Mr. Parker worked at Ernst & Ernst (now Ernst & Young LLP), an accounting firm, and was a partner at that firm from 1978 until 1984. Mr. Parker has been Managing Outside Trust Manager with Camden Property Trust, a real estate investment trust, since 1998. He serves as director of Carrizo Oil and Gas, Inc., Crown Resources Corporation, Sharps Compliance Corp. and Blue Dolphin Energy Company.

John T. Reynolds has served as Chairman of the Board of Directors since our formation. Mr. Reynolds is co-founder and a managing director of Lime Rock Management LP, an energy-focused private equity firm. Prior to co-founding Lime Rock Management in 1998, Mr. Reynolds was a Vice President at Goldman Sachs & Co., an investment banking firm. He was a senior analyst for oil services in the Investment Research department at Goldman Sachs, where he worked from 1992 to 1998.

Boris Gutin has served as a director since October 2004. Mr. Gutin has been an associate at Greenhill Capital Partners since joining Greenhill in August 2003. From September 2001 to August 2003, Mr. Gutin was obtaining his master s of business administration from Harvard Business School. From August 1999 to August 2001, he was an investment professional at American Securities Capital Partners, a private equity firm. From August 1998 to August 1999, Mr. Gutin was in the Principal Investment Area of Goldman Sachs & Co. and, from August 1996 to August 1998, he was in Goldman Sachs Leveraged Finance Group.

J. William Franklin, Jr. has served as a director since our formation. Mr. Franklin has been a principal at Lime Rock Management LP since joining Lime Rock in February 2003. From July 2000 to February 2003, he was an associate at Riverstone Holdings, a private equity firm. From July 1998 to July 2000, Mr. Franklin was obtaining his master s of business administration from Harvard Business School. From July 1996 to July 1998, Mr. Franklin was an analyst with Simmons & Company International. From January 1995 to July 1996, he was the senior financial analyst in the Corporate Development Group of Parker & Parsley Petroleum Company, an oil and natural gas exploration and production company.

Mr. Rynd was named Chief Executive Officer and President of Hercules Offshore in June 2008. In addition, he serves as a member of the Board of Directors for the Company. Mr. Rynd has served in various executive level positions since joining Hercules Offshore in September 2005. Most recently, Mr. Rynd was the Executive Vice President and Chief Operating Officer, a role he held since July 2007. He also served as Senior Vice President of Hercules Offshore and President of Hercules Drilling Company, LLC. Prior to joining the Company, Mr. Rynd spent 15 years with Noble Drilling Services, Inc., where he served in a variety of management roles, including Vice President Investor Relations and Vice President Marketing and Contracts. Mr. Rynd also served in various management roles at Chiles Offshore, culminating in Vice President of Marketing. His vast experience also encompasses 10 years of service for Rowan Companies Inc., where he served in various roles of increasing levels of responsibility on offshore rigs. In addition, Mr. Rynd serves on the board of CECO, the world's largest independent manufacturer of engine and compressor replacement parts. Mr. Rynd graduated from Texas A&M University with a Bachelor of Science in Economics.

From 1995-2004, Mr. Reed served as manager of Global Industriesa liftboat, dive support vessel and crewboat fleets. He began his career in 1977 with Otis/Halliburton where he held positions of increasing responsibilities. Mr. Reed is a member of the Offshore Marine Services Association (OSMA), a national trade organization of offshore marine operators and affiliated companies.

Steven A. Webster has served as a director since May 2005. Mr. Webster has been President and Co-Managing Partner of Avista Capital Partners LP, a partnership focusing on private equity investments in energy, media, healthcare and other industries, since June 2005. Since 2000, he has been a consultant to Global Energy Partners, an affiliate of Credit Suisse First Boston LLC, which has specialized in private equity investments in the energy industry. From 2000 to June 2005, he served as Chairman of Global Energy Partners. From 1998 to 1999, he served as President and CEO of R&B Falcon Corporation, a marine contract drilling company. From 1988 through 1997, Mr. Webster was Chairman and CEO of Falcon Drilling Company Inc., a company he founded. Mr. Webster has been a financial intermediary since 1979 and an active investor since 1984 in the energy sector. He currently serves as Chairman of Basic Energy Services, Carrizo, Pinnacle Gas Resources and Solitario Resources He remains a Trust Manager of Camden and is a Director of Encore Bancshares, Frontier Drilling, Geokinetics, Grey Wolf, Laramie Energy, MedServe, Peregrine Oil & Gas and Seacor Holdings.

Thierry Pilenko has served as a director since August 2006. Mr. Pilenko has been Chairman and Chief Executive Officer of Technip SA since January 2007. Most recently, Mr. Pilenko was Chairman and Chief Executive Officer of Veritas DGC Inc. from March 2004. Prior to that time and since 2001, Mr. Pilenko served as managing director of SchlumbergerSema, a Schlumberger Ltd. company located in Paris. From 1998 to 2001, he was president of Geoquest, another Schlumberger Ltd. company located in Houston, Texas. Mr. Pilenko was employed by Schlumberger Ltd. and its affiliated companies in various parts of the world beginning in 1984 in a variety of progressively more responsible operating positions.

Thomas N. Amonett has served as a director of TODCO since May 2004. He was appointed as lead independent director of TODCO in October 2004 and was appointed Chairman of TODCO in February 2005. He has been President and Chief Executive Officer of Champion Technologies, Inc., a manufacturer and distributor of specialty chemicals and related services since 1999. From November 1998 to June 1999, he was President, Chief Executive Officer and a director of American Residential Services, Inc., a company providing equipment and services relating to residential heating, ventilating, air conditioning, plumbing, electrical and indoor air quality systems and appliances. From July 1996 until June 1997, Mr. Amonett was Interim President and Chief Executive Officer of Weatherford Enterra, Inc., an energy services and manufacturing company. Mr. Amonett also serves as a director and member of the executive compensation committee and the audit committee of Reunion Industries Inc., a specialty manufacturing company, and a director and member of the executive compensation committee and the audit committee of Bristow Group Inc., a global provider of helicopter services.

Thomas R. Bates, Jr. has served as a director since our formation. Mr. Bates has been a managing director at Lime Rock Management LP since October 2001. From February 2000 through September 2001, Mr. Bates was a business consultant. From June 1998 through January 2000, Mr. Bates was President of the Discovery Group of Baker Hughes Incorporated, an oilfield services company. From June 1997 to May 1998, he was President and Chief Executive Officer of Weatherford/Enterra, Inc., an oilfield services company. From March 1992 to May 1997, Mr. Bates was President of Anadrill at Schlumberger Limited, an oilfield services company. Mr. Bates was Vice President of Sedco Forex at Schlumberger from February 1986 to March 1992. Mr. Bates serves on the board of directors of NATCO Group Inc.

Thomas J. Madonna has served as a director since November 2005. Mr. Madonna is the Chief Financial Officer of Menil Foundation, Inc., a major art museum. From 1969 until December 2001, Mr. Madonna worked at PricewaterhouseCoopers LLP in a number of roles, including as Assurance Partner from 1982 until his retirement in 2001.

Thomas M Hamilton has served as a director of TODCO since May 2004. Mr. Hamilton is the founder and co-owner of Medora Investments, LLC. He served as the Chairman, President and Chief Executive Officer of EEX Corporation from January 1997 until his retirement in November 2002. From 1992 to 1997, Mr. Hamilton served as Executive Vice President of Pennzoil Company and as President of Pennzoil Exploration and Production Company. Mr. Hamilton was a director of BP Exploration, where he served as Chief Executive Officer of the Frontier and International Operating Company of BP Exploration from 1989 to 1991 and as the General Manager for East Asia/Australia/Latin America from 1988 to 1989. From 1985 to 1988, he held the position of Senior Vice President of Exploration at Standard Oil Company, prior to its being merged into BP. Mr. Hamilton is also a director and member of the audit committee of FMC Technologies Inc. and is a member of the board of directors of Methanex Corporation.
